Whereas, there is an acknowledged need to ensure the employment rights of individuals granted by Federal, State and Local anti-discrimination laws, and, 2. Whereas, the Equal Employment Opportunity Commission is authorized by statute to utilize the services of State and Local FEP Agenc i es to ass i st it in meeting its statutory mandate to enforce Title VII of the Civil Rights Act of 1964, as amended, and the Age Discrimination in Employment Act of 1967, as amended, and, 3 . Whereas, the Equa 1 Employment Opportunity Commission, pursuant to Congressional mandate to establish an integrated system for more exped it i ous process i ng of employment discrimination charges, has committed itself to developing such a system in partnership with Fair Employment Practices Agencies. Now, therefore, the FEP Agency hereby agrees to cooperate with the Equal Employment Opportunity Commission in the development of a national, integrated employment discrimination charge processing system by pursuing various objectives which include, but are not limited to, the following: a. Implementation by the FEP Agency of procedures that provide for professionalized intake, prompt notification to respondents, resolution of new charges on a current bas is. determi nat ions supported by evidence and resolutions with remedies; b. The training of FEP Agency personnel in charge processing procedures compatible with those of the EEOC, inclUding ADEA charge proceSSing with those agencies with ADEA contracts; c. Uti 1 i zat i on by the FEP Agency of an emp 1 oyment discrimination charge form which, within statutory limitations, is acceptable to the EEOC and the FEP Agency; d. Utilization by the FEP Agency of processlng terminology (such as common language pertaining to types of closures) that is the same as or compatlble with that utilized by the EEOC; " '! Implementation of an internal management ~rogram by the FEP Agency which governs its charge resolution systems by estab 1i shi ng annua 1 charge reso 1 uti on objectives, and monitoring mechanisms which fix accountabil i ty and measure the FEP Agency's progress in meeting its objectives during the course of the contract year; f. The maintenance of a record keeping system between the Commission and the participating FEP Agency which records all actions on charges filed with the Commission and the FEP Agency; g. The deve 1 opment of a system to insure that the Commission and the FEP Agency maintain compatible procedural and substantive standards; and h. The identification by the FEP Agency and the Commission of legislative changes that may be appropriate for the establishment of integrated and efficient charge processing systems. 4. The FEP Agency further agrees that when agreement on implementation of any of ,the above mentioned items is reached, such agreement shall be incorporated in a Workshari ng Agreement whose effect i ve dates wi 11 run consi,stent with the effective dates of this contract. Upon execution, the Worksharing Agreement is incorporated by reference into this contract. 5. It is further understood and expressly agreed to by both parties to this contract that, as a condition to the maintenance of this contract, the FEP Agency shall: a. Implement in cooperation with the Commission, a system which permits each party to perform various functions on behalf of the other, inter alia, accepting charges for each other, within such statutory limits as may exist; and b. Commit itself to maintenance of effort. It is the intention of the EEOC to purchase services from the FEP Agency. Therefore, should the FEP Agency or the governmental body which provides its funds reduce the FEP Agency's resources in anticipation of or as a result of EEOC contract funds, the EEOC may consider any reduction in the FEP Agency's I I Page 5 of 22 ." SECTION C - TASK I - TITLE VII CHARGES (Continued) funding from its funding source, restriction placed on the use of i tsfunds or changes in the FEP Agency's law or regulations, which impact on its ability to perform under its contract(s), as a material breach of this contract requiring the FEP Agency to return a 11 or aport i on of the funds provided by the EEOC under this contract. 6. It is understood and expressly agreed to by both parties to this contract that, as a condition to the maintenance of this contract, there be a Worksharing Agreement in effect between the FEP Agency and EEOC. It is understood and agreed to that, at a minimum, the Worksharing Agreement contain a provision effecting a waiver of initial processing rights on Title VII charges during the 60 day deferral period on Charges to be initially processed by EEOC. NotWithstanding the FEP Agency's capability to process all new charges it receives, the Worksharing Agreement shall note that EEOC may assert initial exclusive juriSdiction for processing a certain number or kind,of charges. Once the EEOC or FEP Agency has been des i gnated to process the charge, the other shall refrain from processing the charge pending completion by the initial processor to minimize duplication of effort. 7. It is understood and expressly agreed to by both parties to this contract that all provisions of the current year's Principles of EEOC's Title VII and ADEA Program for State and Local Fair Employment Practices Agencies are incorporated in their entirety into this contract. 8. ProcessinQ of CharQes 1. The FEP Agency as the Contractor, covenants and agrees for adequate consideration, as stated in Section 8, during the term of this contract to process individual charges of employment discrimination which have been filed with the Contractor and with the EEOC during the period of October 1, 1981 through September 30, 1991. The Oistrict Oirector shall be responsible for transmitting Charges initially received by eEOC to the Agency. The Agency further covenants and agrees that the charges submitted 'for contract credit review shall include, inter Al.i.A, no cause find i ngs , successfu 1 set t 1 ements , successful conciliations, administrative closures, final orders issued fOllowing and pursuant to administrative '- J I Page 6 of 22 SECTION C - TASK I - TITLE VII CHARGES (Continued) hearings and litigation. No contract credit will be awarded by EEOC for closures by the FEP Agency based on no jurisdiction (except in cases where an investigation is actually required to determine jurisdiction) or closure based on the charging party's failure to establish a bona fide charge. 2. A 11 charges processed unde r th is contract by the FEP Agency shall be processed as follows: a. All charges will be evaluated and determinations made in accordance with the theories of non- discrimination in employment as developed under Title VII of the Civil Rights Act of 1964, as amended. b. Investigation and resolution of individual charges pursuant to this agreement shall be conducted in a manner designed to effectuate relief for the charging party and shall be carried out as expeditiously as possible. c. All final actions, 1 itigation and intake services for which payment is requested under this contract will be processed and awarded contract credit, in compliance with EEOC Order 916. d. A contract credit for the closure of a charge (i.e. final action) will be given upon final disposition of the charge. When administrative appeal rights exist, final disposition of a charge occurs only after the time for appeal has expired or the appeal has been processed to completion. In cases where the administrative appeal has been processed, the date of the notice of the final result of the appeal is the operative date. This applies in all cases where an administrative appeal is provided, whether the case is administratively closed, dismissed, decided, or when no cause is found. The fifteen day perlod during which Substantial Weight Review may be requested and/or the period during which a Substantial Weight Review is conducted is not considered for the purposes of computing the operative date for contract closure purposes. " J I Page 7 of 22 SECTION C - TASK I TITLE VII CHARGES (Continued) e. A contract credit for a charge that is not a closure will be given for the fOllowing types of charge processing actions (i.e., litigation, intake services and substantial investigations in accordance with the Substantial Weight Review Manual). Contract credit for 1 itigationwi 11 be given upon rece i pt by the EEOC of a copy of the complaint bearing confirmation of the filing date with the Court, or other appropriate official confirmation of the filing date of the complaint. Contract credit for intake services will be given when EEOC accepts for processing a charge initially filed but not Jurisdictional with the Agency, and for which the Agency has prepared all charge intake documentation required by the EEOC. Contract credit will also be given for certain types of charges even though EEOC is not accepting the final finding of the FEP Agency. The circumstances under which such credit will be given is specified in EEOC Order 916, Appendix A, Section 4(1). f. Charges processed pursuant to this agreement will be designated in a monthly status report from the Agency to EEOC's District Office. g. All charges wi 11 be processed by the Agency in accordance with the applicable State and Local Law of the Agency. 3. Charges processed under this contract shall be charges of employment discrimination filed with the Contractor and with the EEOC during the period of October 1, 1981 through September 30, 1991 and shall be exclusive of any charge processing resulting from other contracts for the resolution of charges under Title VII that may be in effect between the FEP Agency and the EEOC during the term of this contract. '. , I Page 8 of 22 SECTION 0 - PACKAGING AND MARKING : Charge/case file material and reports to be furnished to the District Office shall be adequately packaged to assure safe delivery to the designated office. FEP Agency shall preserve all case files and records relevant to all charges or actions until final disposition of such charges or actions by the FEP Agency and the Commission and other federal authorities including federal courts. , I I Page 9 of 22 SECTION E - INSPECTION AND ACCEPTANCE E.1 INSPECTION AND ACCEPTANCE Inspection and Acceptance shall be made by the District Office Director or his/her designee on behalf of the Director, Office of Program Operations, Equal Employment ,Opportunlty Commission. Inspection and Acceptance shall be made pursuant to the standards set forth in EEOC's Comoliance Manual and ln the applicable section(s) of EEOC Order 916. The Monthly Reports, beginning with the report for the month of October 1990, are due in the Contract Administation Office (the Commission's District Office) on or before November 8, 1990. The monthly report must be submitted to and received by the Contract Administration Office not later than the 8th calendar day of each subsequent month. B. Separately, the FEP Agency shall furnish to the Office of Program Operations, Field Management Programs and the State and Local Branch, WaShington, D.C., written reports as may be expressly required by either of those units. If found correct and proper for payment, the Contract Administration Officer will sign the Standard Form 1034 on the "Authorized Certifying Officer" line. The Contract Administration Officer, however, is empowered to modify payment amounts on vouchers submitted for actual production payments b.sed upon assessment of the final actions received and accepted, and will advise the Contractor of any modification in payments made in light of the requirements of the contract between the parties. Payments made under this contract will be made by vouchers submitted to the COTR (District Director) and shall be in accordance with one of the two methods of payment listed below: (1) An advance payment not to exceed fifty (50) percent of the total contract may be mad a commencing with the effective date of the contract .for the first quarter by voucher submitted with the contract. SUbsequent payment in the second, and fourth quarters _will be based on the Agency's actual prOduction of accepted charge resolutions. '" I I Page 15 of 22 SECTION H - SPECIAL CONTRACT REQUIREMENTS H-1 TITLE VII CONFIDENTIALITY PROVISIONS The Contractor agrees to abide by the confidentiality provisions of Title VII as those prov1s10ns are interpreted by EEOC. The Contractor shall not make public in any manner whatever the following information if said information fs furnished by EEOC. 1. The existence of a Title VII charge fi led by a particular charging party against a particular respondent, unless a Title VII lawsuit has been instituted. 2. Information obtained by the EEOC pursuant to its investigation authority (709(a)), unless a Title VII lawsuit involving that information has been instituted and: 3. Things said or done by the parties (i.e. Title VII charg i ng parties and respondents, and the EEOC) during the settlement efforts or conciliation of a Title VII charge, unless the parties give their consent in writing to such disclosure. 4. Pursuant to Paragraph 5(b) of the EEOC Memorandum of Understanding with the OFCCP, information compi led by OFCCP and provided to EEOC may be provided to 706 Agencies upon their reQuest. It is further understood and agreed that the 706 Agency will not disclose to the public any such information without first reQuesting and obtaining the express written approval of the Director of OFCCP. EEOC-Furnished EEO Reports may be made publ ic by the contractor at or after a 706 Agency hearing involving such information. H-2 MAINTENANCE OF EFFORT It is the intention of the EEOC to provide funds to the FEP Agency in order to supplement its current level of funding. Therefore should the FEP Agency or the government body which provides its funds reduce the FEP Agency's resources, restri ct the use of its funds or change the FEP Agency's law or regulation, in anticipation of or as a result of EEOC's contract, such action may be a material breach of this contract which may reQuire the FEP Agency to return all or a portion of the funds provided by EEOC under this contract. '. I I Page 16 of 22 SECTION H - SPECIAL CONTRACT REQUIREMENTS (Continued) H-3 CONTRACT ADJUSTMENTS The COTR will review production on a quarterly basis. The Contractor is expected to produce approximately 1/4 of the total charges required under the contract each quarter. If the annual i zed 1 i near product i on of the Contractor's actual production at the end of the second and third quarter indicates that the Contractor is producing at a rate which would not meet the number of charges requ i red under the contract, the Contract i ng Officer may unilaterally modify the contract price and the total number of charges be i ng purchased upward or downward to ref 1 ect the annual i z.ed charge product ion projection. H-4 RIGHTS IN DATA The Government and the FEP Agency shall exercise joint ownership over all case files created and developed in the performance of this contract. The Government shall have access to such case files at all reasonable times when they are in the possession of the FEP Agency.
