FIRST AMENDMENT TO COMMUNITY DEVELOPMENT BLOCK GRANT PROGRAMFIRST AMENDMENT TO COMMUNITY DEVELOPMENT BLOCK GRANT (CDBG) PROGRAM BETWEEN THE CITY OF CLEARWATER, FLORIDA AND HOPE VILLAGES OF AMERICA, INC. THIS FIRST AMENDMENT TO CDBG PROGRAM AGREEMENT (this "First Agreement") is made and entered into by and between the City of Clearwater, Florida, a Florida municipal corporation, with a principal address of P.O. Box 4748, Clearwater, Florida 33758 (the "City"), and Hope Villages of America, Inc., a Florida not-for-profit corporation, with a principal address of 503 S. Martin Luther King Jr. Ave., Clearwater, FL 33756 ("Subrecipient") (the City and Subrecipient shall be referred to collectively as the "Parties"). WITNESSETH: WHEREAS, the City administers a Community Development Block Grant ("CDBG") Public Facilities and Improvements Program, which is funded by the United States Department of Housing and Urban Development ("HUD"); and WHEREAS, the City submitted its Annual Action Plan (the "Action Plan") for the fiscal and program year ending September 30, 2026 (FY2025-2026), as approved by the City of Clearwater City Council, to HUD; and WHEREAS, The City is an entitlement community that receives CDBG funds awarded under the Housing and Community Development Act of 1974, in furtherance of its goal of promoting Public Services, Public Facilities and Improvements, and Housing Initiatives as further detailed in its Consolidated Plan for Housing and Community Development Programs 2025 -2029; and WHEREAS, Subrecipient is a not-for-profit organization that provides a comprehensive range of programs and services to address critical community needs. Subrecipient's services include abuse services, housing stability and homelessness prevention, affordable housing, and addressing food insecurity; and WHEREAS, the Parties entered into that certain CDBG Program Agreement dated February 10, 2026 (the "Agreement") to utilize EIGHTY THOUSAND DOLLARS AND 00/100 CENTS ($80,000.00) in FY2025-2026 CDBG funds for rehabilitation of its Food Distribution & Basic Needs Warehouse in support of its Food Insecurity Program. The Subrecipient shall utilize these CDBG funds for facility improvements necessary to maintain operational efficiency and effectiveness, directly furthering the Subrecipient's mission to address food insecurity. The facility upgrades will enable the Subrecipient to continue providing services to low -and moderate -income (LMI) households within the service area, in accordance with the objectives of the CDBG program; and FY 2025-2026 CDBG PF (16426) First Amendment Hope Villages of America, Inc. (HVA Food Warehouse) Page 1 of 4 WHEREAS, Subrecipient was deemed eligible to undertake a Public Facilities Improvement Project in accordance with 24 CFR §570.201(c) Public Facilities and Improvements in support of activities benefiting Low and Moderate -Income ("LMI") persons, in compliance with a CDBG Program National Objective as defined in 24 CFR 570.208(a)(1) Low Mod Area Benefit activities and 24 CFR §570.200(a)(2); and WHEREAS, Subrecipient has available the necessary qualified personnel, facilities, materials, and supplies to carry out the proposed improvements. Such improvements are essential to ensure continued availability and accessibility of the facility and its services for residents eligible and qualified to receive such services. Residents shall be within the income limits for low and moderate -income persons as defined by HUD and adjusted annually, and which current income levels are attached as Exhibit "A" and incorporated herein by reference; and WHEREAS, all allowable expenses will be paid from available CDBG program grant funds on a reimbursement basis; and WHEREAS, the Parties now wish to amend the Agreement to allocate an additional subaward to Subrecipient in the amount of TWENTY-FOUR THOUSAND ONE HUNDRED FIFTY- FIVE DOLLARS AND 00/100 CENTS ($24,155.00) in FY 2025-2026 CDBG funds towards the project among other minor changes. NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the sufficiency and receipt whereof being hereby acknowledged, the City and Subrecipient agree as follows: 1. Recitals. The recitals set forth above are true and correct and are incorporated herein and made a part of this First Amendment. 2. Amendment. The Agreement is hereby amended to reflect the following: a. The allocation of additional grant funds to Subrecipient in the amount of TWENTY- FOUR THOUSAND ONE HUNDRED FIFTY-FIVE DOLLARS AND 00/100 CENTS ($24,155.00) for a new total grant amount of ONE HUNDRED FOUR THOUSAND ONE HUNDRED FIFTY-FIVE DOLLARS AND 00/100 CENTS ($104,155.00). 3. In the event of conflict or ambiguity between the terms and provisions of this Frist Amendment and the Agreement, the term and provisions of this First Amendment shall control to the extent of any such conflict or ambiguity. 4.
