This Clearwater Sister Cities Partnership Agreement ("Agreement") is made and entered into this
day of April 2026 by and between the City of Clearwater, whose address is: 600 Cleveland Street, Suite
600, Attn: City Manager's Office, Clearwater, FL 33755, (hereafter referred to as "City"), and the
Clearwater Sister Cities, whose address is: 2664 Augusta Dr. N Clearwater, FL 33761 (hereafter referred
to as "CSC") and hereafter collectively referred to as "Parties";
WHEREAS, it has been determined to be highly desirable and socially responsible to provide assistance for
the facilitation and support of cultural and exchange programming; and
WHEREAS, the mission of CSC is to promote cultural understanding, friendship and global partnerships
through exchanges with Clearwater's sister Cities and foster an environment for furthering international
relations;
WHEREAS, the CSC provides cultural programming, student exchange and host family assistance to
supplement and support initiatives and programs of the City; and
WHEREAS, the City desires to partner with, and provide support to, CSC in fulfilling its mission;
NOW, THEREFORE, the Parties agree as follows:
1 TERM
1.1 The term of this Agreement shall commence March 1, 2026 and continue through December 31,
2026 ("termination date") unless earlier terminated under the terms of this Agreement.
2 RESPONSIBILITIES OF CSC

2.1 CSC will invoice the City at the commencement of this Agreement in the amount of $10,000. Funds
granted by the City shall be used for general operating and administrative support of CSC in
fulfillment of the organization's mission and for the implementation of the responsibilities outlined
in this Agreement, including administrative support provided by a newly appointed Executive
Director or other hired staff.
2.2 CSC will provide historical, cultural, educational, and social events and projects to its members and
the public.
2.3 CSC will collaborate with City staff and Pinellas County School staff to review and update the high
school exchange procedures and create a comprehensive guide and training material to help
prepare homestay families, host schools and educators.
2.3.a.1 CSC will coordinate the distribution and collection of feedback surveys from visiting Japanese
students participating in exchanges in Clearwater, as well as surveys from Clearwater host
families. CSC will compile and provide summary reports to the City to support program
evaluation and continuous improvement.
2.3.a.2 A CSC representative (whether board member or hired administrator) will attend all Clearwater -
based high school student orientations in 2026, and will create and maintain a formal
presentation, developed in coordination with Pam Benton, to be used for future orientations for
Clearwater High School students traveling to Nagano.
2.4 CSC will assist with social media content development and will share all necessary City exchange -
related posts through CSC communication channels.

2.5 CSC will create a comprehensive host family packet for the 2026 exchange year and will conduct
two (2) host family orientations annually — one (1) for middle school host families and one (1) for
high school host families. These orientations may be conducted in person or virtually.
2.6 CSC will host one (1) virtual information session about the middle school and high school
programs and assist with two (2) in-person information tables at applicable events or schools to
promote student exchanges and host family opportunities.
2.7 CSC will appoint a representative to serve on the interview panel for the high school exchange
student selection process and will assist in the selection of PCSB teachers participating in the
teacher exchange program.
2.8 CSC Executive Director and/or hired administrative support will serve as the primary point of
contact during the student exchange for both visiting students and teachers from abroad and
Clearwater -based homestay families. For all 4 exchanges, CSC in conjunction with the City of
Clearwater Cultural Affairs Division will be available to support communications, troubleshoot issues
and attend key group events as needed.
2.9 CSC will research, support, and help facilitate potential exchange partnerships with local colleges.
CSC will conduct exploratory research and provide a summary of options for activating the City's
new Sister City relationship with lxmiquilpan, Mexico, including digital exchanges.
2.10 CSC will assist with identifying grant partnerships, preparing grant applications, and facilitating
proposals related to exchange programming or cultural events. If grant applications are successful,
CSC will assist in implementing grant -funded programming in conjunction with the City and ensure
compliance with all applicable grant requirements, including reporting.

2.11 CSC shall create and maintain complete and accurate financial and accounting records, books,
documents, policies, practices, procedures, and any other information necessary to fully reflect its
financial activities related to this Agreement. CSC agrees to provide such records upon request to
the City to document the proper, prudent, and lawful stewardship and use of public funds.
2.12 Within thirty (30) clays following the close of its fiscal year, CSC agrees to submit to the City an
annual written report detailing activities conducted under the provisions of this Agreement. The
report shall identify the number of participants served, the type of programs and activities offered,
and a summary of outcomes achieved during the reporting period.
2.13 Any expenditures made using City grant funds must be incurred and expended before December
31, 2026, unless otherwise approved in writing by the City.
2.14 CSC agrees that no person will, on the grounds of race, gender, orientation, handicap, national
origin, religion, marital status, or political belief, be excluded from participation in, denied the
benefits, of, or be otherwise discriminated against as an employee, volunteer, user, or client of the
Society.
a. CSC agrees to include the requirements to adhere to Title VI and Title VII of the Civil Rights Act
of 1964 in all approved sub -contracts.
b. In the event of a breach of any of the above non-discrimination covenants, the City shall have
the right to terminate this Agreement immediately.
3 RESPONSIBILITIES OF THE CITY

3.1 The City agrees to provide CSC with a one time sum in the amount of $10,000.00 (ten thousand
dollars) for the duration of this Agreement, upon receipt of invoice.
a. The funds granted by the City shall be used for general operating and administrative support of
CSC in fulfillment of the organization's mission and for the implementation of the
responsibilities outlined in this Agreement under Section 2, including administrative support
provided by a newly appointed Executive Director or other hired staff.
b. A report of qualifying expenditures must be provided by December 31, 2026.
3.2 The Cultural Affairs Division will serve as the contract administrator and City liaison for the CSC.
3.3 The City agrees to promote CSC and its events performed under this Agreement through normal
City communications, such as www.myclearwater.com, the City Facebook page and social media;
internal staff communications; flyers; and messages to partner organizations.
4 INDEMNIFICATION
4.1 Subject to Florida Statute 768.28, the CSC and its members agree to indemnify and hold free and
harmless, assume legal liability for and defend the City, and its officers, employees, agents, and
servants, whether they are current or former, from and against any and all actions, claims, liabilities,
assertions of liability, losses, costs and expenses, in law or in equity, including but not limited to
attorney's fees at trial and appellate levels, reasonable investigative and discovery costs, court costs,
or claims for bodily injury or death of persons and for loss of or damage to property, except as
provided for herein, or every kind and nature whatsoever, which in any manner directly or indirectly
may arise or be alleged to have arisen or as a result of the duties and obligations as required by this
Agreement that which has resulted or alleged to have resulted from the negligent acts or omissions

or other wrongful conduct of or the infringement of any copyright by the CSC. Nothing contained
herein is intended to serve as a waiver by the City of its sovereign immunity, to extend the liability of
the City beyond the limits set forth in Section 768.28, Florida Statutes, or be construed as consent by
the City to the sued by third parties.
5 NOTICE
Any notice required or permitted to be given by the provision of this Agreement shall be conclusively
deemed to have been received by a party hereto on the date it is delivered to such party at the address
indicated below:

6 DEFAULT
6.1 Failure or refusal by CSC or its members to perform or do any act herein required shall constitute
a default. In the event of a default, in addition to any other remedy available to the City, the City,
upon thirty (30) days written notice, may terminate this Agreement. Such termination does not
waive any other legal remedies available to the City.
7 TERMINATION
Either party may terminate this Agreement with thirty (30) days written notice without any
further obligation. The City may terminate this Agreement immediately for failure to adhere to any
of the provisions of this Agreement as determined by the City in its sole discretion. Upon

termination, CSC would be required to reimburse the city any funds not used for the purpose
outlined in this Agreement.
8 DISCLAIMER OF WARRANTIES
This Agreement constitutes the entire agreement between the parties on the subject hereof and
may not be changed, modified, or discharged except by written amendment duly executed by both
parties. No representations or warranties by either party shall be binding unless expressed herein or
in a duly executed amendment hereof.
