Vision Cable Communications, Inc. has requested that we provide
you a letter of reference in support of its bid for the cable \
television franchise of Clearwater, Florida.

We are pleased to report that Vision Cable has been a valued
borrowing customer here since September 1977. At this time
we serve as the company's agent bank under a $12 million
unsecured term loan and an $11 million revolving credit. We
are in the process of increasing the latter facility to
$21ml1.Tion. At -tj,-i'-preeent- time Vision- Cable has a maximum
unu~-ed-credit availability of $3.1 million under existing
facilities which will become $13.1 million as soon as the
pending documentation is completed. We have been asked by
the c~pany to reserve $6 million of their available credit
for use in the Clearwater franchise.
We are thoroughly familiar with Vision Cable's operations and
management, hold the company in high regard, and can recommend
it to you with enthusiasm.
