LETTER OF UNDERSTANDINGLETTER OF UNDERSTANDING
This Letter of Understanding ("LOU") is between the City of Clearwater Parks and
Recreation, (hereby known as "City"), P.O. Box 4748, Clearwater, Florida 33758-4748,
and Ruth Eckerd Hall, Inc., (hereby known as "REH"), [ADDRESS], for the Clearwater
Sea -Blues Festival Weekend, scheduled to take place Saturday, February 28 and
Sunday, March 1, at Coachman Park, The BayCare Sound (SND) Plaza and
surrounding areas, Clearwater, Florida.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained
herein and other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties agree to the LOU as follows:
A. Ruth Eckerd Hall (REH) Responsibilities
1. REH shall be the sole provider of all alcoholic beverage sales during the event
on Saturday, February 28 and Sunday, March 1, with approximate service times
from 1:00 PM to 8:30 PM each day.
2. REH shall provide all required bartenders, barbacks, and supervisory staff, and
shall supply all alcoholic beverage products. '
3. REH shall be responsible for all labor and product expenses associated with
beverage service.
4. REH may operate kiosk bars in The BayCare Sound Plaza and service the
designated Captain's Krewe / VIP area located adjacent to the stage. Any
additional locations to be communicated and approved by the City.
5. REH may sell aluminum bottled water and snack items (including but not limited
to popcorn and pretzels) from its concession booth, these items would not be
included in the agreed upon revenue share.
6. REH shall obtain all required liquor license extensions and permits necessary
for the event.
7. REH shall handle cleaning and disposal of waste inside concession areas and all
product -related service materials (e.g., empty cases) for the items they are selling
or utilizing at the event.
8. REH shall provide access to artist dressing rooms and catering room for
performers during the event and maintain responsibility for trash and cleanliness of
dressing rooms and restrooms inside of The BayCare Sound.
B. City of Clearwater (City) Responsibilities
1. The City shall provide event security and police services for the duration of the
event.
2. The City shall manage and enforce fencing and access control to ensure no
alcoholic beverages leave designated service areas, while allowing general
public circulation without alcohol.
3. The City shall be responsible for all public trash removal and restroom
servicing during and following the event.
4. The City will retain food vendors to sell non-alcoholic beverages and food
products throughout other areas of the event outside of The BayCare Sound plaza.
C. Revenue Settlement
1. All alcoholic beverage revenues shall be reconciled post -event.
2. Revenue from alcoholic beverage sales to follow the below split following the event
and after Taxes are taken off of the overall gross sales figures.
a. Sixty -Five Percent of sales (65%) to REH
b. Thirty -Five Percent of sales (35%) to the City
3. REH will cover costs of labor + product
4. REH shall provide supporting documentation for revenues and expenses
associated with this LOU within thirty (30) days following the event.
D. Additional Terms
1. VIP drink tickets shall be redeemable for designated beverage items as mutually
agreed upon by the parties prior to the event.
2. Any modifications to this LOU must be agreed to in writing by both parties.
