PARTNERSHIP AGREEMENTPARTNERSHIP AGREEMENT Between St. Petersburg College and the City of Clearwater Downtown Development Board This Partnership Agreement ("Agreement") is made and entered into as of the 4th day of November , 2025, by and between St. Petersburg College (SPC), located at 13805 58th St N, Clearwater, FL 33760, and the City of Clearwater Downtown Development Board Downtown Development Board ("DDB"), located at 112 S Osceola Ave, Clearwater, FL 33756. SPC and the DDB may hereinafter be referred to individually as a "Party" and collectively as the "Parties." 1. Purpose The purpose of this Agreement is to establish a strategic partnership between St. Petersburg College (SPC) and the City of Clearwater Downtown Development Board ("DDB") to plan, promote, and implement a Friday Night Market series in Downtown Clearwater, 400/500 Blocks on Cleveland St., Clearwater, FL. The market will provide a platform for student entrepreneurs, local vendors, and the broader community to connect through a vibrant, family -friendly event that fosters economic development, cultural celebration, and community engagement. 2. Event Description The Friday Night Market will consist of six events, held, between 6:00 PM and 9:00 PM on: • January 9, 2026 • January 16, 2026 • January 23, 2026 • January 30, 2026 • February 6, 2026 • February 7, 2026 In the event that a scheduled market is canceled due to inclement weather and setup resources are available, the College shall be entitled to a credit applicable toward the next available calendar date. The rescheduled date will be determined in coordination with Special Events and relevant City Departments, including Parks and Recreation and the City Police Department, and communicated to the public via social media and other official announcement channels. The Parties agree that the rescheduled date shall be subject to mutual agreement and availability. Each market event will feature: • Up to 30 vendors, including SPC students and local businesses • One stage of live entertainment, featuring student performers (by invitation only, representing themselves) and a DJ 3. Responsibilities of SPC SPC agrees to perform the following: • Event Management Plan and execute the market series, ensuring effective coordination, logistics, and vendor engagement. • Partnership with Saturday Shoppes Collaborate with Saturday Shoppes to manage event oversight, and vendor recruitment. Serve as the liaison with the City of Clearwater Downtown Development Board and oversee event operations and vendor coordination. • Marketing & Outreach Lead promotional efforts, including flyer development, social media, digital marketing, and leveraging SPC's internal and external communication networks. • Vendor Recruitment Prioritize student entrepreneurs and local businesses to ensure a dynamic and diverse vendor marketplace. 4. Responsibilities of the City of Clearwater Downtown Development Board The City agrees to provide the following: • Permitting & Approvals Expedite and facilitate all necessary permits, including street closures, vendor operations, noise ordinances, and health/safety requirements. • Public Safety Coordinate police presence, traffic management, and EMS services to ensure the safety of all attendees. • Venue Infrastructure Provide access to electricity, water, lighting, restroom facilities, and waste management services. • Marketing Support Promote the event through the City's website, newsletters, and social media platforms to maximize public visibility. • Financial Contribution Provide $50,000 in financial support to help cover event infrastructure, entertainment, vendor coordination, and related logistics. An additional up to $40,000 will be contributed in in-kind services, including applicable City fees. 5. Funding and In -Kind Contributions SPC will contribute in-kind time, coordination, and marketing efforts. The City's financial contribution of $50,000 will be used exclusively for operational needs related to the Friday Night Market series. 6. Term and Termination This Agreement shall be effective upon signature by both Parties and shall remain in effect until the conclusion of the event series on February 7, 2026, unless extended or terminated earlier by mutual written agreement. Either Party may terminate this Agreement with thirty (30) days' written notice. The Parties have the option to renew this Agreement for an additional one (1) year term upon written agreement of both parties. The renewal term shall be governed by the same terms and conditions set forth in this agreement unless otherwise agreed in writing by the parties. 7. General Provisions • Modification: Any amendments to this Agreement must be made in writing and signed by authorized representatives of both Parties. • Compliance: Both Parties agree to comply with all applicable local, state, and federal regulations in the execution of their responsibilities. • Discrimination: Neither the College nor Contractor will discriminate in its employment practices relating to this agreement, provision of services to the College's students and the general public in relation to this agreement, on the basis of race, ethnicity, color, national origin, religion, age, sex, marital status, sexual orientation, gender identity, genetic information, or pregnancy nor will either discriminate against any qualified person with a disability. The parties agree that sexual harassment constitutes discrimination on the basis of sex. 8.
