BILL OF EXCHANGE
KNOW ALL MEN BY THESE PRESENTS:
That the City of Clearwater, a municipal corporation
under the laws of the State of Florida, hereinafter referred to
as "Clearwater", and Town of Largo, a municipal corporation
under the laws of the State of Florida, hereinafter referred to
as "Largo", for and in consideration of the mutual exchange and
conveyance of assets as hereinafter described, together with
payment of the sum of Two Hundred Thirty-Six Thousand One Hundred
Fifty and 25/100 Dollars by Town of Largo to Clearwater, the
receipt of which is hereby acknowledged by Clearwater, do hereby
sell, assign, transfer, convey and exchange assets as follows:
1. Clearwater conveys to Largo' all water pipe materials,
valves, water meters, attachments and appurtenances and customer
deposits and easements or rights of easements in which or over
which said personal property is located comprising its water
distribution system lying within the Largo service areaas described
in Ordinance No. C-453 of the Town of Largo, less and excepting
any portion thereof within the present city limits of Clearwater and
less and excepting any of the foregoing assets necessary to provide
water distribution service to such municipal areas of Clearwater
lying within such Largo service area.
2. Largo conveys to Clearwater all sewer pipes, manholes,

trunk mains, lift stations, appurtenances and easements or rights
of easements in which or over which said personal property is
located comprising its sewage collection system lying and being

portion thereof within the town limits of Largo as presently
defined, and less and excepting any connector or main trunk lines

necessary to service sewage collection for such areas within
the town 1imts of Largo lying north of the center line of Be11eair
Road.
TO HAVE AND TO HOLD THE SAME UNTO each of the said
Grantees, its successors and assigns forever.
This exchange and conveyance of assets is made subject
to and without impairment of the obligations to or the right of
any bond holders holding water or sewer utility revenue bonds of
either Clearwater or Largo. However, each Grantor does hereby
indemnify and hold harmless each grantee of and from any claims
of such bond holders and does otherwise fully warrant the title
to the assets herein transferred to such grantee.
Each Grantee shall be entitled to all income, revenues,
receipts and collections from the assets obtained by it by virtue
of this agreement effective from and after the date hereof.
