Dear Mr. Margolis:
Thank you for choosing Manson Bolves Donaldson Tanner, P.A. to serve as counsel for
the above-named matter. This will serve as a proposal of the terms under which our firm will
provide legal services to you regarding the above. This letter is intended to briefly explain our
billing practices and procedures.
This retainer agreement does not assume the initiation of any litigation or administrative
proceedings before the division of administrative hearings. If such action is necessary or
recommended we will meet with the client for the purpose of discussing the options available and
the cost of pursuing those options.
Our fees will be based upon the ethical rules governing our practice. The amount of our
statement will be the fair value of the services provided considering the time spent by the lawyers
involved, the type of service we are being asked to perform, any special level of expertise required,
the size and scope of the matter, the results obtained, and other relevant considerations.
The hourly attorney rate charged will be $275.00 hour for Senior attorneys, $275.00/hour
for Associates, and $125.00/hour for Paralegals. Other lawyers, law clerks, and legal assistants of
our firm may participate in the representation to the appropriate extent. Our fees for these matters
under this retainer agreement will not exceed $100,000.
It is our policy to provide you the most effective support systems available, while at the
same time allocating the costs of such systems in accordance with the usage of the services by

individual clients. Therefore, in addition to our fees for legal services, we also charge separately
for certain costs and expense disbursements, including messenger, courier, and other
communication costs; long-distance telephone; docrnnent reproduction; and computer research
facilities. These items will be billed at cost. Large disbursement billings may be forwarded by us
to you for direct payment by you to the supplier.
Our billing statements to you will be rendered monthly and are due and payable upon
receipt. We will make every effort to include disbursements in the statement for the month in
which the disbursements are incurred. Some disbursements are not available to us until the
following month in which case a supplemental statement will be rendered for these additional
charges.
We appreciate the oppoliunity to be of service to you now and in the future. Our goal is to
provide legal services to you on the most cost-effective basis possible. If at any time you wish to
either discuss our billing policies and procedures generally, or a particular statement specifically,
we encourage you to contact us.
Please indicate your understanding of the agreement to the above-described engagement
by signing and dating this letter in the spaces provided below. Please do not hesitate to contact
me should you have any questions or comments.
