FIRST AMENDMENT TO COMMUNITY DEVELOPMENT BLOCK GRANT (CDBG) PROGRAM AGREEMENTFIRST AMENDMENT TO COMMUNITY DEVELOPMENT BLOCK GRANT (CDBG) PROGRAM AGREEMENT BETWEEN THE CITY OF CLEARWATER, FLORIDA AND LEARNING INDEPENDENCE FOR TOMORROW, INC. THIS FIRST AMENDMENT TO CDBG PROGRAM AGREEMENT ("this First Amendment") is made and entered into by and between the City of Clearwater, Florida, a Florida municipal corporation, with a principal address of P.O. Box 4748, Clearwater, Florida 33758 (the "City") and Learning Independence for Tomorrow, Inc. dba L.I.F.T., a Florida not-for-profit corporation, with a principal address of 1005 South Highland Avenue, Clearwater, FL 33756 ("LiFT" or "Subrecipient") (the City and Subrecipient shall be referred to collectively as the "Parties") WITNESSETH: WHEREAS, the Community Development Block Grant Program ("CDBG") is administered by the United States Department of Housing and Urban Development ("HUD"); and WHEREAS, the City is an entitlement community that receives CDBG funds awarded under the Housing and Community Development Act of 1974, in furtherance of its goal of promoting community development and improvement of public facilities, as further detailed in the Consolidated Plan for Housing and Community Development Programs 2020/2021-2024/2025; and WHEREAS, LiFT is a private not-for-profit corporation that provides education, inspiration, and empowerment to people with neurodiversity to learn, thrive, and succeed; and WHEREAS, the Parties entered into a certain CDBG Program Agreement dated February 3, 2025 (the "Agreement) to utilize $105,330.00 CDBG Funds to enable LiFT to install a playground on the campus of LiFT to serve K-6 student population living with neurodiversity; and WHEREAS, these services are an eligible activity under the CDBG program in accordance with 24 CFR §570.201- Public facilities and improvement project. It is a limited clientele activity and meets a national objective as required under 24 CFR §570.200(a)(2) and 24 CFR §570.208(a)(2); and WHEREAS, LiFT has available the necessary qualified personnel, facilities, materials, and supplies to perform such services and/or carry out such programs for these residents, who are eligible and qualified to receive said services and are within the income limits for low- and moderate -income persons as defined by HUD and adjusted annually, and which current income levels are attached as Exhibit "A" to the Agreement and incorporated herein by reference. WHEREAS, the Parties now wish to amend the Agreement to extend the term to September 30, 2026. FY 2025-26 CDBG LiFT (LiFT Academy Playground Equipment for Neurodivergent Children) PF 16160 Page 1 of 4 NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the sufficiency and receipt whereof being hereby acknowledged, the City and LiFT agree as follows: 1. Recitals. The recitals set forth above are true and correct and are incorporated herein and made a part of this First Amendment. 2. Amendment. The Agreement is hereby amended to extend out the term to September 30, 2026. 3. In the event of conflict or ambiguity between the terms and provisions of this First Amendment and the Agreement, the terms and provisions of this First Amendment shall control to the extent of any such conflict or ambiguity. 4. All sections of the Agreement not expressly amended herein shall remain in full force and effect. IN WITNESS WHEREOF, the Parties have executed this First Amendment on this day of August 2025.
