SUBORDINATION AGREEMENT
WHEREAS, a mortgage was given by Community Service Foundation, Inc, a Florida not-
for-profit corporation ("CSF"), to the City of Clearwater, Florida, a Florida municipal corporation
(the "City") dated September 10, 2003 and recorded on September 12, 2003 in O.R. Book 13067,
Page 65, as modified by that certain mortgage modification agreement dated November 20, 2009
and recorded on December 21, 2009 in O.R. Book 16783, Page 1069, as further modified by that
certain mortgage modification agreement dated May 5, 2016 and recorded on May 13, 2016 in
O.R. Book 19191, Page 1872, as further modified by that certain mortgage modification agreement
dated December 9, 2022 and recorded on December 12, 2022 in O.R. Book 22288, Page 345, all
of the Public Records of Pinellas County, Florida, in the total amount of $151,333.33 (collectively,
"Mortgage 1"); and
WHEREAS, another mortgage given by CSF to the City dated and recorded on March 1,
2017 in O.R. Book 19537, Page 2097 of the Public Records of Pinellas County, Florida in the
amount of $110,234.55 ("Mortgage 2"); and
WHEREAS, both Mortgage 1 and Mortgage 2 encumbering the following described real
property:
Parcel 1:
Lots 1, 2, 3 and the West 1/4 of Lot 4, block D, 1st ADDITION TO NORWOOD,
according to the map or plat thereof, as recorded in Plat Book 5, Page 79 of the Public
Records of Pinellas County, Florida, less and except any portion thereof lying within
Fulton Street right-of-way; and also less and except any portion thereof lying within
CSX Railroad right-of-way.
Parcel 2:
Lots 3 through 7, Block H, AVONDALE SUBDIVISION, according to the map or plat
thereof as recorded in Plat Book 7, Page 40, of the Public Records of Pinellas County,
Florida; less and except any portion thereof lying within Fulton Street right-of-way;
and also less and except any portion thereof lying within CSX Railroad right-of-way.
and;
WHEREAS, Flagship Bank, a Florida corporation (the "Bank"), has agreed to make a new
mortgage loan to CSF in the amount of Three Hundred Sixty -Five Thousand And No/100 Dollars
($365,000.00) (the "New Mortgage Loan"), covering the property above described, provided
Mortgage 1 and Mortgage 2 are subordinate to it; and
WHEREAS, the City, in order to induce the making of the New Mortgage Loan, desires to
subordinate Mortgage 1 and Mortgage 2 to the New Mortgage Loan.
NOW, THEREFORE, for the sum of One Dollar ($1.00) and other good and valuable
consideration, the City agrees that Mortgage 1 and Mortgage 2 are made subordinate and inferior
to the New Mortgage Loan.
IN WITNESS WHEREOF, the City and CSF have executed this agreement this day
of September, 2025.
