FIRST AMENDMENT
TO
ORDER FORM AGREEMENT
This First Amendment ("First Amendment") is made and entered into as of the last date of signature
below ("First Amendment Effective Date"), by and between ACCELA, INC. ("ACCELA") and CITY OF
CLEARWATER, FL ("Customer"), and amends that certain Order Form Agreement, Q-32954, dated June
12, 2024,between ACCELA and Customer("Agreement").
WHEREAS, ACCELA and Customer wish to amend the Agreement, in accordance with the terms
and conditions of this First Amendment;
WHEREAS, the capitalized terms not otherwise defined herein will have the meanings ascribed to
them in the Agreement; and
WHEREAS, ACCELA and Customer agree that, with the exception of any agreements that are
presently active under the Agreement, which remain in full force, this First Amendment modifies the
Agreement between the parties commencing as of June 12, 2024.
NOW THEREFORE,in consideration of the mutual covenants and undertakings contained herein,and
subject to the terms and conditions set forth herein, the parties hereby agree as follows:
1. Section "Services"of the Agreement is hereby amended by deleting the existing"Services"and
inserting the following in lieu thereof:

2. Section 8 is hereby added to the Agreement and shall hereafter be read as follows:
The Enhanced Reporting Database (ERD)will be provisioned for Customer in March 2025 and,once
provisioned,the additional cost for ERD will be added to the Net Total for Services Year 1 and Net
Total for Services (Coterm) Gap Per as per the pricing for ERD shown in Year 1.
3. Except as so amended,all other provisions of the Agreement shall remain unchanged.
IN WITNESS WHEREOF, the parties hereto have executed, or caused their duly authorized
representatives to execute, this First Amendment as of the First Amendment Effective Date.
