The City Commission at its meeting of September 17, 1987, approved the
above described revalidation subject to the previous conditions of approval
with an amended #5 to read as follows:
5. The requisite initial building permit shall be procured prior to
December 25, 1987 and all requisite certificates of occupancy shall be
procured within two (2) years from the date of issuance of the initial
building permit.
This memo should be attached to the final site plan certified by the City
Clerk on June 25, 1986.

On November 17, 1983, the City Commission approved the final site
plan for Park Place, Phase I, Tract I subject to several
conditions. On Octoper 17, 1984, the City Manager approved the
final site plan for J. J. Muggs Restaurant subject to several
cond1t1ons which included a requ1rement that the site plan for
Park Place, Phase I, Tract I be rev1sed to reflect the J. J.
Muggs Restaurant site plan. The site plan for Park Place,
Phase I, Tract I, 1oclud1ng the restaurant, was revlsed and
approved by you on November 5, 1984.
The developer 1S requestlog a minor plan change to reflect a
reconfiguration of the six parking spaces located in the
northeast and southeast corners of the southeast parking area and
has added tQe nota regarding parking.
I recommend you approve the attached revised final slte plan for
Park Place, Phase I, Tract I subject to the previous conditlons
of approval as follows:
1. Compliance with the Development Order, as amended, and the
Annexation Agreement, as amended, appllcable to th1S
property.
2. Construction plans for street lighting, type and location
acceptable to the Traffic Engineering Department.
3. Construction plans for storm water retention d1scharge and
erosion control acceptable to the Publ1C Works Department.
4. Sidewalks and b1cycle lanes be provided in a location and of
a design acceptable to the Planning Department.
5. The parkland dedication payment of $600,000 be conveyed to an
independent trustee designated by the Clty 1D accordance with
the amended annexat10n agreement. (has been met).
6. Payment of inltial traffic improvement contr~butlon of

Assistant City Manager, no flll in permlts will be lssued
for the last 6,300 sq. ft. of offlce space 1n the offlce
building until those 21 spaces are provlded.

550 feet east of U.S. 19. The total area of Tract 1 of Phase I is 19.18
acres H.Q.l.
The Land Use Plan classlflcatlon 1S Co~merc1al/Tour1st Fac1lltles. The
zoning designatlon is CG (General Buslness) Dlstr1ct.
Plans are to construct three one-story retail build1ngs conta1nlng 50,079
square feet wlth a floor area ratlo of .17 and one Slx-story offlce
build1ng contianlng 121,499 square feet ~lth a floor area ratlo of .25.
Access to thl5 proJect area w1ll be from Gulf-to-Bay Boulev1rd with the
construct1on of a portlon of the proposed Park Place Boulevard.
The prelimlnary slte plan for Phase I of Park Place was dp~roved by the
C1tj Commisslon on Septe~ber 15. 19B3 subject to cond1tlons.
The Resource Development Commlttee on September 22, 1983 recommended
approval of the final site plan for Tract 1 of Phase I subJect to
condltlons WhlCh have been met or are 1nclude 1n the recommendat1on.

ORDINANCE. \
WHEREAS, on July 16, 1982. Metro uevelopment
Corporatlon (1I0eveloper") fl1ed an Appllcatlon for
Uevelopment Approval of a Development of Reglonal Impact
("ORI") wlth the Clty of Clearwater (IIClty"). the Tampa Bay
Reglonal Pl annl ng Councll (IlTBRPCIl), the Fl orl da Department

of Communlty Affairs ("DCA") and other state, reglonal and
local agencies, pursuant to the provls1ons of Sectlon
380.06, Florlda Statutes {1981). and
WHEREAS. on October 11, 1982, the Developer flled
wlth the Clty an Amendme~t to the Appllcatlon for
Development Approval and submltted caples of the Amendment
to all appraprlate agencles, and
WHEREAS, the Appllcatlon for Development Approval,
as amended (IIADA"), proposes the development of Park Place,
a 99 acre planned retall and offlce complex 1n the Clty of
Clearwater near the lntersectlon of U.S. Hlghway 19 and
State Road 60 (herein SOhletlmes referred to as "Park P1ace"
or "proJectll). and
WHEREAS, the Clty Commlssl0n, as the governlng
boay of the local government havlng Jurlsdlctlon pursuant to
Sectlon 380.06, Florlda Statutes, 15 authorlzed and
empowered to conslder appllcatlons tor development approval
for developments of reglonal lmpact; and
WHEREAS, the publlC notlce requlrements of Sectlon
380.06, Florlda Statutes, have been complled wlth, and

WHEREAS, the Clty Commlsslon has recelved and
cons1dered the report and recomMendatlon of the TBRPC, and
WHEREAS, the Clty CommlSS10n has on August 18,
1983, held a duly notlced publ,c hearlng on the ADA and has
heard and consldered testlmony and documents recelved
thereon; and
~HEREAS, thlS Development Order, when adopted wlll
const1tute a land development regulatlon applicable to the
pro per ty, and
WHEREAS, the Local GovernMent COMprehenSlve
Plannlng Act (IILGCPA") requlres that all development
regulatlons and amendments thereto related to an adopted
comprehenSlve plan or element thereof be revlewed by the
Local Plannlng Agency (IlLPA") for conformance wlth plans
adopted pursuant to the LGCPA, and
WHEREAS, the' Plnellas County Plannlng Coune11
(Pcpe) has been deslgnated the Local Plannlng Agency for
Plnellas County and the PCPC has adopted gUldel1nes wlth
reference to such requlred referral process; and
WHEREAS, thlS Ordlnance has been referred to ~nd
wl1l be duly conSldered by the pepc under sald process,
and
i-JHEREAS, the Clty COlTImiSS10n has revletJed arid
consldered the above referenced documents, as well as all
related test1mony and eVldence submltted by each party and
members of the general publ lC, now, therefore,
BE IT ORDAINED BY THE CITY COMI4ISSION OF Tilt CITY OF
CLEARwATER, FLORIDA:
Sectlon 1. Introductlon - That thlS Ordlnance shall
constltute the Development Order (<IthlS Order") of the Clty
CommlSSlon lssued In response to the ADA fl1ed by the Developer
for development of Park Place, a development of reglona1 lmpact.
The scope of development to be permltted pursuant to thlS Graer
shall be as herelnafter set forth.

Sectlon 2. Findlngs of Fact - That the Clty
Commlss1on. hav1ng recelv~d the above-referenced documents, and
havlng recelved all related comments. testlmony and eVldence
subm1tted by each party and members of the general publlC, flnds
there 1S substantlal competent eVldence to support the followlng
findlngs of fact:
A. The Developer proposes the development of Park Place, a
99-acre retall and offlce complex 1" the Clty near the
lntersect10n of U.S. Highway 19 and State Road 60.
B. The real property whlCh lS the subject of the ADA (the
"real property") lS legally described as set forth in
Exh1bit "A". attached hereto and by reference made a
part hereof.
C. A major portlon of the real property was the subject of
a request for annexatlon to the Clty accordlny to the
terms and condlt1ons of an Annexat10n Agreement approved
at publ1C hearlng on July 15, 1982, and recorded 1n O.R.
Book 5397, pages 2022 through 2031. lncluslve, of the
PubllC Records of P1nellas County, Florlda. Sald
Annexatlon A9reement lS amended and restated 1n lts
entlrety 1n the Flrst Amended and Restated Annexatlon
Agreement, as set forth 1n C:Xhlblt "BIl. attached hereto
and by ref ere n c e lil a d e a par the reo f . Sa 1 d ann e x a t 1 0 n
and Flrst Amended and Restated Annexation Agreement are
effectlve lmmedlately prlor to the adoptlon by the Clty
of thlS Order.
D. The C1ty Commlsslon 1n approvlng the Developer1s
orlglnal Anne~atlon Agreement on July 15, 1982, lmposed
the followlng condltlons on Park Place. WhlCh wl11 be

Clty and P1nellas County, in the form of construct1on
expendltures, (appraxlf:lately $41.1 mllllon), employment
opportun1t1es, (approxlmately 4,000 permanent Jobs) and
ad valorem taxes, (approxlmately $1.3 m1ll1on
annually).
G. ThlS ProJect wlll Yleld substant1al negative lmpacts on
the eXlstlng road system establlshed and malntalned by
the Clty, Plnellas County and the State of Florlda,
WhlCh road system does not at present operate ln all
cases at a deslrable level of serV1ce (IILOSII).
H. The ProJect development 1S not located In an area of
crltlcdl state concern as des1gnated pursuant to Sectlon
380.05, Florlda Statutes (1981).

ach1evement of the obJectlves of any adopted state land
development plants) applicable to the area.
J. A comprehensive reV1ew of the lmpacts generated by the
ProJect has been conducted by the C1ty and the TBRPC.
K. This Order lS consistent w1th the report and recom-
mendatlons of the TBRPC.
L. The Clty has establlshed land development regulatlons,
i~cludlng zonlng, approval of bUlldlng permlts, slte
plan reVle~ and subdlV1S1on regulat1ons, and pursuant to
these land development regulatlons, has the necessary
and adequate duthority to monltor, adm1nlster, and
enforce the provlslons of tn1s Order.
Sectlon 3. Concluslons of Law - That the Clty
COfllmlsslon, hav1ng made the above f1ndlngs of fact, reaches the
followlng conclu51ons of law:
A. That these proceedlngs have been duly conducted pursuant
to appllcable laws and regulatlons, and based upon the
record 10 thlS proceedlng, the Developer 1S authorlzed
to conduct development as descrlbed herein, subJect to
the rev 1 e VI pro c e d u res, r e q u 1 rein e n t s, con d 1 t 1 0 n s ,
restr1ctlons and llmltatlons set forth hereln.
B. That reVlew by the Clty reveals that lmpacts are
adequately addressed pursuant to the requlrements of
Sectlon 380.06, Florida Statutes, wlthin the terms and
condltlons of thlS Qrder.
Sectlon 4. Order. That, havlng made the above
flndlngs of fact and drawn the above concluSlons of la~, lt 1S
ordered that the ADA 1S hereby approved, subJect to the followlng
reVlew procedures, requ1rements, cond1tlons, restrlctlons and

Conceptual Plan included as Exhiblt "0", attached hereto
and by reference ~ade a part hereof, and accordlng to
the s1te plan reVlew procedures and crlteria. as well as

Qrdlnances. In particular, a prell~1nary s1te plan shall
be submltted for each phase. and lndlvldual floal slte
plans wlthln the respectlve phases shall be conSlstent
therewlth. Development of out-parcels lndlcated on the
Conceptual Plan shall be conS15tent wlth sald plan and
all out-parcel development will be subJect to 51te plan
approval procedures and shall be coordl~ated wlth the
overall Park Place development. Per~1tted maximum floor
dreas for Park Place are conSldered to be lncluSlve of
out-parcels both as to total project floor area and
floor area by phase.
a. All development pursuant to this Order shall be con-
s1stent wlth appllcable land development and bUlldlng
regulatlons, codes, ardlnances and pollcles 111 effect at
the tlme of appl1catlon for flnal s1te plan approval for
the respectlve components of the ProJect. No amendment
of any such regulatlon, code, ordlnance or POllCY
aoopted subsequent to the effectlve date of thlS Order,
however, shall preclude, or requlre any materlal
re~1S1on of. the type of use or amount of floor area as
set forth ln the Conceptual Plan.
C. The ProJect 15 approved for a total maXlmum floor area
of 1,253,000 square feet, comprlsed of a maXlmum
1,103,000 square feet of offlce use and a maXlmum
150,000 square feet of retall commerclal use. The
permltted maXlmum floor area 15 to be approved subject
to the FAR and phaslng 11mltatlons set forth below:

D. The Developer agrees to acqu1re land, or to pay the C1ty
for land required to be acqulred by the C1tj, to provlde
1ngress and egress to the Nest and to the south of the
ProJect. Speclf1cally, access to the west shall
lnterconnect w1th the eX1st1ng easement at the north end
of 11&B 19-1,20,20-1, and 20-1A (Benn1gan's, Ch1 Ch1'S
and Perkin's) to the U.S. 19 frontage road dnd through
the Benn1gan' s s1te to the eXlstlng traff1C llght at
State Road 60. Access shall be prov1ded to the south
through M&B 21, 21-1, and 22-1 (~cMullen Property) to
State Road 60, w1th the exact locat1on to be determlned
at t1me of prel irnl nary Sl te pl an approval for Phase I.
Sa1d lngress and egress shall be secured by fee slmple
acqu1s1t10n, rlght-of-way easement, or other appropr1ate
mechanlsm by e1ther the Developer or the Clty. If

acquls1t1on cannot be accomplished by the Developer on
terms acceptable to the Developer. then upon vlrltten
request of the Developer, the Clty agrees to the
utillzation of 1tS em1nent domain powers under Chapter
73. Flor1da Statutes to acqu1re such r1ght-of-way. The
Clty agrees to exerC1se such eminent domain powers
solely under Chapter 73, Florlda Statutes, 1f necessary,
wlth1n twelve (12) months after the effect1ve date of
th1S Order, consistent w1th the applicable prOV1s1ons of
law, 1n recogn1tion that 1t 1S in the publlC 1nterest
tnat such lngress and egress be obta1ned. In tne event
that the C1ty so exerC1ses 1tS power of em1nent doma1n
to acqu1re rights 1n any of the above reference~
property for lngress and egress. the Developer shall
compensate'the City 1n the a~ount of the condemnat1on
judgment; except where such Judg~ent exceeds the
appralsed value or average of appra1s~d values entered
1nto eVldence in the condemnat1on proceed1ng by the
C1ty, the C,ty and the Developer shall, subject to the
~utual consent of the Clty and the Developer as to the
reasonableness of the Judgment, share equally (50
percent each) the amount of the Judgment awarded ,n
excess of suCh appra1sed value or average values. The
cost of construct1ng such cannectlons to the adJo1nlng
property to the west and to State Road 60 to the south,
1n add1t1on to any other contr1butlons for on-Slte or
oft-s1te road improvements, w1ll be the respons1Dll1ty
of the Developer accord1ng to a schedule to be estab-
l1shed w1th the prel1m1nary 51te plan approval of Phase
1.

E. Pr10r to the approval of the ln1tlal flnal slte plan for
Phase I, funding commltments for constructlon from the
governmental entlties respons1ble for construct1on of
the follow1ng transportatlon lmprovements shall be made
or, 10 the alternat1ve, the Developer shall aSSUMe the
f1nanclal responsibl11ty for lts proportionate share of
the cost of constructlon of the transportat1on 1mprove-
ments.
1. At the U.S. 19j5.R. 580 and U.S. 19jCountryslde
Boulevard 1ntersectlons construct a grade-separated
lnterchange. ThlS lmprovement is currently pro-
gram~ed in the Plnellas County MPO Transportatlon
Improvement Program (constructlon to start 1n FY
1986-87).
2. At the U.S. 19jDrew Street intersection, reassess
the eXlstlng green tlme s19nal phaslng. ThlS
reassessment is to be done by the Clty wit~1n the
1983-84 work program of the Trafflc Eng1neerlng
Department of the Clty.
3. At the U.S. 19jRoosevelt Boulevard lntersectlon,
construct a grade-separated 1nterchange. ThlS
lmprovement lS currently programmed ln the Plnellas
County MPO Transportat1on Improvement Program (con-
structlon to start 1n FY 1985-86).
4. Construct access points to Park Place on Hampton
Road as needed. Excluslve turn lanes and a traffic
slgnal(s) may be needed. The cost of these lmprove-
ments shall be the sole respons1b1l1ty of the
Developer. Pursuant to subsectlon 4.Z., the
Developer shall pay the total cost of these lmprove-
ments and the Cl ty shall assume the responsl b, 11 ty
for construct1ng these lmprovements.

5. At the S.R. 60/Clearwater Mall Drive II intersectlon
construct two eastbound to northbound excluslve left
turn lanes. The cost of these improvements shall be
the sole responslb111ty of the Developer. Pursuant
to subsection 4.Z., the Developer shall pay the
total cost of these lmprovements and the C1 ty shall
assume the responsibllity for constructlng these
lmprovements. The City commits that lt 1'1111 let for
bld these improve~ents no later than twelve (12)
months from the effectlve date of thlS Order with a
scheduled construct1on completlon date no later than
twenty-four (24) months frolll the effectlve date of
thlS Order.
6. Install or renovate, as approprlate, trafflC slgnals
at the south project entrance and S.R. 60 and at
Hampton Road and S.R. 60. The cost of these
lffiprovements shall be the sole responslblllty of the
Ueveloper. Pursuant to subsectlon 4.Z., the
Developer shall pay the total cost of these 1mprove-
ments and the Cl ty shall assume the responsl bl 11 ty
for constructlng these i~provements.
7. Construct an exclusive left turn lane on S.R. 60
approach and an addltlonal through lane In each
dlrectlon on S.R. 60 at its lntersectlon wlth
Hampton Road. The cost of these llflprovefllents shall
be the sole responslbll1ty of the Developer.
Pursuant to subsection 4.Z. I the Developer shall pay
the total cost of these lmprovements and the Clty
shall assume the responslb111ty for constructlng
these 1mprovements.
8. Construct addlt10nal lanes on State Road 60 fro~
U.S. 19 to McMullen-Booth Road. ThlS 'mprove~ent 1 s
currently programmed In the Florlda Department of
Transportatlon Flve-Year Work Program w1th con-
structlon scheduled to start 1n 1986-87.

9. Construct addltlonal lanes on Sunset POlnt Road from
Keene Road to U.S. 19. ThlS lmprovement lS cur-
rently programmed 1n the Plnellas County MPO
Transportatlon Improvement Program wlth constructlon
scheduled to start ln 1986-87.
F. Prlor to the ap~roval of the lnltlal flnal slte plan for
Phase II, fundlng commltments for constructlon from the
governmental entltles responslbl~ for constructlon of
the follo'fllng transportatlon 1mprovements shall be made
or, 1n the alternat1ve, the Developer shall assume the
f1nanc1al responslblllty for 1tS proportlonate share of
the constructlon of the transportatlon l.nprovelllents.
1. At the U.S. 19/Drew Street lntersection construct a
grade-separated 1nterchange. In 1 leu of the fund1ng
commltment or the proport1onate share of the
constructlon cost, the follow1ng commltments may be
made:
a. Extend DrUld Road between Belcher Road and
Edenvllle ~oad. The completlon of th1S
lmprovement w1ll provlde a parallel rellever
access for State Road 60 and Drew Street. The
Clty 1S commltted to thlS lmprovement In ltS
1983-34 wor~ program.
b. Lxtend and wlden Drew Street as a four-lane
dlVlded l1nk (four through lanes and turn lanes
as are appropr1ate) between U.S. 19 and
l.ictvlullen-Booth Road. COflstructlon of urew
Street from Hampton Road east to McMullen-Booth
Road as a two-lane road lS currently programmed
1n the Pinellas County MPO Transportatlon
Improvement Program WIth constructIon s~heduled
to start In 1983-84. It 1S acknowledged that the

forego1ng extenslon of Drew Street that 15
programmed by Plnellas County ~PO wlll not
satlsfy the need for a four-lane dlvlded link
between U.S. 19 and McMul'en-Booth Road. The
Clty has assumed the responslblllty for those
lmprovements beyond those comlnltted and pro-
grammed 1n the Plnellas County MPO
Transportat1on Improvement Program.
c. Pursuant to subsectlon 4.0. the Developer shall
be responslble for the cost of the r1ght-af-way
and constructlon of the 1ngress and egress to
and from the south through M&B 21, 21-1 and
22-1. ThlS 1ngress and egress wl'l be located
so as to maXlmlze the use of Oruld Road V1a Sky
Harbor Drlve and Sevllle aoulevard (around the
per1meter of the Clearwater Mall).
d. Pr10r to the lssuance of the flrst cert1f1cate
of occupancy for Phase II, the Developer shall
provlde up to $125,000 to the Florlda Department
of Transportatlon for the constructlon plans of
the U.S. 19jDrew Street grade-separated 1ntcr-
change. These funds shall be prov1ded 1n order
to obtain a comm1tment for the constructlon of
the U.S. 19/Drew Street grade-separated 1nter-
change durlng Phase III.
2. At the U.S. 19/5.R. 60 1ntersectlon, construct an
eastbound to southbound exclus1ve r1ght turn lane
and 1n the edstbound and westbound dlrect10ns
construct one add1t1onal exclus1ve left turn lane.
Pursuant to subsectlon 4.Z., the Developer shall pay
1tS proportlonate share of the cost for construct1on
of thIS lmprovement.

3. At the U.S. 19/Bellealr Road lntersection, construct
an eastbound to southbound excluslve rlght turn
lane. Pursuant to subsection 4.Z., the Developer
shall pay lts proportlonate share of the cost for
constructlon of this lmprovement.
Prlor to the approval of the lnitlal flnal s1te plan for
Phase Ill, fundlng commitments for constructlon from the
governmental entitles responslble for constructlon of
the followlng transportation improvements shall be made
or, 1" the alternatlve, the Developer shall assume the
financlal responslbll1ty for its proportlonate share of
the cost of constructlon of the transportatlan lmprove-
ments.
1. At the U.S. 19/Bellealr Road intersectlon, convert
the excluslve rlght turn lane lnto a comblnatlon
through and rlght turn lane ln each directlon on
U.S. 19, and construct an excluslve eastbound to
southbound rlght turn lane on Bellealr ~oad. The
through lanes shall contlnue to the next lnter-
sectlon or some 10g1cal termlnus 1" accordance w1th
proper deslgn practlce. Pursuant to sUbs~ctlon
4.Z., the Developer shall pay ltS proport1onate
share of the cost for constructlon of these lmprove-
ments.
2. At the Belcher Road/Sunset POlnt lntersect1on,
construct excluslve rlght turn lanes on all
approaches, and construct add1tlonal through lanes
in each directlon on Sunset Point Road. The through
lanes shall contlnue to the next lntersectlon or
some lo91cal termlnus In accordance wlth proper
deslgn pract1ce. Pursuant to subsect10n 4.Z., the
Jeveloper shall pay 1tS proportlonate share of the
cost for construction of these lmprovements.

3. At the Belcher Road/S.R. 60 lntersectlon, construct
an addit10nal through lane and addit10nal excluslve
left and rlght turn lanes on all approaches. The
through lanes shall be cont1nued to the next
1ntersect1on or some 10g1cal termlnus 1n accordance
w1th proper deslgn pract1ce. Pursuant to subsect10n
4.Z., the Developer shall pay its proport1onate
share of the cost for construct1on of these 1mprove-
ments.
4. Constr!.lct add1t1onal access to Park Place on Hampton
Road as needed. Exclus1ve turn lanes and a trafflc
s1gnal (s) may be needed. The cost of these 1mprove-
ments shall be the sole responsl01l1ty of the
Developer. Pursuant to subsect10n 4.Z., the
Developer shall pay the total cost of these improve-
ments and the Clty shall assume the responS10111ty
for construct1ng these lmprovements.
5. On McMullen-Booth Road, construct addlt10nal lanes
from S.R. 60 to Sunset POlnt Road as 1S currently
programmed 1n the Pinellas County MPO Transportatlon
Improvement Program (constructlon to start ln FY
1984-85).
6. Install and/or relocate add1t1onal trafflc s1gnals
1n the project area at Drew Street and the north
project entrance, Drew Street and HaMpton Road, the
two south project entrances and State Road 60, and
State Road 60 and Hampton Road. These 1mprovements
are to be made 1n phas~s as 1S approprlate, but 1n
the1r entlrety by Phase III. The cost of these
lmprovements shall be the sole respons1b111ty of the
Developer. Pursuant to subsect10n 4.Z., the
Oeveloper shall pay the total cost of these 1mprove-

Coachman Road lntersections construct grade
separated lnterchanges, provlded, however, such
facl11tles shall not remaln a condltlon of approval
If TBRPC's transportatlon pollcles are amended or
the Developer, at the lnitlatlon of Phase III,
agrees to prepare and submit trafflc condltlon
lnfor~atlon documentlng that the lmprovements are no
longer necessary to mlt1gate reglondl lmpacts.
H. The Clty further agrees to the followlng:
1. In the lnterest of recognlZlng the commltments
toward road lmprovements made by the Developer and
to provlde for the treatment of other developments
In a comparable fashlon, the Clty wlll reVlew and
evaluate potentlal approprlate leglslatlon deal1ng
wlth local transportatlon lmpact fees,
2. The Clty wl'l cooperate wlth and expedlte, where
posslble, the deslgn of all FOOT lmprove~ents WhlCh
are necesSltated in part by Park Place, In partlc-
ular the U.S. 19/Drew Street grade-separated

3. The Clty wlll support as a hlgh prlorlty the earl}
schedullng and constructlon of a grade-sepdrdted

the redeslgnat10n of the U.S. 19/5.R. 60 area,
lncludlng Park Place, as a reglonal activlty center
under the TBRPC Regional Plan.
I. The developer shall, durlng construct1on of Phase I of
the ProJect, prepare a Transportatlon System ~anagement
(TSM) Plan, which shall be submitted for approval
COlnCldent with the submittal of the prellm1nary S1te
plan for Phase II of Park Place. The TSM Plan shall be
submltted to the Clty, the TBRPC, the P1nellas County
MPO, FOOT and the Plnellas Suncoast Transit Author1ty,
as appropriate. The plan of TSM ~easures as approved by
the Clty shall be lnst1tuted dur1ng Phase II of the
Project and implemented for the durat10n of the l1fe of
the Project, accordlng to the follow1ng:
1. Assure lmplementat1on, by 3 responslble entlty, of
Park Place worker flex tlme of sufflc1ent magn1tude
to d1vert 11.9 percent of total peak hour veh1cle
trlps projected 1n the ADA away from the peak hour

2. Assure 1mplementation, by a responslble entlty. of a
TSM program of Park Place worker rldesharlng, of

peak hour vehlcle trlps projected 1n the ADA away
from the peak hour trafflc. Incentlve measures to
achieve thlS divers10n may 1nclude preferentlal
park1ng, and/or coordlnatlng serv1ce, ~s appro-
prlate.

cooperatlon with the P1nellas Suncoast Transit

from the peak trafflc hour, provlded, however,
lmplementat10n of express bus serVlce shall not be
requlred untll flnal slte plan approval lS requested
for the 1nitial portlon of Phase III of Park Place.
Measures to achleve thls dlverslon shall lnclude

5. Actual experlence in lmplementdtlon of the TSM Plan
may lndlcate that the lndlvldual rates of reductlon
vary fro~ those descrlbed above. Any such varlances
shall be conSldered conslstent wlth thlS Order,
provlded that the overall cumulatlve reduct10n 1n
vehlcle trips lS at least 20.3 percent by the end of
Phase II and 22.3 percent In Phase III.
5. r10nl tOrl ng of the effectl veness of TSt1 programs
shall be conducted blennlally startlng wlth sub-
mlSS10n of a report concurrent wlth the flrst annual
report followlng prell!1l1nary Slte plan approval for
Phase I I. The monl tOrl ng methodol09Y shall be based
on generally accepted trafflc englneer1ng practlce
reasonably acceptable to the C1ty and conS1stent

achleved, the Clty may wlthold authorlzation of

hold a publlC hearlng conslstent wlth the provlSlons
of subsection 5.C. of thlS Order prlor to flnal slte
plan approvals requested subsequent to submlsSlon of
the TSM report for Phase II or prlor to prellffilnary
s1te plan approval for Phase III to evaluate the TSM
Plan and performance thereunder.
J. The Developer shall be responslble for all l~provements
made on the Park Place slte, and for constructlon and
malntenance of all open space, dralnage retention,
street med1ans, str~et 11ghtlng (lncludlng the cost of
SupplYlng electrlc1ty thereto), and access dr1ves and
roadways to and through the ProJect, lncludlng access
drlves across deslgnated land or easements yet to be
acqulred. The Developer shall be responslble for proper
malntenance of all on-slte development approved consis-
tent wlth the Conceptual Plan lncluded as Exhlblt UD".
The foregolng, however, shall not preclude the Developer
from offerlng, and the Clty from acceptlng, ded1catlon
of any street proposed to be a publlC street, 1n WhlCh
case the Clty wlll assume responsl01l1ty for mdlnta1n1ng

R. Approprlate correctlve measures shall be taken to
mltlgate sOll limitatlons and additlonal soils testlng
as lS requlred to accommodate flnal bUl1dlng construc-
t10n deslgn as requlred by the Clty.
S. The Ueveloper shall phase construct1on so that trees
wlth actlve osprey nests shall remaln ln place through
the nestlng season. If an actlve nest lS removed, wlth
approval of the Flor1da Game and Fresh Water F1Sh
Commlsslon, It shall be replaced wlth a sUltable nest
stand.
T. A capture-release program be establlshed for any Gopher
Tortolse, Florlda Mouse and Eastern Indlgo Snake
observed on-slte durlng construction, as referenced In
the ADA. The release slte shall be determlned 10
cooperatlon with the Florlda Game and Fresh water F1Sh
Commlsslon.

durlng constructlon wlll be reported to the Flor1da

V. Slte plans shall lnclude provlslon for preservatlon and
transplantlng of as many tree clusters or ind1v1dual

W. The Developer shall encourage that energy conservat10n
measures such as bUlldlng or1entat1on and shadlng,
overhangs, sun angles, and use of renewable energy
sources, be lncorporated lnto the Park Place develop-
ment. The extent to WhlCh cost-effectl~e energy
conservatlon measures are 1 ncl uded shall be a conS1 d-
eratlon ln slte plan appro~al.
X. The Developer, lts successors or asslgns, shall be the
entity responslble for malntenance of on-Slte wells.
Y. The Clty alone, and where approprlate ln conJunctlon
wlth Plnellas County, shall provlde fire, pollce, EMS,
sewerage, refuse disposal, potable water, and other
general government services to Park Place.
Z. Under subsectlons 4.E., 4.F., and 4.G. the Developer
shall contrlbute to the Clty ltS proportlonate share of
the cost of constructlon of certaln trafflC lmprove-
ments. Concurrently with the certlflcatlon of the
lnltlal flnal slte plan for each phase, the Developer
shall pay to the Clty the followlng llsted prlnclpal
amounts plus lnterest for each of the l1sted phases.

Settlon 5. Adrn1nlstratlon - That tne followlng
procedures and requ1rement wl1l apply to the on-golng
ad@lnlstratlon of this Development Order:
A. The Developer shall submit an annual report on the DRI
to the Clty, the TBRPC, the South~est Florlda ~ater
Management 01strlct, and the State Land Planning Agency
on the annlversary of the effectlve date of thlS
Development Order for each following year unt1l and
lncludlng such tlme as all terms and condltlons of thlS
Order are satlsfled or same has explred by lts term,
whlchever lS earller. Such report shall be subrnltted
for reVlaw by the Clty Commlss1on to lnsure compllance

wlth the terms and condltlons of thlS Order. The
Oeveloper and TBRPC shall be notlfled of any Clty
Commisslon meetlng whereln such report lS to be re-
vlewed, provlded, however, that recelpt and reVlew by
the C1ty Co~m'ssion shall not be considered a substitute
or a walver of any terms and condltlons of the
Development Order. Each report shall contain:
1. A descrlptlon of all development actlvlty conducted
pursuant to thlS Order durlng the year lmmedlately
precedlng the submlsS10n of the annual report;
2. A descriptlon of all development actlvitles proposed
to be conducted under the terms of thlS Order for
the year lmmedlately subsequent to the submlsslon of
the annual report;
3. A statement llsting antlclpated appllcatlons for
development approvals or permlts requlred pursuant
to appllcable regulatlons Wh1Ch the Developer

followlng submlttal of the annual report,
4. A statement settlng forth the name(s) and address
of any asslgnee or successor In lnterest to the

of the annual report, as requlred under Sect10n
380.06(16), Florlda Statutes (1981).
It lS the lntent of thlS requirement that the submlttal
of the annual report shall be 1n addltlon to and not ln
11 eu of any subml ttal requl re'llents for an annual report
as promulgated by the State Land Plannlng Agency.

B. Further revlew pursuant to Chapter 380, Florlda Statutes
may be requlred lf a substantial deviatlon, as defined
1n Chapter 380, Florlda Statutes, occurs. The Developer
shall be given due notlce of, and an opportunlty to be
heard at, any hearlng to determlne whether a proposed
change to the development lS a substantlal devlatlon.
Substantial deviatlon nay occur by fallure to comply
w1th the conditlons of tillS Order, other than d fallure
by the Clty, fallure to follow the plans and speclflca-
tions Sub~ltted In the AOA and supplementary
lnformatl0fl., or by actlvltles WhlCh are not commenced,
other than by the City, untll after the e~piration of
the perlod of effectlveness of thlS Order.
C. Pursuant to the terQS and condltlons of thlS Uevelopment
Order adopted pursuant to Sectlon 380.06, Florlda
Statutes, the Clty wlll lssue numerous pernlts and
approvals for the varlOUS phases of thlS ProJect. It lS
acknowledged that under Sectlon 380.07, Florlda
Statutes, the Tampa Bay Reglonal Plannlng Councll has
the rlght to appeal to the Florlda Land and Water
AdJudlcatory Commlsslon any devlatlon from or amendment
to thlS Ordlnance.
O. The deflnltlons contalned In Chapter 380, Florlda
Statutes (1981), shall control the lnterpretatlon and
constructlon of any terms of this Order. As used hereln
the term "commltment" or "fundlng COlTIm1tment" shall mean
the lncluslon of the lmprovement 10 any governmental
agency's capltal lmprovement program, lncludlng but not
11ffilted to the FOOT Flve Year Work Program and the
Plnellas County l'tPu Transportatlon I~provement Program
or a wrltten representatlon by the Developer acknowl-
edglng ltS assumpt10n of the responslblllty for fund1ng
dnd constructlng the lmprovement.

E. ThlS Order shall remaln In effect for a perlod of twenty
(20) years from the effectlve date of thlS Ordlnance;
provld1ng however that a prellffilnary slte plan for Phase
I lS submltted and approved withln one (1) year from
sald effectlve date and reasonable contlnuous progress
lS made toward the completlon of thlS Project durlng the
duratlon of thlS Order. If the Project lS dlscontlnued
for any consecutlve perlod of two (2) years, thlS Order
shall exp1re and no further development shall occur
prlor to the relnstatement of thlS Order by speclflc
actlon of the Clty Comm1ss1on. T~e Project shall not be
deemed to have been dlscontlnued so long as the
Ueveloper lS actlvely 1nvolved In Project leaslng
actlv1tles, managlng the Project, or operat1n~ under an
approved slte plan of the Project. Nothlng hereln
conta1ned shall be construed as requlr1ng that con-
structlon actlvlty be engaged In by the Oeveloper wlthln
any two (2) year perlod. Any development actlvlty,
whereln plans have been submltted to the Clty for 1tS
revlew and approval prlor to the explratlon date of thl s

Order, may be completed, 1f approved. Th1S Order may be
extended by the Clty upon the flndlng of Just cause.
Nothlng ln thlS Ordlnance shall deny the Developer, 1tS
successors or asslgns the rlght to petltlon for an
amendment to th1S Oralnance, If the reVlew requlrements
of the TbRPC are amended s1gnlflcantly ln regard to
trafflc or other reglonal lmpacts, lf background or
slte-generatea trafflC volum~s dlffer slgnlflcantly from
those projected 1n the ADA, or If there lS eV1dence of
other changes In cond1tlons revealed aurlng the monl-
tor1ng process.
F. ThlS Order shall be blndlng upon the Developer, and ltS
asslgns, or successors 1n lnterest.

H. The C1ty Clerk lS dlrected to send coples of thlS Order,

Ordlnance, to the Developer, the DCA and the TBRPC.
I. The Developer shall record a notlce of adopt1on of thlS
Order as requlred pursuant to Section 380.06(14}{d),
Florlda Statutes (1981), and shall furnlsh the City
Clerk a copy of the recordeo notlce.
J. ThlS Order shall be deemed rendered upon transmlttal of
caples hereof to the reclpients speclfled ln Chapter
380, Florlda Statutes.
.)ectlon 6. Plan Conformlty - The Clty does hereby cert1fy
that the medsures contalned ln thlS Ordlnance are conSlstent and
1n conformance wlth the City's Comprehenslve Plan and lndlvldual
elements thereof adopted pursuant to the LGCPA and dlrects that
same be forwarded to the LPA for thelr recelpt and approprlate
actlon.
Sect10n 7. Interpretatlon - Completlon of scheduled or
actual llllprovements delayed or prevented by extraordlnary
Clrcumstances outslde of the CltylS control, such as acts of God,
shall not be consldered a breach of thlS Order. In the event of
any such delay the City shall notlfy the Developer and T6RPC.
Acceptance by the Clty of fundlng contrlbutlons speclfled In thlS
Order shall not rel1eve the Oeveloper of ffieetlng and sat1sfYlng
tne other appllcable terms of thlS Oreer. Sald acceptance by the
Clty shall not preclude the Clty from amendlng ltS land develop-
ment or bUl1d1ng regulatlons dppllcable to thlS ProJect so long

~ectlon 9. Separablllty - Should any part or provlSlon

tlon to be lnvallo, the same shall not affect the val1dlty of the
Ordinance as a whole, or any part thereof other than the part

WHEREAS, Sidney Colen ("Colenll) owns the real property
descnbed on Attachment 1. attached hereto (lithe Annex Property")
and the real property descrlbed on Attach~ent 2. attached hereto
(w~1ch real property together with the Annex Property 1S some-
tlmes herelnafter collectlvely referred to as the "ProJect
Property") wnich he has agreed under certaln cirCUMstances to

lnto an Annexatlon Agreement whereby the Project Property may be
annexed lnto the Clty, WhlCh Annexatlon Agreement lS recorded In

Records of P1nellas County, Florlda; and
WHEREAS, on July 16, 1982, the Developer f1led an AppllCd-
tlon for Development Approval of a Development of Reg10nal Inpact

~HEREAS, on October 11, 1982, the Developer filed with the
Clty an Amendment to the Applicatlon for Development Approval and
submltted coples of the Amendlllent to all appropriate agencies,
and
WHEREAS, the Oeveloper has made substantlal changes to the
origlnal Conceptual Development Plan (the "Plan"), attached as
Exhlblt C to the ~nnexatlon Agreement; and
WHEREAS, the Clty and Oeveloper have agreed to other changes
in the Annexation Agreement; and
WHEREAS, the partles wlsh to amend the Annexatlon Agreement
relative to the Project Property;
NOW, ~HEREFORE, 1" conSlderatlon of the mutual promlses
hereln contained, the partles amend and restate the Annexatlon
Agreement In its ent1rety as follows:
1. Recltals. The foregolng recltals are true and correct.
2. Annexatlon. Slmultaneously wlth the approval of thlS
Agreement by the C1ty, the Clty shall conclude annexatlon of the
Annex Property.
3. Conceptual Development Plan. IMmedlately following the
effectuatlon of the annexatlon of the Annexed Property, the Cl ty
shall 1ssue lts Development Order relat1ve to the Project
Property. The Conceptual Uevelopment Plan attached to the
Development Order as Exhiblt "0" shows the general parameters for
development of the Project Property. Any development of the
Project Property by Developer shall be ln substantlal compl1ance
wlth these parameters. All site and englneerlng plans, bU1ld1ng
plans, ORI Stud1es, or amendments or addenda thereto, or other
sl~llar documents or appl1catlons relatlve thereto, that are
submltted by Oeveloper to the C1ty and are conSlstent wlth the
proposed development as shown on the Plan and as are conslstent
w1th the Developnent Order adopted by the Clty as Ordlnance No.
3205-83 of WhlCh thlS amended agreement 1S a part, shall be
expedltlously processed by the C1ty.

, . 4. Parkland Dedication. The City's parkland dedlcatlon
requlrement shall be satlsf1ed in full upon the payment by the
Developer to an independent trustee deslgnated by the C,ty of the
sum of $600,000.00, such payment to be made wlthin flve (5) days
followlng the effectlve date of the Development Order. ThlS sum
shall be lnvested in an interest bearlng account as dlrected by
the City wlth the interest to accrue to the beneflt of the City.
The developer shall exerClse lts best efforts for a period of
twelve (12) months from the effectlve date of the Development
Order, to locate and acquire, upon terms Mutually acceptable to
the Developer and the Clty, a recreatlonal facllity acceptable to
the Clty 1n the Clty's sole dlscretlon. In the event that
Developer lS successful ln contractIng for the acqulsltlon of
such a faci11ty, then the Clty shall authorlze the trustee to
dlsburse so much of the funds held by 1t as May be necessary to
close the acqulsitlon contracted for by the Developer for
conveyance to the Clty. The balance of the funds held by the
trustee, 1f any, shall be pald over to the Clty. The Clty may,
ln ltS sole d1scretlon, choose to assume any mortgages that may
encumber such a fac1l Ity, or contrlbute toward the purchase prlce
of such a facl11ty, or both.
At any tlme prior to the Developer contractlng for acqulsl-
tlon of such a facllity upon Wrltten notlf1catlon by the Clty to
the Developer and the trustee, the trustee shall promptly pay
over to the Clty the funds, lncludlng lnterest, held by It.
Upon the earlier of (1) twelve (12) months from the
effectlve date of the Development Order, (li) the consummatlon of
the acqulsltlon of such a facl11ty or (11') the payment to the
Clty of the funds held by the trustee, the Developer shall be
rel1eved of any further obllgatlon under thlS paragraph.

· In the event that the Developer 1 s not successful 1 n
contractlng for the acquls1tlon of an acceptable recreatlon
facillty wlthln 12 months, the sum of $600,000 plus interest
shall be pa1d over oy the Trustee to the Clty. Prlor to approval
of the preliminary slte plans for Phases II and III of Park
Place, the City shall prepare a report descr1bing the recreatlon
lands and faC1l,ties or open space lands WhlCh have been acqulred
wlth the funds provided by the Developer, as well as any unex-
pended balance of the funds or interest that has accrued. In
conSlderatlon of transportation needs ln the Project area, the
Clty Commlssion may elect to use any unexpended parkland monles
to support lmprovements to the transportatlon system provlded
that a minlmum of $240,000 (whiCh equates to four (4) percent of
the ~urchase prlce of the ProJect Property) be expended for
publlC parkland/open space purposes.
5. Land Use Deslgnat10n and Zonlng. Upon annexation of the
Annex Property lnto the Clty, the Land Use Plan deslgndtlon and
Zonlng Atlas category for each phase thereof shall be as set
forth In the annexatlo1, land use plan and zoning ordinances
respectlvely. The port1on of the ProJect Property a1 ready
Wlthln the Clty'S llmlts shall contlnue wlth the same Land Use
Plan deslgnatlon and Zonlng Atlas category as ln effect on
July 15, 1982. Nothlng hereln shall preclude the subsequent
a~endment of the Lard Use Plan or Zonlng Atlas categorles or the
appllcable requlre~ents thereunder, except that developnent shall
be entltled to proceed ln accordance and consistent w1th the
speclfic authorlzatlon of the Development Order and the Clty Code
of Qrdlnances 10 effect at the tlme of appllcatlon for flnal slte
pl an approval.

Boulevard, Drew Street, and Hampton Avenue. The projections of
average dally water demand, by Phase and cumulatlvely, based on
the Developer1s proposed phaslng schedule for the project are as

(c) Natural Gas. The City shall at lts expense
1nstall a natural gas dlstrlbutlon syste~ servlng the Project
Property where such lnstallatlon expense can be recovered wlthln
a reasonable tlme based upon projected revenues to be generated
by such system. Where gas malns are not located wlthln dedlcated
rlghts-of-way or easements, easements shall be provlded by
Developer for sald malns at no expense to C1ty.

.7. Roads and Signs. If Developer constructs roads on the
ProJect Property in general conformance wlth the deslgn shown on
Exhlbit "0'1 of the Development Order and In locations and to
speclflcatlons acceptable to the Clty, then City shall accept any
such road dedicated by Developer to the public or the Clty.
Developer agrees that 1f such roads are dedicated, lt wll' agree
to malntain all med1an areas and shall provlde reasonable
llabllity lnsurance to City with respect to such medlans. Clty
recognlzes the unlque nature of the proposed development and
agrees that buslness identlflcat10n s1gns otherWlse consistent
wlth City Slgn regulatlons and subject to site plan reVlew
requirements, 1ncluding sign slze, design, and locatlon, may be
placed and maintalned withln publlCly dedlcated rlght-of-way so
long as no danger to vehlcular or pedestrlan trafflC 15 lmposed
thereby.
8. Access Easement. Upon annexatlon of the Annex Property.
the Clty shall by separate lnstrument reasonably satlsfactory to
Developer, grant to Developer, lts successors, asslgns, guests
and lnvitees, a r1ght-of-way eaSement ln a locatlon and of a
deslgn reasonably acceptable to C1ty for lngress, egress, and
utll,tles over and under the real property descrlbed on
Attachment 3. attached hereto. The term of such easeMent shall
be the ~aXlmum permltted by law. The relocat1on and adJustMent
of eXlstlng facllitles wlthin said easement shall be at
Developer's expense.
9. Access to Out Parcels. The Clty agrees not to prevent
the rlght of lngress and egress to the out parcels frontlng on
State Road 60 provlded that a maXlmum of two (2) pOlnts of
lngress and egress to State Road 60 shall be permltted east of
the maln project entryway and a maXlmum of two (2) pOlnts of
lngress and egress to State ~oad 60 shall be perm1tted west of
the maln project entry.

'10. Development of Reglonal Impact. Developmnent of the
Project Property constltutes a DRI as def1ned In Florlda
Statutes, Chapter 380. The City agrees that compl1ance by the
Developer wlth the provlsions of Chapter 380 is ln addltion to
and compllmentary to the lnltlal Communlty Impact ~tatement
( II CIS") pre pare d for the Pro J e c t Pro per ty by the De vela per . The
DRI process, const~tut1ng a more comprehenslve and complete
evaluatlon of project impacts, supplants and supersedes the CIS
wherever the two may be inconslstent and precludes the necesslty
of submltting any additional CIS for each phase or tract of the
project.
. 11. ReRedles. The partles recognize that damages for a
breach by elther party of the terms of thlS Agree~ent or the
Development Order may be difficult or lmpossible to ascertaln.
The partles further recognlze that there may be no adequate
remedy at law for any such breach. Accord1ngly, the partles
agree that elther manda~us, speclflc performance, or lnjunctlve
rellef (elther prohlb1tory or mandatory, both teQPorary and
permanent) lS an approprlate remedy 1n the event of breach,
whether actual or antlclpatory, of thlS Agreement or the
uevelopment Order. I~ the event of any l1tlgation arlsing out of
thlS Agree~ent or the Development Order, the prevalllng party
stull be entltled to reCover its costs, lncludlng reasonable
attorney's fees.
12. Effect1ve Date and Term. Th 1 S Agreement shall be
effective upon 1 ts execution by the City and the Developer. Th 1 S
Agreement shall be 1 n effect fo r twenty ( 20 ) years followlng the
effectlve date of the Development Order.
13. 81 ndl ng Agreement. This Agreement shall be blndlng on
and lnure to the beneflt of the partles and thelr respectlve
successors and asslgns.
