despite Buyer's best efforts whIch Buyer hereby agrees to use, to obtaIn all
such permltlmg on or before the one hundred twentieth (120th) day from the
,earlier of (i) the last day of the thirty (30) day perIod for home office approval
provided in Seclion 2, or (ii) the date on which Buyer obtains home oFfice
approval, Buyer may terminate this Agreement by givIng wrItten notice
thereof to Seller, whereupon Escrow Agent shall return the DeposIt to Buyer
and the parties hereto shall be relieved of all further obllgatlons hereunder.
If Seller does not receive such notice of termlnatlon on or before said one
tlundr ed twentieth (12Oth) day, Buyer shall be deemed to have waived Its
rIght to terminate as provided herein, Notwithstanding the foregoing, Buyer
may extend such 120 day penod for up to two (2) consecutIve thirty (30) day
periods upon written notice et least flve (5) days prior to the expiration date
of the then-current penod and upon the payment of an addItional Ten

notice, each such payment to be applied to and to become part of the

listed on ExhIbit B attached hereto (the "Permitted Exceptions")

than the PermItted Exceptions Buyer shall state whIch such exceptions to
the Title CommItment are reasonably unacceptable and Seller shall have the
right prior to closing to remove such exceptions. Nothing herein shall be
construed to reqUIre Seller to resort to litigation or the purchase of title In
the event Seller does not remove the exceptions within the time herem
provided, Buyer may eIther waive such exceptIons and accept title to the

conduct tests and inspections on the Property Buyer and Its agents and

acts as are reasonably necessary for inspectIon, SOil tests, examination, and
land-use planning of the Property pnor to the ClOSing Buyer hereby holds
Seller harmless from any damages or liabilitIes arising from Injuries caused

8 Closlnq
A The consummation of the transactIon contemplated by thiS
Agreement (the "ClOSing") shall take place at the office of the TItle Company
or at such other location to which the parties may reasonably agree, on or
before the earlier of (I) the twentieth (20th) day follOWing the date on whIch
Buyer obtains all requIsitE; permlttmg pursuant to SectIOn 3 hereof or (II) the
thIrd (3rd) day follOWing the exprratlon of the second thIrty (30) day extension
penod proVided In SectIon 3, or at such other date as Buyer and Seller may
select, unless extended by other provrslons hereof.

9 ClasinQ Costs

LimIted Warranty Deed, the reasonable cost of the survey obtaIned by Buyer
pursuant to SectIon 6 hereof, the premIum payable for the Owner's PoliCY of
Title Insurance, one-half (1/2) of any fee charged by Escrow Agent and
Seller's attorneys fees and any other clOSing costs, not speCifically

B In connection with the Closing, Buyer shall pay one-half
(1/2) of any fee charged by Escrow Agent, Buyer's attorneys fees, the cost of
recording the limIted warranty deed and any other closing costs not

be waIved, modified, amended, discharged, or terminated except by an

15 Applicable Law This Agreement shall be governed by, and
construed in accordance WIth, the laws of the state In whIch the Property IS
located
16 Headings Descriptive headings are for convenience only and
shall not control or affect the meaning or construction of any provIsion of this
Agreement
17 Counterparts ThIs Agreement may be executed In any number
of counterparts, and each such counterpart hereof shall be deemed to be an

18 I nteroretatlon Whenever the context hereof shall so req UJre the
singular shall include the plural, the male gender shall Include the female

contained In thiS Agreement shall for any reason be held to be invalid, Illegal
or unenforceable In any respect, such invalidity or Illegality shall not affect
any other provision hereof, and this Agreement shall be construed as If such
Hlvahd, Illegal, or unenforceable provIsion had never been contained herein
20 RIsk of Loss I Condemnation
A Damage or Destructlon Seller shall bear the risk of all
damage to the Property prior to ClOSing, ordmary wear and tear excepted In
the event of any material damage to the Property pnor to ClOSing, Buyer, at
ItS option, by written notice to Seller, may (I) declare this Agreement null and
void, In which event Buyer shall receIve a refund of the DepOSit and Seller
shall be discharged from all liability hereunder, or (II) complete the purchase
of the Property WIth no reduction In the purchase price
B Condemnation
(1) All risk of condemnation prior to the closmg shall
be on Seller. Immediately upon obtalnmg knowledge of the Institution of any
proceedmgs for the condemnatIon of the Property, or any portion thereof
(Including negotiations In lieu of condemnatIon), Seller will notIfy Buyer of the
pendency of such proceedings. Buyer may partiCIpate In any such
negotlatrons and proceedings, and Seller shall from time to time deliver to
Buyer all Instruments reasonably requested by It to permit such participation
Seller shall, at Its expense, diligently pursue any such proceeding, and shall
c~nsult With Buyer, Its attorneys and experts and cooperate WIth them In any
defense of any such proceedings
(2) If after the Effective Date and prior to the ClOSing
all or a part of the Property IS subjected to a bona fide threat of
condemnation by a body havmg the power of eminent domain or IS taken by
eminent domam or condemnation (or sale In lieu thereof), Buyer may by
written notice to Seller elect to cancel thiS Agreement prror to the ClOSing
,hereunder, In which event both parties shall be relieved and released of and
from any further liability hereunder, and the DepOSIt shall forthWith be
returned to Buyer, and thereupon this Agreement shall become null and
vord If no such election is made, thiS Agreement shall remain In full force

and effect and the purchase contemplated herein, less any Interest taken by
eminent domain or condemnation, shall be effected with no further
adjustment, and upon the Closing Seller shall assign, transfer, and set over
to Buyer all of the right, btle, and Il1terest of Seller In and to any awards that

21 Time IS of the Essence The partIes acknowledge that tIme IS of
the essence for each tIme and date specifically set forth in this Agreement
22 JOint DraftlnQ The partIes hereby agree that each have played
an equal part In the negotiations and drafting of thIs Agreement, and In the
event any ambigUitIes should be realized in the constructIon or interpretation
of this Agreement, the result of those ambigUities shall be equally assumed
and reahzed by each of the parties to this Agreement
23 Waiver The waiver of one or more defaults by any party to thIs
Agreement shall not be deemed a waiver of any subsequent default of that
provIsIon of the Agreement, or of a default under any other provIsion of thIS
Agreement
24 Escrow Aqent
A It IS agreed that the duties of Escrow Agent are purely
mlnlstenalln nature, and that Escrow Agent shall Incur no liability whatever
,except for Willful misconduct or gross negligence so long as Escrow Agent
has acted In good faith Seller and Buyer release Escrow Agent from any
act done or omitted to be done by Escrow Agent In good faith In the
pefiormance of Escrow Agent's duties hereunder

B Escrow Agent shall be under no responslblhty In respect to
any of the momes deposited WIth It other than faIthfully to follow the I
Instructions herein contamed Escrow Agent may adVise With counsel and
shall be fully protected in any actions taken In good faith m accordance With
such adVice. Escrow Agent shall not be required to defend any legal
" proceedings which may be instItuted against the escrow instructions unless
requested to do so by Seller and Buyer and Indemnified to the satisfactIon of
Escrow Agent agamst the cost and expense of such defense Escrow Agent I
shall not be reqUired to Institute legal proceedings of any kmd Escrow
Agent shall have no responsiblhty for the genuineness or val1dlty of any
document or other Item depOSIted With Escrow Agent and shall be fully
protected In acting in accordance With any written instructions given to
Escrow Agent hereunder and believed by Escrow Agent to have been SIgned
by the proper partIes

except that of a stakeholder If there IS any dispute as to whether Escrow

the sum, but In such event may hold the sum until receipt by Escrow Agent
of any authorization In wntlng Signed by all the persons having an Interest In
such dispute, directing the dISposition of the sum, or tn the absence of such
determination of the rights of the parties in an appropriate proceedmg If
such written authorization IS not given, or proceedings for such determination
are not begun and di1rgently contained, Escrow Agent may, but is not
required to, bring an appropriate action or proceeding to deliver the DepOSIt
to the registry of a court of competent jUrisdiction pendmg such

for m thiS Agreement, Escrow Agent shall have no further liability In thiS I

Agreement, and shall thereupon be discharged from all further duties and
liabilities under thiS Agreement as Escrow Agent Buyer and Seller hereby
agree to mdemmfy and hold harmless Escrow Agent from all costs and
expenses, rncludlng without limitation attorneys' fees incurred by Escrow
Agent in connection with any legal actIon taken by Escrow Agent, In such

relied on any statement or declaration of Seller, oral or In writing, as an
mducement to entenng into thiS Agreement THERE ARE NO
WARRANTIES BY SELLER, WHETHER EXPRESS OR IMPLIED,
CONCERNING THE CONDITION, CONSTRUCTION OR FITNESS FOR
ANY PARTICULAR PURPOSE OF THE PROPERTY OR THE
IMPROVEMENTS LOCATED THEREON
