CONTRACT ADDENDUMCONTRACT ADDENDUM
This Contract Addendum (this "Addendum") is made and entered into effective as of December
1, 2024 (the "Effective Date"), by and between Trillium Transportation Fuels, LLC, a Delaware
limited liability company ("Trillium") and City of Clearwater ("City"). Trillium and City may be referred
to individually as a "Party" or collectively as the "Parties".
WHEREAS, Trillium was awarded a project with the City pursuant to that certain Invitation to
Bid #61-24 dated August 30, 2024 (the "RFP") to provide a range of services including monitoring and
notification as well as preventative maintenance for two City of Clearwater compressed natural gas fueling
stations; and
WHEREAS, pursuant to Trillium's award under the RFP, the City and Trillium entered into that
certain Contract #902308, dated concurrent with the Effective Date of this Addendum (the "Contract");
and
WHEREAS, the Parties desire to clarify the documents that form the agreement of the Parties
under the Contract and other terms of the Contract as set forth herein.
NOW, THEREFORE, in consideration of the mutual promises and agreements set forth
hereinafter, the sufficiency of such consideration being acknowledged by the Parties, the Parties hereby
agree as follows:
ARTICLE I.
1.1.1. Contract Documents. The following documents constitute the entire agreement between
the Parties and shall be interpreted in descending order of precedence in the event of a conflict
(collectively, the "Agreement"): this Addendum, the Contract, Trillium's Proposal Response to Invitation
to. Bid #61-24 dated September 30, 2024, the RFP, and the City of Clearwater, Florida — Purchase Order
Terms and Conditions as incorporated by reference in the Contract.
1.1.2. Monthly Site Visits. For the avoidance of doubt, the Parties agree that Trillium shall
perform monthly site visits to inspect the facilities as set forth in Trillium's Proposal and the language
setting forth weekly site visits in in Section 4 (G) of the Detailed Specifications of the RFP shall be
modified to require monthly site visits.
ARTICLE II.
MISCELLANEOUS
2.1.1. Amendments. No modification, amendment, supplementation or alteration of the terms
and provisions of this Addendum will be or become effective except by written amendment executed by
the duly authorized representative of both Parties.
2.1.2. Counterparts: Electronic Delivery. This Addendum may be executed in counterparts, each
of which shall be deemed an original but all of which together shall constitute one and the same instrument.
To the extent signed and delivered by means of a .PDF or other electronic transmission including
DocuSign, this Addendum will be treated in all manner and respects as an original signature for all
purposes and will be considered to have the same binding legal force and effect as if it was a manually
signed original thereof delivered in person.

IN WITNESS WHEREOF, and with the intent to be legally bound, the Parties hereto have caused
this Addendum to be executed by their duly authorized officers or representatives as of the Effective Date.
