EXTENSION TO SERVICE AGREEMENTEXTENSION TO SERVICE AGREEMENT
THE SERVICE AGREEMENT (the "Agreement") DATED December 22, 2022, and
effective as of December 22, 2022, made and entered into by and between COMMERCIAL
RISK MANAGEMENT, INC. (referred to herein as the "Company") and the CITY OF
CLEARWATER (referred to herein as the "SELF-INSURED") is hereby amended to extend the
Service Agreement for (15) Fifteen -months beginning January 1, 2025 with a new renewal date
of April 1, 2026.
Paragraph 4 is amended as follows:
Bill Review/Re-Pricing and Network Access will be provided by Commercial Risk
Management, Inc. through an existing agreement with a Commercial Risk Management,
Inc. bill review partner.
Paragraph 6 is amended as follows:
6. Annual Service Fee. The Self -Insured shall pay to the Company, for the Company's
services under this Agreement (except as otherwise provided in this Agreement), an annual
service fee (referred to herein as the "Annual Service Fee"). The Annual Service Fee for
the Initial Term shall be $56,000.00 and shall be billed monthly in arrears with payment
due 30 days after receipt. The cost of tail coverage for the Initial Term and for each one-
year Renewal Term will be included in the Annual Service Fee.
The Company agrees to this Annual Service Fee for each renewal term through 12-31-2024.
Fees for subsequent years will increase by 2.5% over the previous year's fee, if agreement
is renewed by the City of Sarasota for subsequent terms beyond December 31, 2024,
pursuant to the agreement between Company and the City of Sarasota resulting from
Solicitation 21-61 BK, Workers' Compensation Third Party Administrator, dated
September 3, 2021.
Therefore, the annual service fee will be $57,400.00. This fee will remain for the (15)
Fifteen -month period through 3-31-2026 and will be billed monthly at $4,783.34.
Except as set forth in this Extension, all terms of the Service Agreement dated December
22, 2022, shall remain in effect during the term of this Extension.
Any renewal of the term of this Agreement shall be documented by an instrument in
writing signed on behalf of both the Company and the Self -Insured.

IN WITNESS WHEREOF, the Company has caused this Extension to the Service
Agreement to be executed by its undersigned officers to be fully authorized this 12th day of
November, 2024, but effective as of January 1, 2025.
