WHEREAS, some of the purposes of the DOB's ca.rrrent Work Plan am to increase awareness of
DCT District as a fun destination for C er'a residents, employees, and visitors, and to
increase aivareness of the DDB District as a- and
WHEREAS, Grantee has requested an event funding greet be pirtiaily fund Ukulele Festival in.

12, 2025, as described in the event_ ..cation atached as EXHIBIT A and the Budget attached

ARTICLE I. TERM
The term of this Aereement shall lbe for August 12, 2024, through May 12, 2O2 ►, unless terminated
earlier under this Agreent.
ARTICLE IL RSOPONSIBILDIES OF GRANTEE
Services to be Provided by Grantee.
a) Grantee hire, scheduleall operational and marketingservices
needed to successfully exemite and produce ed Proceam in accordance
with the requirements of this Agreement, the Fundkea Application attached as
Exhibit A, and the Budget atached as Eches B.
b) Grantee shall promote theroved P shall identifyDDB as a sponsor
on all marketing materials, hag:ling but not limited to print advertisement,
media, IV, any press releases, and the Grantee websites for the fisted event
c) Grantee shall recogrfte Mile's funding during the ApprovedProgram with an
announcement of DDB funding and showcase DDB's sponsorship with `s logo
at the Approved Pmgram, on marketing materkes, and on print advertisement
d) Grantee will notify DDB of cancellation of the Approved Program due to wearier,
acts of God, or other situations beyond Grantee's contra Rescheckafing off the
Approved Program must mete wither the current DOB fiscal year mid w l require
EIDE approval.

and other city resources that meet city safetyguidelines and protocols, if required.

Required u Documents and Reports from Grantee. If Grantee fails to submit all required
documents and reports electronically to DDB on or before 5: - m on May 12, 2025
Grantee will mit its tights to reimbursement for the Approved Program. Grantee wit
receive no reimbursementDOB for the Approved Program.

additional information that demonstrates the positive impact of the Approved Program
on the DO8 District

3) Use and Disposition of Funds Received,. Funds received by Grantee fawn the DOB shalt

Non-etiscrimination. Notwithstancirg any other provision of this Agreement, , for
itself, its agents, cordractors, arel representatives, agree that;
a) No Exclusion from Use. No person shall be excluded - from participation in, denied
the benefits of, Of otherwise be su to I:recrimination in the operation of this
program on the grounds of race,color, religion, age, disablity, gender,pregreancy,
gender identity, , 1 orientation, medal status, natbnal origin, or genetic

C) Breach of Noo-Diecrimktation Covenants. If Grantee violates any of the above
non-discriminationcovenants, the DDB shall have the right to terminatethis
Agreement ineneciately, without regied to any grace period or opportwity to cure.
5) Liability bility and Indemnification. Grantee shall act as an independent contractor and
agrees to assume all risks of providing . proowarn activities and services herein agreed
and all labitity, therefore, and shall defend, indemnify, and hold harmless DDB, its
officers, agents, and employees from and agakist any againstand all claims of loss, liability, and
damages of whatever nature, to persons and nng, withotk limiting the
generality of the foregoiec. death of any person and kiss tithe use of any property. except
clavas arisingnegligence of the Dee orDOB's agents or employees. This
includes, but ii5 not lknited to, matters arising out of or chivied to have been caused by or

in any manner related to Grantee a or those of any approved or unapproved
eivitee, contractor. subcontractor, , other person approved, authorized, or permitted by
Grantee or not based on negggence. Nothing herein ssh l be oonstrued as
con.sent by a* DDB to be sued by Ih*d parfies or as a waiver metrification n of the
provisions or limits of Section 75828. Florida Statutes, or the Doctrine of Sovereign
Immunity.
Compliance with Law. Grantee shall comply with all applicable federal, state, county,

and local laws, rules, and regulations. If it is ever determined that this Agreement violates

ARTICLE Ill, RESPONSIBILITIES OF THE DOB
Grant Payments ad be made to Grantee on a reimi_.t basis for costs incurred for the
Approved Progatm. The DOB will reimburseon timely submitted and approved
required documents and reports. Payments will be made wthei 60 days of receiving the rewired

ARTICLE IV. DISCLAIRER OF WARRANTIES
This .Agneement is the entire Atreement regwding the Approved Program It may not be modified
or dischargedamencknent executed by both parties. No representations or
warranties by either party shall be binding unless expressed herein or in a duly executed
anwandment
ARTICLE V. TERMINATION
For Cause. Fame to adhere to any of the provisions of this Agreement in a material
shall constitute for terrninatiori. Either party may terminate this Agreement for cause by
ming the other paly 30 days` notice of termination. If the defiant is not cured wittiM the 30 -
day period following reoejit of the notice, this Agreement shall terminate on the 31st day.
2) Disposition of Monies In the event of termination for any reason, monies provided to
Grantee by DDB but not expended in accordance with this Agreement shall be renamed to the

ARTICLE VI. tiorncE
Any notice rewired or permitted to be given by the provisions of this Agreement be
conclusively deemed to have been ieceived by a party hereto on the date it is h - ehvered to

the other party in writing), or if sent by registered or certified mail (postage prepaid), on the 5th

be deemed to have been prepared by the Agency or the Applicant,but by all equally.
Severabilify. Should any section or part of any section of this Agreement be rendered_. void,
invalid, or twenforceable by any coot of law, for any reason, such a determination shall not render
void, eivalici, or unenforceable any other section or any part of any section in this Agreement.
4) Jurisdiction and Venue. For purposes of any suit, action or other proceeding arising out of or
relating to this Agreement, the parties hereto do acknoMedge, consent and agee that venue
thereof is Pinellas County, Florida.
Each party to this Agreement hereby submits to the !.taisdiction of the State of Florida, Pinellas
County and the omit and to the jurisdiction of the Linfted States District Court for the
Middle District of Florithe for the purposes of any suit, action or other proceeding arising out of or
relating to the Agreement and hereby agrees nut to assert by way of a motion as a defense or
otherwise that such acticn is brought in an in lent forum or that the venue of such action is
imp pew or that the sikiect matter thereof may not be enforced in or by such courts,

will be vendors on the 500 block and workshops conducted at merchant locations.

Families, couples and individuals who are interested in culture, music, food and entertainment and
in exploring developing areas within a two -hour drive from their homes. Historially the festival
draws from the contiguous counties as well as Pinellas and from a vibrant Ukulele fraternity that
exists in Pinellas and Hillsborough County. 4,000 are expected in any year throughout the day.

part. Merchants have claimed a good deal of the traffic was from contiguous Counties and new to the District.

Re: DDB request for Funding
As requested, I hope this is sufficient. It may seem early, but it is
not really to get the good talent. We are being bombarded with
requests to 'Come to the World Class Downtown Clearwater
Ukulele Festival in the District."
As you see we are going to expand to the 500 block since there
are willing and able merchants there now and we can work
cooperatively with them. That, plus the Coachman possibility
raises the policing fees considerably as well as the talent cost to
book quality talent to provide ten hours of music over two blocks
plus the portable stage event at Coachman which we are planning
on doing this year. The City is aware of this.
Please let me know if you need more information. It's important
for scheduling purposes to get on the July docket.
