AGREEMENT
THIS FIRST AMENDMENT TO THE BUSINESS RENOVATION RANT
PROGRAM AGREEMENT ("Amendment"), entered into this 93'4 day of ,
2024, by and between the Community Redevelopment Agency of the City of
Clearwater, Florida (hereafter "the Agency"), whose address is P.O. Box 4748,
Clearwater, Florida 33758-4748, a public body corporate and politic of the State of
Florida, and Fashion Cleaners and Shirt Laundry Inc., whose address is 1152 Court
Street Clearwater, Florida 33755 (hereinafter "Applicant").
WITNESSETH
WHEREAS, the Agency and the Applicant entered into a Business Renovation
Grant Program Agreement ("the Agreement") on January 17, 2024, for the property
commonly referred to as —1152 Court Street, Clearwater, FL 33755; and
WHEREAS, the parties now desired to amend certain provisions of the Agreement
on the terms and conditions contained here;
NOW THEREFORE, in consideration of the premises, the mutual covenants, and
promises contained herein, and other good and valuable consideration, the Applicant
and the Agency agree and covenant each with the other as follows:
Section 1. The twelfth recital located on page two of the Agreement is amended to
read as follows:
WHEREAS, the Applicant has represented that the total project cost is one
hundred sixty-five thousand two hundred and sixteen dollars ($165,216.00); and
Section 2. Section 111(1) of the Agreement is amended to read as follows:
The Agency shall reimburse the Applicant for fifty percent (50%) of the Eligible
Project's Cost up to a maximum of eighty-two thousand six hundred and eight dollars
($82,608.00) ("reimbursement funds") as provided under the Program, payable within
thirty (30) days after verification by the Agency that the Project work has been
completed and evidence that the Applicant has actually incurred these Project costs to
the satisfaction of the Agency's Executive Director.
The Agency's Director retains sole discretion to determine whether any
reimbursement funds which the Applicant seeks reimbursement for actually meet the
requirements of this Section 111(1). If the Director determines any reimbursement funds
the Applicant seeks reimbursement for does not meet the requirements of this Section
111(1) then the Parties agree that: 1) the Director's decision is final; 2) the Agency shall
not owe any monies to the Applicant for the requested reimbursement; and 3) the
Applicant shall have no recourse against the Agency.
Section 3. All terms and provisions of the Agreement not modified, changed, or
amended hereby shall remain in full force and effect.
IN WITNESS WHEREOF, the Applicant and the Agency have executed or caused
these presents to be executed by its respective authorized representatives to be
effective as of the day and year first above written. This Amendment is executed in two
original copies of which one is to be delivered to the Applicant and one to the Agency.
