BETWEEN THE CITY OF CLEARWATER, FLORIDA AND
DIRECTIONS FOR MENTAL HEALTH, INC.,
THIS FOURTH AMENDMENT TO CDBG PROGRAM AGREEMENT (this "Fourth
Amendment") is made and entered into by and between the City of Clearwater, Florida, a
Florida municipal corporation, with a principal address of P.O. Box 4748, Clearwater, Florida 33758
(the "City") and Directions for Mental Health, Inc., a Florida non-profit corporation, with a
principal address of 1437 South Belcher Road, Clearwater, FL 33764 ("Subrecipient") (the City
and Subrecipient shall be referred to collectively as the "Parties").
WITNESSETH:
WHEREAS, the City administers its Community Development Block Grant ("CDBG") Public
Services (the "Program") funded by the United States Department of Housing and Urban
Development ("HUD"); and
WHEREAS, the City is an entitlement community that receives CDBG funds awarded
under the Housing and Community Development Act of 1974, in furtherance of its goal of
promoting community development and improvement of public facilities, as further detailed in the
Consolidated Plan for Housing and Community Development Programs 2020/2021-2024/2025;
and
WHEREAS, in response to the Coronavirus Pandemic (COVID-19), the United States
Department of Housing and Urban Development (HUD) has notified the City of Clearwater that it
received a cumulative allocation of One Million Three Hundred Fifty -One Thousand Five Hundred
Sixty Dollars and 00/100 Cents ($1,351,560.00) of Community Development Block Grant Program
-Coronavirus Response funds (CDBG-CV) to be used to prevent, prepare for, and respond to
COVID-19; and
WHEREAS, the City's allocation of CDBG-CV funds was authorized by the Coronavirus
Aid, Relief, and Economic Security Act (CARES Act), Public Law 116-136, which was signed by
President Trump on March 27, 2020, to respond to the growing effects of this historic public health
crisis; and
WHEREAS, the City has identified that there is a community need for providing non -
congregate shelter for the homeless to help prevent the spread of the Coronavirus infection; and
WHEREAS, Subrecipient is a private non-profit corporation that provides emergency non -
congregate shelter to homeless children and families who are living in public places not fit for
human habitation; and
WHEREAS, the Parties entered into that certain CDBG-CV Agreement dated January 31,
2023, as amended by that certain First Amendment to CDBG-CV Agreement dated May 8, 2023,

that certain Second Amendment to CDBG-CV Agreement dated September 9, 2023, and that
certain Third Amendment to CDBG-CV Agreement dated December 13, 2023 (collectively the
"Agreement"); and
WHEREAS, the Agreement provides for a hotel/motel rate for non -congregate shelter in
the amount of $1,050.00 per week, a term ending on September 30, 2024, and for funding in the
amount of NINETY THOUSAND AND DOLLARS AND 00/100 CENTS ($90,000.00) to provide
emergency assistance to homeless children and families; and
WHEREAS, these services are an eligible activity under the CDBG program in accordance
with 24 CFR §570.201(e). These services are a low/moderate income area benefit activity and
meet a national objective as required under 24 CFR §570.200(a)(2) and 24 CFR §570.208(a)(2);
and
WHEREAS, the Project meets the criteria of an eligible CDBG-CV activity by protecting
preschool children and staff by providing the safest learning environment so that childcare
operations continue during a Coronavirus pandemic; and
WHEREAS, Subrecipient has available the necessary qualified personnel, facilities,
materials, and supplies to perform such services and/or carry out such programs for these
residents, who are eligible and qualified to receive said services and are within the income limits
for low- and moderate -income persons as defined by HUD and adjusted annually, and which
current income levels are attached hereto as Exhibit A and incorporated herein by reference; and
WHEREAS, the Parties now wish to extend the Agreement through September 30, 2025,
and clarify that the 10% Administration Fee is a 10% Fee for Eligible Activity Delivery Costs
("ADCs") that comply with 2 CFR Part 200.
NOW THEREFORE, in consideration of the mutual covenants and agreements contained
herein, and for other good and valuable consideration, the sufficiency and receipt whereof being
hereby acknowledged, the Parties agree as follows:
1. Recitals. The set forth above are true and correct and are incorporated herein and made a
part of this Fourth Amendment.
2. Amended and Restated Section I, Subsection 5. Section I, Subsection 4, Paragraph 10 of
the Agreement, which relates specifically to salary support, is hereby amended and restated
as follows:
"Salary Support: The portion of time associated with servicing Clearwater clients is eligible
to be billed to the allocated Clearwater CDBG-CV funds. Time records must be remitted
with reimbursement requests to the City that indicate the amount of time these positions
spent working with Clearwater clients under this CDBG-CV activity. CDBG-CV Funds will

be provided for salary support for the following positions: Housing Focus Intensive Case
Manager and Grants Accountant.
This salary support cost shall also include a ten percent (10%) administrative rate fee for
Eligible Activity Delivery Costs ("ADCs") including, but not limited to allowable activity
management, HUD and City of Clearwater reports, HMIS System client log, accounts
payable, processing of hotel payments and resolutions when required, etc. All costs must
be an integral expense and directly related to responding to COVID."
3. Amended and Restated Section 1: Scope of Services and Use of Funds, Subsection 8.
Term. Section I, Subsection 8. of the Agreement is hereby amended and restated as follows:
"8. Term. This agreement shall be in effect for the period commencing October 1, 2022
and terminating on September 30, 2025. Cost may not be incurred after September 30,
2025. Notwithstanding anything herein to the contrary, Subrecipient's obligations to the
City shall not end until all closeout requirements are completed including, but not limited
to, such things as making final payments, disposing of program assets, and retention of
records. Also, notwithstanding the foregoing, the term of this Agreement and the
provisions herein shall be extended to cover any additional time period during which
Subrecipient remains in control of CDBG or CDBG-CV funds or other assets, including
program income or for any HUD audits requiring repayment of any funds unlawfully spent
under this agreement."
4. Amend and Restated Exhibit B. Exhibit B of the Agreement is hereby amended and restated
as follows:

be at or below 80% AMI based on the CDBG income limits in
effect at the time assistance is provided.

The Subrecipient shall provide emergency non -congregate shelter (hotel/motel) to
homeless children and families to help prevent the spread of the Coronavirus infection.
Direction for Living's Family Works and Clearwater Street Outreach team will serve as
the referral source for qualifying persons within the City's limits. All children who are
living homeless and who attend a school in the City of Clearwater and that come to the
attention of the Pinellas County School System or the Family Works program will be
immediately linked with housing -focused case management and the financial assistance
to address the housing need with placement into non -congregate emergency shelter
(hotel/motel) in the City of Clearwater.
Subrecipient shall be paid on a reimbursement basis for non -congregate shelter
(hotel/motel) placement services under this CDBG-CV activity for a total amount not to
exceed the total amount of funding set forth in this Agreement. Subrecipient will submit
for reimbursement every two weeks on Monday for the two weeks prior.
Additional Budget Guidelines for Clearwater CDBG-CV Funds:
Salary Support: The portion of time associated with servicing Clearwater clients is
eligible to be billed to Clearwater CD BG -CV funds. Time records must be remitted with
reimbursement requests to the City that indicate the amount of time these positions
spent working with Clearwater clients under this CDBG-CV activity. Funds will be
provided for salary support for the following positions: Housing Focus Intensive Case
Manager and Grants Accountant. This salary support cost also includes an administrative
rate of ten percent (10%) to cover administrative cost including, but not limited to grant
management, HUD and City of Clearwater reports, HMIS System client log, accounts
payable, processing of hotel payments and resolutions when required, etc. Required

documentation for the 10% fee would be a minimum of a brief description of task All
costs must be an integral expense and directly related to responding to COVID.
Client Assistance: Payment for non -congregate emergency shelter (hotel/motel) shall not
exceed the minimum required by the provider. To meet eligibility requirements,
beneficiaries assisted must reside within the incorporated City of Clearwater limits (Tax
District CW, CWD, or CWDO) and must be homeless at the time assistance is provided;
household income must be at or below 80% AMI based on the CDBG income limits in
effect at the time assistance is provided; and Subrecipient should prioritize applicants
and must deploy the emergency assistance payments based on identified and
documented need.
Payments for non -congregate emergency shelter must be made by the Subrecipient
directly to the provider on behalf of the family, for a maximum of three (3) consecutive
months. The Subrecipient must provide documentation for each request for payment.
Although not capped at such, it is estimated that 24 persons will be served through the
City's CDBG-CV client assistance funds."
6. Amended Exhibit K. Exhibit K is hereby amended to reflect the new term period of October
1, 2022, through September 30, 2025.
7. In the event of conflict or ambiguity between the terms and provisions of this Fourth
Amendment and the Agreement, the term and provisions of this Fourth Amendment shall
control to the extent of any such conflict or ambiguity.
8. All sections of the Agreement not expressly amended herein shall remain in full force and
effect.
