FIRST AMENDMENT TO STATE HOUSING INITIATIVES PARTNERSHIP - SHIP - SUBRECIPIENT AGREEMENTFIRST AMENDMENT TO STATE HOUSING INITIATIVES PARTNERSHIP - (SHIP) SUBRECIPIENT AGREEMENT BETWEEN THE CITY OF CLEARWATER, FLORIDA AND CLEARWATER NEIGBORHOOD HOUSING SERVICES, INC. d/b/a Tampa Bay Neighborhood Housing Services THIS FIRST AMENDMENT TO STATE HOUSING INITIATIVE PARTNERSHIP SUBRECIPIENT AGREEMENT (this "First Amendment") is made and entered into by and between the City of Clearwater, Florida, a Florida municipal corporation, with a principal address of P.O. Box 4748, Clearwater, Florida 33758, (the "City"), and Clearwater Neighborhood Housing Services, Inc., a Florida non-profit corporation, with a principal address of 680 North Garden Avenue, Clearwater, FL 33755 ("Clearwater Neighborhood Housing Services" or "Subrecipient") (the City and Subrecipient shall be referred to collectively as the "Parties"). WITNESSETH: WHEREAS, the Parties entered into that certain State Housing Initiatives Partnership Subrecipient Agreement dated October 9, 2023 (the "Agreement") in which Subrecipient was awarded funding to provide Purchase Assistance for up to three (3) homebuyers within the city limits of the City of Clearwater; and WHEREAS, the Parties now wish to amend the Agreement to increase the number of homebuyers to be assisted to a total of eleven (11) homebuyers and to modify Section IV C - Requests for Disbursements, to reflect that a full and complete file must be received seven (7) business days prior to closing if Subrecipient wants to requires that the purchase assistance funds be wired direct to closing, as opposed to reimbursed to Subrecipient after closing. NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the sufficiency and receipt whereof being hereby acknowledged, the Parties agree as follows: 1. Recitals. The recitals set forth above are true and correct and are incorporated herein and made a part of this First Amendment. 2. Amendment of the Agreement. The Parties hereby amend the Agreement and its associated exhibits so that all references to the number of homebuyers assisted is increased from three (3) to eleven (11) homebuyers and to provide under Section IV.(C) — Requests for Disbursements, that a full and complete file must be received by the city seven (7) business days in advance of closing if the wiring of funds direct to closing is to be considered by the City. 3. In the event of conflict or ambiguity between the terms and provisions of this First Amendment and the Agreement, the term and provisions of this First Amendment shall control to the extent of any such conflict or ambiguity. 4.
