ACKNOWLEDGMENT OF SATISFACTION OF CLOSING CONDITIONS
(CITY OF CLEARWATER)
I, Brian J. Aungst, Sr., as Mayor of the City of Clearwater, Florida ("City"), do hereby
acknowledge that:
1. All conditions to closing for the benefit of City that are contained in that certain
Exchange Agreement between City and Pinellas Suncoast Transit Authority ("PSTA") dated
October 6, 2022, as amended by that certain First Amendment to Exchange Agreement dated
January 25, 2023, and that certain Second Amendment to Exchange Agreement dated June 30,
2023 (collectively, (the "Exchange Agreement"), are satisfied or waived by the parties.
2. City acknowledges that this acknowledgement is given for the purpose of
allowing Bryant Miller Olive P.A. ("BMO") to confirm that all conditions to Closing, and all terms
and conditions of the Exchange Agreement have been complied with, or waived by the parties to
the Exchange Agreement, as required for BMO and Old Republic National Title Insurance
Company to issue title insurance on the City Parcels and PSTA Parcel, as defined in the Exchange
Agreement.
