This Agreement is entered into effective the date of the last signature below, by and between Promise Network
Inc. ("Promise") and the Water Vendor listed on the signature page ("Water Vendor") for the provision of water bill
payments to assist low-income residential households with water and/or wastewater arrearages, reconnection,
and ongoing services. This Agreement will remain in effect until terminated by either party.
Background
The Florida Department of Commerce has been awarded a federal grant under the LIHWAP.
• Federal funds awarded under the LIHWAP grant are to be used as part of an overall emergency
effort to prevent, prepare for, and respond to the COVID-19 pandemic, with the public health focus
of ensuring that low-income households have access to drinking water and wastewater services.
• The Florida Department of Commerce has contracted with Promise to assist with administering
LIHWAP on their behalf.
• Promise's administrative duties include distributing funds for water and/or wastewater bill
payments to the Water Vendor from the LIHWAP grant funds on behalf of households approved for
LIHWAP assistance.
• This agreement is governed by and subject to federal and state laws and regulations and the Office
of Community Services (OCS), U.S. Department of Health and Human Services, and the following
terms and conditions: LIHWAP General Terms & Conditions and LIHWAP Supplemental Terms &
Conditions.
Promise and the Water Vendor ar"ree to:

Provide banking information necessary for the transfer of funds
via ACH.
•
Provide Water Vendors with the necessary
requirements for data and funding exchanges.
•
Notify Promise immediately of any changes to ownership, contact
information, W-9 information, banking information, etc.
•
Coordinate with the Water Vendor to facilitate
the exchange of data and/or funding.
•
Provide Promise with customer data as listed in the Data
Collection section below.
•
After receipt of all requested documentation
and information, and upon full compliance by
the Water Vendor with the terms herein,
Promise shall:
o Schedule ACH payments to the Water

Put a stop on shutoffs and/or fines for an account upon receiving
notification that the account has been approved for a LIHWAP
payment, if that payment will bring the account current.
Post all payments to customer accounts within five (5) business
days from receipt of the funds.

o Provide detailed payment reports to
coincide with each ACH payment.

Provide Promise with detailed confirmation of customer account
fund application within ten (10) business days of receipt of funds.
For any funds not fully applied to the customer account, provide
Promise with the account information, amount not applied and
the reason for the non -application so that Promise can send an
invoice for the return of those funds.
•
Refund any unapplied funds to Promise within thirty (30) business
days of receipt of an invoice from Promise specifying the funds to
be returned and which accounts they were for. Payment may be
made by check, ACH, or wire.

Data Collection
To enable Promise to administer LIHWAP on behalf of the Florida Department of Commerce, the Water Vendor
shall provide, at no cost, the following data for each account: account number, account name, account type,
address, phone number, email, total water/wastewater balance, past due water/wastewater balance,
disconnection status. Promise will provide a file template and data upload instructions.
Data Security
Promise takes security and data integrity seriously, with a robust cybersecurity program.
• Promise is both SOC 1 and SOC 2 compliant.
• Promise follows industry best practices for security and uses strong technical controls including
Multi -Factor Authentication to ensure the security of client data.
• Promise securely onboards banking information, processes payments, reports payment details and
LIHWAP award information in an auditable manner.
• Promise only uses and/or shares data uploaded under this Agreement for executing its duties under
the LIHWAP, or as otherwise directed by Water Vendor or account holder.
• Promise does not sell data uploaded under this Agreement.
BY SIGNING BELOW, THE WATER VENDOR INDICATES ITS DESIRE TO PARTICIPATE IN THE FL LIHWAP AND
AGREES TO COMPLY WITH THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT.
