ASSIGNMENT OF NOTE AND MORTGAGE
The City of Clearwater, a municipal corporation, owner of a mortgage, and of
the indebtedness secured by it, made by Willie B. Holmes, an unmarried person, to
the City of Clearwater, a municipal corporation in the state of Florida, for
$80,000.00, on January 7, 2002, and recorded in Mortgage Book 11810, Page 1767
of the Public Records of Pinellas County, Florida, for valuable consideration do
assign and transfer the above-described mortgage, together with the note and
indebtedness secured thereby, to Little Eagle Associates, LLC, a Florida Limited
Liability Company.
Notice is hereby given that this Assignment is made expressly contingent
upon, and is subject to, certain terms and conditions contained in that certain
Assignment and Assumption Agreement ("the Agreement") between the City of
Clearwater, a municipal corporation and Little Eagle Associates, LLC, a Florida
Limited Liability Company which provides, among other things, for certain
restrictions on the property that the assigned mortgage encumbers.
The Agreement is incorporated herein and made a part hereof by reference as
fully as though it were set forth herein in its entirety. It is the intention of the parties
to hereby ratify, approve, and confirm the Agreement as a matter of public notice
and record. Nothing herein shall in any way affect or modify the Agreement, nor
shall the provisions of this Assignment be used to interpret the Agreement. In the
event of conflict between the terms of this Assignment and those contained in the
Agreement, the terms in the Agreement shall control.
A copy of the Agreement is on file with the City Clerk, City of Clearwater,
Florida, located at City Offices, 600 Cleveland St., Ste. 600, Clearwater, Florida,
which is available for review and copying by the public.
