AMENDMENT TO NON ERISA RETIREMENT PLAN ADVISORY AND CONSULTING AGREEMENTAMENDMENT TO NON -ERISA
RETIREMENT PLAN ARVISORY AND CONSULTING AGREEMENT
Pursuant to Section 10.3 of the Non -ERISA Retirement Plan Advisory And Consulting Agreement ("Agreement"), Advisor
and Sponsor hereby agree to modify the Agreement, effective December 10, 2022 ("Effective Date"), as follows:
SECTION 9: TERMINATION, is hereby modified to amend the Agreement termination date from January 1, 2023, to July
1, 2023. All remaining terms and conditions of the Agreement remain unchanged. Sponsor retains the right to accept or reject
this Amendment prior to the Effective Date. Pursuant to the Agreement, should the Sponsor fail to object to this Amendment
prior to the Effective Date, Sponsor will be deemed to have consented to all terms of the Amendment.
