FIRST AMENDMENT TO THE BUSINESS LEASE CONTRACTFIRST AMENDMENT TO THE BUSINESS LEASE CONTRACT
THIS FIRST NDMENT TO THE BUSINESS LEASE CONTRACT ("Amendment") is
dated the '%"day of k y 2022, and entered into by and between CITY OF CLEARWATER,
FLORIDA, a municipal corporation of the State of Florida ("Lessor"), and COMMUNITY DENTAL
CLINIC, INC., a Florida non-profit corporation ("Lessee").
WITNESSETH:
WHEREAS, Lessor and Lessee entered into that certain Business Lease Contract dated February
26, 2013 (the "Lease Agreement"), a full copy of which is attached hereto as Exhibit A relating to that
portion of certain real property located at 1498 South Martin Luther King Jr. Avenue, Clearwater, FL
(the "Property"); and
WHEREAS, the Business Lease Contract provides for one five-year lease extension which was
exercised by letter agreement dated January 12, 2018, and expires on February 26, 2023; and
WHEREAS, the Lessee has requested an additional two-year lease extension which was not
provided for in the Lease; and
WHEREAS, the parties now wish to extend the Lease Term for an additional two-year period by
this amendment;
NOW THEREFORE, in exchange for good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, Lessor and Lessee agree as follows:
RECITALS
1. The recitals listed above are true and correct and incorporated herein by reference.
AMENDMENT TO LEASE AGREEMENT:
2. Section 1 of the Lease is hereby amended and restated in its entirety to read as follows:
The term of this lease shall be for five (5) years; which term will commence on the 26th day of
February 2013 (the "Effective Date"), and shall continue until midnight on the 26th day of
February 2018 (herein called the "Initial Term"). Subject to Lessor's written approval, the Lessee
shall have the option to request an extension of the term of this lease for one successive period
of five years ("Extended Term" as used herein), followed by two successive periods of two years
each ("Second Extended Term" and "Third Extended Term", respectively). Lessor may approve
or disapprove Lessee's requested extension(s) in its sole discretion. No such renewal or
extension shall be deemed a waiver by Lessor of any breach or default which may then exist.
The Extended Term, Second Extended Term, and Third Extended Term shall be upon the same
conditions and terms, and the rent shall be determined and payable, as provided in this agreement,
except that there shall be no privilege to extend the term beyond the expiration of the Third
Extended Term period as hereinabove specified. The Lessee shall request the option for any
Extended Term by notifying the Lessor in writing at least two (2) calendar months prior to the
expiration of the then current term. Upon such exercise, and upon Lessor's written approval, this
lease shall be deemed to be extended without the execution of any further lease or other

instrument. Failure to exercise the option for any period shall nullify the option for all subsequent
periods.
NO FURTHER CHANGES
3. Except as set forth herein there are no further changes, amendments or modifications to the
Lease Agreement.
