FUNDING AGREEMENT KNOWBE4, INC.
THIS FIRST AMENDMENT TO THE DOWNTOWN DEVELOPMENT BOARD
GRANT FUNDING AGREEMENT WITH KNOWBE4, INC. ("Amendment"), effective
September 14, 2022, is entered into by and between the DOWNTOWN DEVELOPMENT
BOARD, an independent special district organized and operating pursuant to the
ordinances and laws of the City of Clearwater ("DDB"), and KNOWBE4, INC a Florida for-
profit business ("KB4").
WITNESSETH
WHEREAS, the DDB and KB4 entered into a Grant Funding Agreement
("Agreement") effective August 3, 2022, to partially fund the costs of six (6) events titled
"Food Truck Thursdays"; and
WHEREAS, the parties now desired to amend certain provisions of the Agreement to
increase grant funding in order to increase the number of food trucks involved.
NOW THEREFORE, in consideration of the mutual covenants and promises
contained herein, and other good and valuable consideration, KB4 and the DDB agree
and covenant each with the other as follows:
Section 1. Paragraph 1) a) of Article 11 of the Agreement is amended to read as
follows:
KB4 shall hire, schedule, and manage all services needed to successfully
execute six (6) events titled Food Truck Thursdays that will take place once a
month in the DDB District Area with the primary location in Station Square Spark
based on the attached Exhibit A- Budget; and
Section 2. Article III of the Agreement is amended to read as follows:
Payments will be made to KB4 on a reimbursement basis for operational and
marketing costs incurred as authorized by the Agreement as amended. The DDB
will reimburse KB4 in an amount not to exceed $14,750 based on invoices and
paid receipts submitted for approved grant expenditures for Food Truck
Thursdays. Payments will be made within 30 days of receiving an approved
invoice. The total grant amount shall not exceed $14,750.
Section 3. All terms and provisions of the Agreement not modified, changed, or
amended hereby shall remain in full force and effect.
