TERMINATION CERTIFICATE
This Termination Certificate is made and entered this /1 f day of t) ne-
2022, by and between the COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF
CLEARWATER, FLORIDA, a public body corporate and politic of the State of Florida (the
"Agency"), whose address is P. O. Box 4748, Clearwater, Florida 33758, and Blue Pierce, LLC,
successor in interest to Blue Sky Communities, LLC, Florida limited liability companies (the
"Developer"), whose address is 5300 West Cypress Street. Suite 200, Tampa, Florida 33607.
WHEREAS, The Agency and the Developer entered into that certain Agreement for
Development and Purchase and Sale of Property dated October 22. 2019, (which, together with
any amendments thereto, if any, shall herein be collectively referred to as the "Development
Agreement"), which provided, among other things, for the sale of real property described in the
said Development Agreement to the Developer;
WHEREAS, the sale of the property has not closed; and
WHEREAS, Developer has elected to terminate the Development Agreement, which
termination is mutually agreeable to the Parties.
THEREFORE, for good and valuable consideration, the receipt and sufficiency of which
is hereby acknowledged, the Parties certify and agree:
1. That certain Agreement for Development and Purchase and Sale of Property dated
October 22, 2019, together with any amendments thereto. if any. (the "Development Agreement"),
and that certain Memorandum of Agreement for Development and Purchase and Sale of Property
recorded on October 30, 2019, in O.R. Book 20763, Page 607-608, Instrument No. 20199350547,
Public Records of Pinellas County, Florida, effective this date is terminated, cancelled, deemed
null and void and all Parties are hereby relieved of any further obligations under the Development
Agreement and do hereby confirm that the Project Site as defined in the Development Agreement
is no longer subject to any restrictions, limitations or encumbrances imposed by the Development
Agreement..
2. The Parties represent, confirm and acknowledge that there are no surviving
obligations or liabilities on the part of either party to the Development Agreement; that no
Notice(s) of Default has been given by the Agency and none are contemplated under 5.02 of the
Development Agreement and if any such Notice has been given the default has been cured under
5.03; the Agency has no claim against the Developer under 5.05 of the Development Agreement;
that there exists no claims per 6.04 of the Development Agreement arising out of site evaluations
or activities by the Developer; that no Notice has been given by the Agency per 7.02 of the
Development Agreement claiming default by the Developer and that the Agency has taken no
curative actions per 7.02 of the Development Agreement.
3. The Parties do hereby mutually release and discharge one another, their respective
representatives, agents, successors, and assigns from any and all rights, claims, demands, actions,
causes of action, suits, proceedings, agreements, contracts, judgments, damages, debts, duties,
liabilities, or obligations of any kind or character, whether in law or in equity, known or unknown,
which either party had, now have, or hereafter may have, against the other party, by reason of any
matter, cause, happening, or thing whatsoever, from the beginning of time to and including the
date of this Certification. Without limiting the generality of the foregoing, this mutual release
includes any and all of the foregoing which heretofore may have arisen, or may hereafter arise, in
connection with the Development Agreement above described and any matters related thereto.
4. This Termination Certificate may be executed in any number of counterparts, each
of which shall constitute an original, but all together one and the same instrument and shall be
recorded in the Public Records of Pinellas County, Florida.
IN WITNESS WHEREOF, the parties hereto have executed this Termination Certificate
on the day and year first above written.
