Re: Consent to Erickson Consulting Engineers, Inc.'s Assignment of
Agreements/Amendments listed on Exhibit A (the "Contracts")
Dear Ms. Vogel:
Per our phone conversation on Thursday, April 28 and our earlier communications, I am
seeking approval of the assignment of contracts that had previously been entered into
between Erickson Consulting Engineers, Inc. (°ECE") and the City of Clearwater.
Effective March 1, 2022, ECE sold certain of its assets and transferred the business to
Graef-USA Inc. ("Graef). ECE has assigned and transferred to Graef all of its rights,
interests, and certain of its liabilities and obligations under the Contracts and Karyn
Erickson is now an employee of Graef and continues to be the lead contact on your
account.
Please sign and date this letter where indicated below in order to consent to the
assignment of the Contracts and to consent to a waiver of any rights to terminate the
Contracts or to assert a breach of any part of the Contracts as a result of the above -
referenced transaction. Please return this letter to me by e-mail at brent.otto(araef-
usa.com.
