FIRST AMENDMENT TO AGREEMENT FOR METERED PARKINGFIRST AMENDMENT TO AGREEMENT FOR METERED PARKING THIS FIRST AMENDMENT to the Agreement for Metered Parking (this "Amendment") is made and entered into this ! I 4ti day of Agri 1 , 2022 by and between the CITY OF CLEARWATER, FLORIDA, a municipal corporation, hereinafter referred to as (the "CITY") and PINELLAS COUNTY, a political subdivision of the State of Florida, hereinafter referred to as "COUNTY", collectively referred to as the "Parties". WITNESSETH: WHEREAS, the Parties previously entered into a Metered Parking Agreement on July 26, 2011 ("Agreement") for multiple parking lots in the City of Clearwater that are owned by the County; and WHEREAS, the City has installed and maintains parking meters and other parking appurtenances on the aforementioned parking lots for use by the public; and WHEREAS, in accordance with Section 10 of the Agreement, the City now desires to purchase, install, and maintain new "Cale" touch screen kiosks on parking lots 13, 19, 22, and 29 as shown in Exhibit "A"; and NOW THEREFORE, in consideration of the mutual covenants contained herein, receipt of which is hereby acknowledged, the Parties hereby agree as follows: 1. Recitals. The above recitals are true and correct and incorporated herein by reference. 2. Supplemental Terms. The terms and conditions of the Agreement are hereby supplemented as follows: 19. CALE TOUCH SCREEN PARKING KIOSKS "Cale" touch screen parking kiosks ("Kiosks") shall be installed and maintained on parking lots 13, 19, 22, and 29 as shown in Exhibit "A". The City will purchase, at its sole cost, the Kiosks. The City shall also be solely responsible for the installation and maintenance of the Kiosks, to include any and all associated costs. The City may recoup the cost of the purchase, installation, and maintenance of the Kiosks as set forth in Article 4 of the Agreement prior to County and City sharing in the fees as described in Paragraphs A and B of Article 4. After the cost of the said parking Kiosks have been recouped by the City, then the gross receipts from said Kiosks shall be divided as follow: The City shall receive sixty (60%) percent of said receipts and the County shall receive forty (40%) percent of said receipts. 3. Exhibits. Exhibit "A", attached hereto and incorporated herein by reference, is hereby added to the Agreement as Exhibit "A". 1 4. Terms and Conditions. Except as specifically modified herein, all other terms of the Agreement shall remain in full force and effect. To the extent the terms of the Agreement conflict with the terms of this Amendment, the terms of this Amendment shall control.
