First Amendment to Professional Services Agreement
This First Amendment is made and entered into this 25 day of January 2022, by and
between the City of Clearwater, Florida ("Client" or "City"), a Florida municipality, and
Innovative Emergency Management, Inc. ("IEM"), a corporation organized and existing under the
laws of the State of Louisiana.
WHEREAS, the Parties entered into that certain Professional Services Agreement with an
effective date of October 1, 2020 ("Agreement").
WHEREAS, the Agreement expires on January 31, 2022.
WHEREAS, due to the ongoing COVID pandemic, several meetings were cancelled,
which have caused delays to the completion of Phase 2.
WHEREAS, Section 2 allows the term to be amended upon written mutual consent of both
Parties.
WHEREAS, Section 16 allows the postponement of any obligation until such time as
circumstances become operative.
WHEREAS, the Parties desire to extend the term of this Agreement for the completion of
Phase 2.
NOW THEREFORE, in consideration of the mutual promises contained herein and other
good and valuable consideration, the Parties agree that the above terms, recitals, and
representations are true and accurate and are incorporated herein by reference, and the Parties agree
as follows:
1. Section 2 is hereby amended as follows:
Term. This Agreement shall commence as of October 1, 2020 and shall continue until
April 30, 2022 January 30, 2022 (the "Term"), unless sooner terminated in accordance
with the provisions of this Agreement. The Term may not be altered, modified, or

amended, in whole or in part, except in writing signed by duly authorized Representatives
of both Parties.
2. All other terms and conditions of this Agreement which are not expressly amended or
deleted herein shall continue in full force.
IN WITNESS WHEREOF, the Parties hereto have duly executed this First Amendment by the
appropriate officials as of the day and year first written above.
