FIRST AMENDMENT TO CONTRACT FOR PURCHASE OF REAL PROPERTYFIRST AMENDMENT TO CONTRACT FOR PURCHASE OF REAL PROPERTY
THIS FIRST AMENDMENT TO CONTRACT FOR PURCHASE OF REAL
PROPERTY ("Amendment"), which is dated effective as of January _, 2022, is entered into by
and between Covenant Property Investors, LLC, a Georgia limited liability company ("Buyer"),
and The City of Clearwater, Florida, a municipal corporation of the state of Florida ("Seller").
RECITALS:
A. Buyer and Seller entered into that certain Contract for Purchase of Real Property,
dated effective September 22, 2021 (the "Agreement"), for the sale and purchase of certain
Property, as more particular defined in the Agreement.
B. Buyer and Seller desire to amend the Agreement as set forth in this Amendment.
AGREEMENT:
NOW, THEREFORE, in consideration of the mutual promises contained herein, and in the
Agreement, and for other good and valuable considerations not herein recited, but the receipt and
sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Recitals and Definitions. The foregoing recitals are incorporated herein by
reference as true and correct. Unless otherwise defined herein, any capitalized terms shall have
the meaning and definition set forth in the Agreement.
2. Closing Date. The Closing Date as defined in Section 10 of the Agreement is
hereby amended to be sixty days after the earlier of (i) the dismissal, disposition or resolution of
that certain case pending in the Sixth Judicial Circuit, Pinellas County, Florida, styled, SCI Pelican
Walk LLC v. The City of Clearwater, et. al., Case Number 2021 -004719 -CI (the "Lawsuit") or (ii)
February 1, 2023.
3. Miscellaneous. Except as specifically hereby amended, the Agreement shall
remain in full force and effect. In the event of a conflict between the terms and provisions of the
Agreement and the terms and provisions of this Amendment, the terms and provisions of this
Amendment shall control. This Amendment shall be construed and enforced in accord with the
laws of the State of Florida. This Amendment shall be binding upon and inure to the benefit of
the successors and permitted assigns of Seller and Buyer. This Amendment may be executed in
one or more counterparts, the signature pages of which may be combined to constitute one
instrument. Electronic mail/PDF copies of this Amendment and the signatures thereon shall have
the same force and effect as if the same were original documents.
