SITE AGREEMENT
This Site Agreement is made and entered into effective as of the date of last signature hereto,
by and between the GIRL SCOUTS OF WEST CENTRAL FLORIDA, INC. (GSWCF),
JUVENILE WELFARE BOARD OF PINELLAS COUNTY ("JWB"), and COMMUNITY
OUT OF SCHOOL TIME PROVIDER: City of Clearwater- Charting the Course for Youth
(Ross Norton Recreation Center and North Greenwood Recreation Center) (PROVIDER).
The benefits of this cooperation include mutual in-kind reassurance and the ability to provide
safe, structured and enriching academic programs for students after the regular school day to
promote acceleration, achievement, and academic performance for students in the GSWCF
program. The parties to this agreement share similar goals for at -risk students in Pinellas
County, in consideration of the mutual promises and covenants herein contained, and for
other good and valuable consideration the receipt and sufficiency of which are hereby
acknowledged, GSWCF, JWB, and PROVIDER represent and agree as follows:
PURPOSE
The GSWCF, program's purpose is to provide relevant, quality programming that will
develop girls with courage, confidence and character who make the world a better
place.
II. SCOPE
GSWCF responsibilities include the following:
• Deliver the Girl Scout Leadership Experience program at the PROVIDER
to girls who are registered in the Girl Scout program.
• While programs are being facilitated virtually, and PROVIDER with the
technological capabilities will continue to receive weekly programming.
Any PROVIDER without the technology or capacity to receive
programming virtually will be offered the program curriculum, materials,
and support necessary for a PROVIDER staff member to deliver the
program.
• GSWCF will record and distribute curriculum sessions and program
supplies to the parents/guardians of registered girls who cannot participate
in person at one of the two PROVIDER facilities due to safety concerns
until it is deemed safe to resume in-person programming
• Summer schedules will be planned in advance during the second quarter of
the program year (January -March 2021).
• Coordinate with PROVIDER Director to ensure the adult to girl ratios are
implemented for the safety and health of girls during Girl Scout
programming. GSWCF will provide one GSWCF-paid staff member who
will serve as the troop leader, unless PROVIDER Director opts to assign a
staff member to deliver the Girl Scout experience and act as troop leader
until in-person programming resumes.
• Deliver a program portfolio that will include: Girl Scout "Journeys" and skill- building

badges, STEM (Science, Technology, Engineering and Math), business and financial
literacy, healthy living, and career exploration. GSWCF core curriculum "Journeys"
is differentiated by grade level and geared towards the three keys to girl leadership:
discover, connect and take action, which is based on research from the Girl Scout
Research Institute that supports girl academic and leadership growth.
• Incorporate culturally responsive teaching methods that respect and celebrate
differences.
• Deliver the GSWCF program to girls at the PROVIDER'S after-school program on a
weekly basis during the 20-21 academic school year and 2021 summer, virtually
when deemed necessary to maintain social distancing. Summer schedule will be
planned in advance during the second quarter of the program year (January -March).
• GSWCF will attend at least one PROVIDER -led parent meeting to discuss program
expectations and an overview of the GSWCF program, whenever possible as advised by
Center for Disease Control (CDC) guidelines.
• Provide new or "bridging" girls (girls advancing to the next Girl Scout level) with a Girl
Scout level appropriate uniform.
• GSWCF will recruit and obtain the required paperwork for girl and adult
participation in the Girl Scout program with the assistance of PROVIDER staff.
• GSWCF will actively work on increasing parent and family engagement by
offering volunteer opportunities to PROVIDER families.
• GSWCF will recruit, train and support adult volunteers who want to assist as
helping troop members.
• Girl Scout program will be implemented at the PROVIDER facility on the
following day (s) and time(s), and will serve the following targeted number of
girls between the school year and summer:
• North Greenwood (PROVDER- led)
o Targeted Service Level: 30 participants
o Day and time: Mondays 4:30PM-5:30PM
• Ross Norton (PROVIDER -led)
o Targeted Service Level: 12 participants
o Day and time: Mondays 3:OOPM-4:OOPM, in person TBD
• GSWCF will work with PROVIDER staff to promote and recruit a helping parent
or family member to serve as cookie program coordinator, responsible for
coordinating the cookie sales for the troop at PROVIDER facilities.
• During the product sales program, products and money will not be stored at or
handled on PROVIDER premises, unless previously approved for a booth or pick-
up/drop-off on designated dates/times.
• Provide the opportunity for girls to attend age-appropriate enrichment activities
and outdoor experiences outside of the regularly scheduled program time, as
appropriately guided by Center for Disease Control (CDC) guidelines and updated
safety measures.
• Provide monthly newsletters to PROVIDER facilities to give an overview of
activities, program highlights, upcoming events, and pictures.
• Coordinate with PROVIDER and JWB for evaluation and presentation of data.
• Uphold all contractual obligations in the contract by and between GSWCF,
PROVIDER, and JWB.

• Coordinate communication and collaboration between GSWCF, PROVIDER, and
JWB.
• Remain responsible for the care and oversight of all of GSWCF's officers, agents,
employees, servants, patrons, licensees, customers, visitors, guests, and invitees.
PROVIDER:
• Designate a staff member at PROVIDER facilities who will serve as the point of
contact for GSWCF staff, and assist in securing the program space, identify
opportunities to involve parents and family members, assist with collecting Girl
Scout required paperwork, and notify GSWCF staff with any concerns regarding
attendance, behavior, successes, and challenges of the troop.
• Coordinate with GSWCF for evaluation and presentation of data applicable to their
respective site, including but not limited to girl membership registration and
permission forms and girl pre- and post- surveys.
• Coordinate with GSWCF staff member to ensure the adult to girl ratios are
implemented for the safety and health of girls during Girl Scout programming, by
offering opportunities for PROVIDER staff members to volunteer and be
registered Girl Scout troop helpers and attend weekly troop meetings.
• Coordinate communication and collaboration between GSWCF, PROVIDER, and
JWB.
• Uphold all contractual obligations in the contract between with GSWCF,
PROVIDER and JWB.
• Support GSWCF in their efforts of recruiting, training and supporting adult
volunteers to serve in the capacities of Cookie Coordinator, field trip chaperones
and/or Troop Helpers.
• Provide in-kind space for GSWCF program activities that are implemented at the
PROVIDER facilities on a weekly basis when permitted by Center for Disease
Control (CDC) guidelines. The program will require a private meeting room with
chairs and tables for the number of participants listed above in the Targeted
Service Level.
III. IMPLEMENTATION
In order to carry out the goals and duties of the parties to this Site Agreement, the
parties will execute the necessary contracts. All parties agree to abide by the contractual
provisions agreed upon in order to implement this program.
IV. MODIFICATION OF THIS AGREEMENT
Updates and modifications of this Site Agreement will require agreement of all parties.
Changes must be in writing and are not effective until all parties have signed the
change.

V. TERM AND TERMINATION
This Site Agreement is in effect, for the period commencing October 1, 2020, until
September 30, 2021. At any time during the term of this agreement, each party shall
have the right to terminate this agreement, without cause and without penalty, by
delivering at least thirty (30) days advance written notice to the other parties specifying
the date on which this agreement shall terminate.
VI. MAINTENANCE
PROVIDER shall keep and maintain the facilities in a safe and sanitary condition at all
times. GSWCF shall leave the facilities in a clean and orderly condition, and shall restore
the facilities to its original condition after the use periods. GSWCF shall repair any damage
caused by its negligence or that of its representatives or invitees.
VII. USE OF FACILITIES
GSWCF shall use the facilities during the term of this agreement at times and on dates agreed
to in writing by the parties. GSWCF shall not make any use of the facilities that would: (1)
represent an unlawful, improper, immoral, unethical or objectionable purpose; (2) constitute
a nuisance, annoyance, inconvenience or danger; or (3) void or make unenforceable any
insurance covering the facilities. Without limiting the generality of the foregoing, GSWCF
must conduct all business practices and its obligations under this Agreement in compliance
with all applicable local, state, and federal laws.
VIII. INSURANCE
Throughout the term of this agreement, the parties shall maintain at least $1,000,000 in
Comprehensive General Liability, $1,000,000 in Professional Liability/Malpractice/Errors or
Omissions, $500,000 in Workers Compensation, and $1,000,000 in Automobile Insurance or
self-insurance, and shall furnish a Certificate of Insurance to the other parties upon request.
GSWCF shall add PROVIDER as an additional insured to all policies except Workers
Compensation.
IX. INDEPENDENT CONTRACTOR
This Site Agreement shall create an independent contractor relationship between the
parties. Nothing in this agreement shall be deemed to create a joint venture, partnership,
agency, employment, or similar relationship. Neither party has authority to enter into
any contract or incur any other obligation on behalf of or in the name of the other
parties.
X. GOVERNING LAW
This Site Agreement shall be governed by, and construed in accordance with, the laws of
the State of Florida, exclusive of its choice of law rules.

All disputes directly or indirectly related to this agreement shall be litigated solely in the
state and federal courts with jurisdiction over the county in which the facilities are located
and no other place.
XI. LIABILITY
The parties shall be liable for their own acts of negligence, or their respective agents' acts of
negligence when acting within the scope of their employment, in the performance of this
agreement; provided, however, that JWB and PROVIDER liability is subject to the monetary
limitations and defenses imposed by Section 768.28, Florida Statutes. Nothing herein is
intended to serve as a waiver of sovereign immunity by JWB and PROVIDER, nor shall
anything herein be construed as consent by JWB and PROVIDER to be sued by any third
party for any cause or matter arising out of or related to this agreement.
