Tampa Regulation Department, at least 48 hours prior to commencement of
construction of the effluent flltration system, so that District staff may
observe thls construction activlty
6 During the construction period the Permlttee's Professional Engineer shall
conduct an on-site inspection to verify that the impervious l~ner has been
constructed as permitted
7 ththin 30 days after completion of construction of the permitted activity,
the Permittee shall submit to the Tampa Service Office a wrltten statement
of completion and certification by a registered professional engineer or
other appropriate individual as authorized by law, utilizing the required
Statement of Completion and Request for Transfer to Operation Entlty form
identifled in Chapter 400-1, F.A.C., and slgned, dated, and sealed as-

1 The Perm~ttee shall perform the constructlon author~zed ~n a manner so as
to m~nlm~ze any adverse ~mpact of the system on flSh, wl1dllfe, natural
envlronmental values, and water quallty. The Permlttee shall lnstltute
necessary measures durlng the construct~on period, lnc1udlng full compac-
tlon of any fill materlal placed around newly installed structures, to
reduce eroSJ.on, turbJ.dlty, nutrJ.ent loadJ.ng and sedlmentatlon In the
receJ.v1ng waters
2. Water qua11ty data for the water dlscharged from the Permlttee's property
or 1nto the surface waters of the state shall be subm1tted to the D1strlct
as requlred Parameters to be mon1tored may 1nclude those l1sted In
Chapter 17-3 Analyses shall be performed a~cordlng to procedures out-
11ned In the current ed1tlon of Standard Methods for the ExamlnatJ.on of

3 The Permittee shall comply wJ.th all appl1cable local subd1vls1on regula-
t~ons and other local req1.l.1rements. In add1t1on the Permlttee shall
obta1n all necessary Federal, State, local and speC1al dlstrlct author1za-
t10ns prlor to the start of any construct1on or alteratlon of works
author~zed by thlS perMlt.
4 The aperat10n phase of th1s permlt shall not become effectlve untl1 the
owner or hlS authorlzed agent certJ.fles that all faCll1tles have been
constructed In accordance wlth the des1gn per:n1tted by the Dlstrlct
W1th1n 30 days after completlon of constructlon of the surface water
management system, the Perm1ttee shall subm1t the certlflcatlon and notJ.fy
the Dlstrlct that the facl11tles are complete Upon completJ.on of the
surface water management system, the PermJ.ttee shall request transfer of
the permlt to the responsJ.ble entlty approved by the Distn.ct The

warrants and r~present5 that all of the above facilities WhlCh are

163.3239 and Code of Ordinances Section 36.121. In the event of a
court challenge to this Development Agreement by a party or non-

11. Successors Bound. This Development Agreement shall
constitute a covenant running with the land for the duratlon
hereof, and the burdens of the Development Agreement shall be

13. Becordation. Et.c~ Not later than fourteen (14) days
after the execution of this Development Agreement. C1ty shall
record same in the public records of Pinellas County, and a copy
of same shall be subm1tted to the state land planning agency
within fourteen (14) days after the Development Agreement ~s
recorded. In the event Developer should request at any time
during the term of this Agreement conf1rmation from C1ty that
Developer is in compliance with this Agreement, C1ty shall provide
said confirmation w1thin ten (10) days of sa1d request. or 10 the
event that Developer is not 1n compliance w~th th.l.s Agreement.
C1ty ahall forward within that ten (10) -day period a specific
enumeration of those items as to which C.l.ty believes Developer 15

Such revocation or modification shall be accompl~9hed only after a
publ~c hearIng and not1ce sufficient for the adoption of a
development agreement. However, in the event City elects to
mod~fy or revoke this Development Agreement due to the Developer's
noncompliance, Developer shall have ninety (90) days w1th~n wh~ch
to cure said non-compliance and upon Developer's curing said non-
compl1ance City's action shall become null and v01d
17. F.nforcemep.l;. This Development Agreement may be
enforced as set forth in Florida Statutes Section 163.3243, as may
be amended from time to time. Developer and City shall
additionally be able to enforce this Agreement as may be provided
by law.
16. Drafting of Deve1Qpment ~reement. The PartIes shall
be deemed to have participated jointly in the drafting of thl.s
Development Agreement. Accardl.ngly, this Development Agreement
shall be construed neutrally without regard to the party or
parties responsible for ite preparation, and any terms,
condl.tions, uncerta1nty, or ambiguity shall not be construed
against any of the parties as a result of the drafting of Buch

interpreted under the laws of the State of Florida.

22, Annexation. Concurrent with the approval of this
Development Agreement City shall consider the pending appl1cat1on
by Developer of Annexation of the property 1nto the City. City
understands and agrees that Developer's application for annexation
is wholly contingent upon City's Approval of this Development
Agreement, Developer shall not be required to pay any fee to City
for sa~d annexation application.
23 Developer's Obl~gation ~o ~nnAtnJ~t Projp~t. Developer
agrees to construct the Project as depicted on Exhibit "sn w1thin
five years of the Effective Date of this Development Agreement
The t~me table by which the project is anticipated to be completed
is. phase One i8 anticipated to be completed during the calendar
year 1997; phase Two 18 ant~cipated to be completed w1thin f~ve
(5) years from date of commencement.

Cert.aln lW~rova.lg, Developer shall be required to obtain all
necessary site plan approvals for each stage o[ the development
consistent with the Conceptual plan, building permits, and
regulatory agency permits, including any Southwest Flor1da Water
Management D~strlct permits, water distribution and wastewater
collection permits, certificates of capac1ty as required by C1ty
Code Sect10n 36.142, recreation and open space requ1rements, and
other development permits as customarily needed for the
improvement of real property. These permits shall be obtained at
the Bole coat of Developer, It is understood by the part1es that
annexat10n as applied for in Developer's Petition for Annexation
dated December 4, 1996, and on file with C~ty, w1ll be processed
concurrently with a Reeolution approving and adopting th1s
Development Agreement, and that said Development Agreement shall
be adopted prior to the annexation and the adoption of the
annexation shall be conditioned such that in the event the parties
do not execute the Development Agreement or in the event the
Development Agreement does not take effect or is held to be void

then the annexation shall likewise be considered ~neffective and
v01d. Developer's execution of this Agreement shall therefore ~e
contingent upon the prior approval of said annexation.
25. Impa.ct Ff'!fI!s. Etc. The increased impacts on publ1.c
faCllitlea or public services attributable to the development, and
the cost of capital improvements to meet the associated demand on
such fac~lities or services. shall be assured by payment to City,
at such t~me as is specified in City Code. of City's lmpact fees
required by ordinance of general applicatlon then in effect, as
well as by payment by Developer of applicable utility system
development fees.
26. Engineerina Reqpiremen~R. Developer shall be requlred
to relocate any exietlng anodes for the gas t.ransmlBsion gate
station which are located wit.hin the Easement. Developer w111
meet all standard Engineering development requirements for the
f1nal slte and retention pond development. Drainage retention
pond placed in the Easement will be a ndry" pond design.
27, l,:tnrlRr.api ng. The landscaping of t.he I>roperty shall be
1n compl1ance wit.h Cit.y's Code for said uses. The Developer shall
landscape the northerly side of t.he entrance lnt.o the Clearwater
Alrpark between the Airpark entry driveway and the I>roperty
lncluding the existing fenced natural gas gate station. The
landscaping around the gas transmission gate atation ahall be of
sufflclent 81ze, qualit.y and quantit.y to create a vegetative
vlsual screen and the landscape plan approved by the Eng1neering
Department pr~or to inst.allation.

occupancy may be issued for the project,
42. Utilitv TnAtallation~ Site L~~htin~. Developer shall
J.nstall all utilities underground where practical and shall screen
all utility facilities. Developer shall comply with all City
ordlnances regarding site lighting in effect at the time of
application for the building permit for those improvements.
43. Park1ng. Developer shall provide parklng on the
Property pursuant to the Conceptual Plan consistent with all
prov~sions of the technical building codes in effect at the time
of applicatJ.on for the building permit for those improvements.
44 City ~nnpAT~~inn. City shall cooperate with Dev@loper
1n any reasonable manner such that both Developer and City can
comply WIth the terms of th1S Agreement. SpecIfically, as long as
Developer proposes development improvements cons1stent with th],s
Agreement, City will join in any drainage permit app11cations or
other Slmllar permit applications &9 needed to complete the scheme
antJ.cipated herein; however, th1s provision shall not be construed
to require Clty'O participation in any litigation, whether
admlnistratlve or judicial. or to render C1ty liable for any
attorney's fees or costs of sa~d litigation.
45. CostA and At~nTn~y'e FAAA in Liti9aticn. In the event
that e1ther party seeks to enforce this Agreement or to interpret
any provision of this Agreement by the 1nstitutlon of 11tigation,
