Project Objectives
The City of Clearwater Police Department currently operates a fifteen (15) position primary PSAP remote of off the St.
Petersburg and Pinellas City (PSC) hosted VESTA 9-1-1 solution. This Scope of Work ('SOW) document describes the
services and deliverables that will be performed by Carousel Industries in collaboration with Motorola Solutions, the system
manufacturer. These installation and support services will replace ten (10) of the existing VESTA workstations with mobile
CommandPOST laptops that can be relocated to the City's Emergency Operations Center (EOC) as needed. The existing
VESTA licensing and software support will be reused. Additionally, at the Host B PSC location existing equipment will be
utilized to support one (1) new PRI from the Clearwater Avaya PBX, one (1) new Frontier Telco PRI and ten (10) Frontier
analog ringdown circuits to support redundant administrative lines/trunk appearances in times of activation. Carousel
Industries will provide and install the new hardware outlined below to facilitate an easy transition in times of EOC
activation.

Site Survey and Call Flow Meeting
Carousel's project team will perform site surveys at the location to review, space, power, and overall site environments in
preparation for the equipment delivery and installation. All issues and concerns will be documented and presented to the
City as "Site Survey Assessment" for any required attention or resolution. The City agrees that any urgent items discovered
in the Site Survey Assessment will be addressed by City within 3 weeks from delivery of the Site Survey Assessment to
ensure the project can stay on track. Any delay in addressing those items may result in delays and the customer
understands that those delays will impact project timeline.
The project team will lead a Call -Flow meeting with the County and their key personal to discuss, define, and document the
various non -emergency call flow patterns for the new PRI and ringdowns that will be added at the PSC Host B location.
Items to be discussed include:
* Review inventory of all lines and trunks including circuit numbers and descriptive labels
® ACD queues, priorities, and queue overflows
• Call -taker roles / skills
• Dial Plans — i.e. dialing procedures/preferences, etc.
The City and Carousel agree that the output of the call flow meeting will result in a City -approved Project Plan. Any changes
to the approved Project Plan will need to follow a Change Control Process and the City agrees they may incur additional
charges and/or delays in the project.

Section 3: Scope of Work.
Carousel personnel will be on-site to receive and inventory the system components. Installation will commence upon
completion of the inventory.
Clearwater Police Department
« Ten (10) new VESTA CommandPOST HP ZBOOK laptops will replace ten (10) of the existing HP Pro Desk Mini
workstations. Additional CommandPOST items per each build include:
o One (1) Pelican Case for mobile transport
o One (1) docking station to be used with the following existing:
• One (1) Keyboard and Mouse
• One (1) Sound Arbitration Module (SAM), jackboxes and handset
• One (1) 24" FP LCD monitor

o Two (2) 4 -port FXS modules for internal ringdown
o Three (3) 4 -port FXO modules for Frontier ringdowns
Station Wring
• Clearwater Police Department— Reuse existing CAT5/CAT6 cabling runs for the ten (10) VESTA docking stations.
These cabling runs are terminated on modular jacks at the docking station location and patch panels in the
backroom located in, or immediately next to, the VESTA rack
• Clearwater EOC- The City will provide Internet access to each of the ten (10) docking station locations.

Training
No additional training is required.
Customer Responsibilities
The client team will participate in this engagement as follows.
• Designation of a single point of contact for the Carousel Industries Project Manager to work with on the project.
• Attendance on all status calls regarding the project.
• Attendance by current Telecommunications provider on the Customer Kickoff Call (i.e. local technician).
• Provide access to site and equipment, as required by the Carousel Project Manager.
• Request from their current circuit provider/ILEC/911 Services Provider with respect to circuit information,
demarcation points labeled, circuit level testing, referred to herein as "Telco Audit".
• Provide the results of the Telco Audit to the Carousel Project Manager.
• Provide cable plant and wall field, with properly labeled, toned, and tested cable runs. 9-1-1 trunks, ALI circuits,
and administrative lines must be clearly marked at the telco demarcation.
• Floor plans for Workstation and adjunct placement must be provided. They should be marked with position
number.
• Provide environmental conditions that meet or exceed manufacturer specified.
• Actively participate in the execution of the test plan and meet all project deliverables on time to keep project on -
track
• Provide required information for Carousel Industries engineers to perform the installation
• Assume responsibility for removal and disposal of any disconnected equipment and telephones, unless removal or
trade-in is specifically negotiated as part of the contract. Removed gear remains the property of the customer.
• Assume responsibility for any network provisioning and coordination of circuit in-service/testing date/time and
procedures
• Provide tested building ground per NENA recommendation
• It is to be noted that if new network facilities are installed, any delay of network services or site readiness that
effects required labor hours may result in a change order for additional technician hours.
• Coordination of 3'd party vendors for status calls and onsite meetings/work as required by the Carousel Industries
Project Manager
• All equipment provided to Carousel Industries by the City will be in good working order, available, accessible and
operating within manufacturer specifications.
• Adequate power/UPS/generator, work area, environmental controls, wiring and other facilities will be provided by
provided by the City as required.
• Access to all required facilities and staff will be provided upon arrival at the site, subject to reasonable applicable
security procedures.
• Provide stamped engineering plans, blueprints, and electrical single line drawings of existing / new site, as
available.
• Provide access to the Customer's preferred contractors and consultants (e.g., Electricians, plumbers, mechanical,
engineering, architects, carpenters, riggers, movers and other parties), as required by the Carousel Project
Manager to ensure adherence to project timeline.
• Full disclosure and contact information of all project stakeholders, their roles and contribution including
contractors, consultants, manufactures, vendor and suppliers, as required.

Provide Carousel technicians with internet access, while on-site in the event firmware downloads and updates are
required as well as communication with the Carousel team.
• Provide suitable UPS battery backup power to support the system (backroom equipment and call -taker positions)
• Perform any system administration or programming of administrative phone systems required for system
integration and interoperability.

C)ut of Scope
Items not specifically called out in section 3 would be considered out of scope for this project. Any additional professional
services requested will be handled as a change order to this project.
Customer Test Period and System Acceptance
Carousel will notify the Customer of a System Ready date which will establish a Customer Test Period during which time the
Customer may conduct system testing prior to a system cutover for live operation. The test period will not exceed 5
business days unless mutually agreed upon by both parties prior to the start of testing. The Customer is responsible to
document and notify Carousel of any issues detected during the test period. Carousel will address and remediate all issues
and provide feedback based upon findings. The Test Period may be extended, if deemed necessary by both parties, to
address any major issues.
For system installations where no new network lines and/or circuits are being installed it may be necessary for Carousel
Industries to coordinate and participate in the temporary move of existing network services to allow the customer testing.
In these cases, the testing window will be of limited duration to demonstrate functionality. Services will be restored to
normal operation on the existing system until system cutover.
Upon conclusion of the Test Period the system will be cutover for live operation on a date mutually agreed upon by both
parties. The Customer will provide notice of System Acceptance to Carousel in writing within 5 business days of live
operation (Acceptance Period). The System Acceptance date may only be extended if an issue is identified that indicates
the system fails to perform in accordance with the manufacturer's specifications. The System will be deemed accepted if
the acceptance period passes without notification of issue or acceptance by the Customer.
Design Assumptions
The overall scope and related work estimate for this engagement were developed based on the following assumptions.
Material changes to these assumptions may impact the estimated effort, schedule and fees associated with completing the
work.
• The scope, approach, and deliverables for this initiative are based on our current understanding of the work
required to complete the project.
• Information provided in client documents and statements prior to this Statement of Work is assumed to be an
accurate representation of the respective subject matter.

• The Carousel team may perform portions of the work either on site or off site, depending on the nature of each
task.
• Client key stakeholders will be readily accessible for key decision making throughout the course of the initiative.
• The City will order the transport for the Avaya PRI, Frontier PRI and Frontier ringdown circuits that will be
terminated at the Host B PSC location.
• The City will provide Internet access at the EOC for the CommandPOST laptops to VPN into the Host site firewalls
• The City will supply suitable system -wide UPS battery, electrical and grounding services for all equipment

'Section 4: Period of Performance
The Carousel Industries Project Manager will provide a detailed project plan that will be utilized through as a baseline for
the project. Until further meetings can identify resources and project dates, a timeline cannot be detailed at this time.
Carousel engineering resources to kick off project are typically available 4-6 weeks from receipt of signed project
documentation.
To effectively determine the degree to which the project plan is being met, the Carousel Industries Project Manager will
follow a plan to control and manage Clearwater's project through a communication plan, change control, and variance
management.
As part of the communication plan the Carousel Industries PM and customer will jointly establish the time and frequency
for status meetings (or conference calls), document meeting results, and distribute meeting notes, including action items.
For effective scheduling and cost control, progress measurements will start as the project begins and continually utilized
throughout to measure the performance of Customer's project. The project roadmap provides a baseline from which to
judge progress, comparing planned activities, in -progress activities, and the actual completion of those activities. The PM
will identify variances to plan and take action to correct or limit it impact on the project.
The Carousel Industries PM will utilize a change control strategy to identify and document changes to the original scope.
The PM will screen and assess the impact of the change on the project timelines, obtain customer approval, implement the
change if required, and maintain a log of all change requests and their treatment. Any agreed to changes will be reflected
in the project plan.

Project Methodology

planning and managing the service delivery lifecycle and is tailored to meet clients' and/or projects' requirements, as
necessary. It includes tools and templates used to manage Scope, Risk Quality, Communications, Human Resources,
Procurement, Time, and Cost. With thousands of projects delivered using this methodology to public -sector and private -

Project Phases

lifecycle. While Section 3: Description of Services states the services included in this SOW, below is a definition of each of

The activities in the Project Initiation Phase are essential steps in the project effort. The Project Initiation Phase documents
to define the project and an initial kickoff meeting so project stakeholders clearly understand the project scope and
expected benefits. Project initiation activities also establish executive management commitment to the project and to the
allocation of required resources.
Communication Plan
Carousel Industries will develop a project communication plan for the Project. The Project Communication Plan provides
project resources easy access to contact information, project roles, communication strategy and tools.
The plan will be reviewed during the kickoff meeting, updated and posted on the Extranet Project Portal provided by
Carousel Industries.

Project Baseline / Information Gathering
An initial call with the Client's project manager will be conducted to review the current state of the Client's
environment. The objective is to establish a baseline environment through a set of activities designed to provide the
deployment team with a clear understanding of Client's current capabilities, organizational process maturity, and
technology employed to support the solution today.

Prior to beginning the Planning and Design Phase of the project, the following project pre -requisites are required to be
completed by the client in order to assign project resources to the engagement:

Project Planning
Given the information gathered during the initial stage of the project, Carousel Industries will begin to plan the
deployment of the new technology, taking into account any downtime required to execute the planned work and
working around the scheduling requirements of the client. As part of this phase, Carousel Industries will present a
Project Plan to the client for the client's review and approval. The client's resources and third -party vendors, if
contracted by Carousel, will be coordinated and communicated to such that they are prepared for the deployment.
Technical Implementation Strategy
The Carousel Industries Project Manager will coordinate a technical discovery meeting with the Client and a Carousel
Industries implementation engineer. The meeting's goals are as follows:
• A brief project overview during which the agenda includes a work breakdown structure, introduction to
participants in the meeting, and review of the work plan.
• Review and assess Client's current state and conduct further information gathering as needed.
• Confirm general information or special site requirements or considerations.
• Provide detailed data necessary to complete the Design phase and develop a technical implementation plan.
• Set scheduling expectations (Targeted rollout date(s)).
• Review the equipment requirements.
Amend the Statement of Work or add Change Orders as appropriate for new or additional items to be added to the
project scope.
Define User communication plan that includes how users will be notified of scheduled changes and impact to users.
After Carousel Industries develops and documents an approach for the project, based on the current state
understanding, Carousel Industries will conduct a solution review to confirm the technology architecture, review
the proposed bill of materials (BOM), develop detailed work instructions for the upgrade, and create an overall
planning document defining important information including but not limited to:
• Core team listing for the project execution.
• Project risk assessment documentation.
• Options for further technical infrastructure requirements, if needed.

Monitoring plan that will be used to verify migrations to the test and production environments.
It may also be necessary at this time for Carousel Industries to access the Client's current systems to inventory/catalog
software configuration and examine each representative server / component configurations.
During the solution review, the project plan, implementation strategy, design specification, drawings, and bill of
materials (BOM) will be reviewed. These documents should support Client's business and technical requirements. The
client should be prepared to discuss any final technical aspects at this point prior to moving to the Execution Phase of
the project.
After successful completion of the solution review, Carousel Industries will require client signature in order to proceed
to the Execution phase. If required, Carousel Industries will amend the Statement of Work or add Change Order(s) as
appropriate for new, added, or reduced items or bill of materials to the project scope.

Phase 3: Execution
Implement the Solution
Following the plan and technical implementation strategy approved in the preceding phase, the plan will be executed.

The new equipment will be ordered and shipped to a Carousel Industries' approved staging location to be pre -staged
and configured prior to commencing onsite implementation activities. The pre -staging activities will allow the new
equipment to be properly burned -in prior to site deployment.
Administration
Carousel Industries will provide professional services to program and administer the solution as defined during the
Technical discovery meeting(s).
Installation
Carousel Industries will provide professional services to install the solution equipment at the Client's site(s).
Monitor
Throughout the implementation, the Carousel Industries Project Manager, in conjunction with the Client Single Point Of
Contact (SPOC), will monitor the project schedule, scope, risks, quality, performance and budget.
During this stage, the Client shall have the appropriate staff available as required for the implementation to provide
testing and validation of the installed solution.

Carousel Industries will continue to closely monitor and support the system through "Go -Live" and immediately
following "Go -Live" to ensure a successful and smooth transition to the new environment. Leading up to "Go -Live",
Carousel's project team will work with the Client to verify and define any changes to the stated Day 1 (First Day of
Business) Support strategy.
Training
Carousel Industries will coordinate end-user and system administration training activities and deliverables with the
Client SPOC for each included solution.
Documentation
Following Day 1 support, a Carousel Industries engineer will provide agreed upon documentation (e.g. backup
configurations for archival purposes). The documentation will be the final deliverable provided to the Client. The Client
will provide sign -off for the project completion upon receipt and review of the documentation.

Working in conjunction with the Client's Project point of contact, Carousel's Client Engagement Manager is responsible

The Post Project Review may be conducted at the conclusion of the project and describes the results of the project,
objectives achieved, lessons learned and any corrective actions for any objectives not achieved.
Optimization
Following project completion, Carousel Industries can provide additional hours of remote / on-site optimization time as
needed, under a separate SOW or change order. Alternatively, Carousel's Managed Services Program can be engaged to
ensure optimal performance and availability through monitoring and maintenance of the technology deployed during
this project. Optimization time would be used to resolve possible configuration changes that have been identified after
the fact, specific features not covered under the original scope, or other changes that will enable a better customer
experience.

Section 6: Protect Assumptions
Carousel's pricing estimates are based on our current understanding of the project and the assumptions stated below. If
during the course of this engagement any of these assumptions prove to be invalid, both parties will agree to execute a
change order to revise the scope of this engagement. The list of material is included in the System Itemization. All non -
disruptive installation labor will be done during daytime operations, which is assumed to be Monday through Friday, 8AM-
5PM local time.
Proposal Caveats
0001 All specific materials, equipment and installation supplies that are to be furnished by Carousel Industries are
listed herein (based on the customers current statement of work).
0002 Changes that may affect this proposal must be submitted to this office. Carousel Industries field personnel are
not authorized to accept scope changes. Any additions, deletions or changes to this proposal will result in a
price adjustment.
0003 Carousel Industries pricing is good for 90 days
0004 Carousel Industries has made its best effort to design a solution given the general nature of the current scope.
Additional discussions with the City will be required to achieve desired outcomes. Any variance to Clearwater's
current scope of work may result in a price adjustment.
0005 If any work requires an out of service period, the Project Manager and Lead Technician will work with the
customer to identify and minimize disruption during the duration. The customer is responsible for developing
the emergency communications plan during outages.
0006 Technicians may require internet access, while on-site in the event firmware downloads and updates are
required.
0007 Exact scheduling will be determined with the customer, but installation will occur during a continuous period,
until completed. Changes to or delay of this schedule (once determined) may result in additional labor costs
and Project Management time added, via Change Control Process. Changes to or delay of this schedule (once

0008 The Project Manager will provide equipment installation specifications (i.e., space, power and grounding) and
the customer will be responsible for ensuring that the allocated space is ready.

00010 Carousel Industries will be responsible for hardware server configuration, licensing, testing, firmware updates
during the equipment preparation phase.

General Caveats
Carousel Industries assumes all work will be performed in the Customer's location or remotely, in Carousel Industries'
offices. Should it be necessary for Carousel Industries personnel to travel to additional sites, we may need to re -address
our estimate.

2 The project scope is identified in the section "Project Activities and Deliverables." Should additional tasks outside of this
scope be needed, we will need to re -address this estimate.
3. Customer resources identified in this proposal will be allocated to the project to ensure a successful project. If the
resources are not available, we may need to review the resource plan to determine the appropriate course of action and
impact to the plan, timeline, and budget.
4. All Project Prerequisites as defined in the Project Initiation Phase of the proposal are completed prior to commencing
with the project.
For planning purposes, Carousel Industries commences Project Initiation three (3) weeks after receipt of Customer
Purchase Order.
6. The calendar duration presented in this proposal is based upon a standard 40 -hour week and does not consider holidays,
illness, emergency leave, or vacation time. The following holidays will be observed and are not included as Business Days:
• New Year's Day
• Memorial Day
• Independence Day
• Labor Day
• Columbus Day
• Thanksgiving Day
• Day after Thanksgiving
• Christmas Day
• Day after Christmas

Investment Summary
Based on Carousel's understanding of the Customer's current environment and project scope outlined above, Carousel
proposes to perform this work as noted below.

TOTAL COST: $107,207.94
For Product Orders and unless otherwise specified, prices do not include shipping, handling, special packing, and insurance
charges. Carousel shall add to customer's invoice all freight, handling, delivery, special packing, and insurance charges for
shipments of Product.
Customer will be responsible for the payment of all applicable taxes, fees, and levies, imposts, duties, withholdings, or other
charges, if any, imposed by any taxing authorities by reason of the sale and delivery of the Product. If you are claiming this
purchase to be tax-exempt, a copy of Customer's tax -exemption certificate for the state to which the Product will be shipped
must be provided. If it is not provided, the applicable sales tax will be applied to this purchase and added to the Customer's
invoice at time of issuance.
If the scope of the Project expands beyond what is outlined in this SOW, Carousel reserves the right to increase the Fee.

Customer shall pay all properly invoiced amounts in accordance with the terms specified in the Master Services Agreement.
All out-of-pocket expenses (e.g. travel, mileage, transportation) incurred by Carousel in connection with the Project will be
paid by Customer. All such expenses will be itemized when billed.

Section 8° Acceptance
Terms
The pricing of work to be performed limited to this Statement of Work.
Carousel will accept this SOW upon receipt of Customer's signature on both the Customer Proposal and SOW Signature
below along with a purchase order for the solution, services, and estimated travel and living expenses set forth in the
Customer Proposal.
By signing this SOW customer accepts this SOW as a binding agreement with Carousel and agrees to abide by and accept
the terms and conditions set forth in the Master Services Agreement (MSA). Client shall pay all properly invoiced amounts
in accordance with the terms specified in the MSA. This SOW supersedes all prior agreements relative to project scope,
schedule, or solution functionality. Unless otherwise explicitly agreed to in a separate document, this signed Statement of
Work content shall prevail over any preceding written or verbal discussions and/or proposals.
