FIRST AMENDMENT TO GROUND LEASEFIRST AMENDMENT TO GROUND LEASE
TI -IIS FIRST AMENDMENT TO GROUND LEASE ("First Amendment") is made and entered
into as of the day of , 2020, by and between Housing Finance
Authority of Pinellas County, Florida, as Trustee of the Pinellas County Land Assembly Trust — Woodlawn
Trail, Dated March 28, 2018 ("Lessor'), and SP Trail LLC, a Florida limited liability company ("Lessee").
WITNESSETH:
WHEREAS, Lessor and Lessee entered into that certain Ground Lease (the "Lease") effective as
of May 24, 2018.
WHEREAS, it is the desire of the parties hereto to amend the Lease as hereinafter provided;
NOW, THEREFORE, in consideration of ten dollars ($10) and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, and intending to be legally
bound, the parties agree as follows:
1. Recitals. The recitals sct forth herein are true, accurate and correct and are incorporated
herein by reference.
2. Defined Terms. Except as specifically provided otherwise herein, all capitalized terms shall
have the meaning given in the Lease.
3. Amendment to Lease. Section 7.05 of the Lease is hereby amended to include that,
notwithstanding anything in the Lease to the contrary, Lessee's maintenance obligations shall additionally
include the maintenance of the stormwater management system located on the Land.
4, Ratification. Except as modified hereby, all other terms and provisions of the Lease
shall remain unchanged and are hereby ratified and confirmed.
5. Counter Parts. This First Amendment may be executed in counterparts, each of which
shall be deemedan original and all of such counterparts together shall constitute one and the same First
Amendment. A facsimile or electronic copy (such as a PDF) of a signed counterpart shall upon transmission
to the other party or such other party's counsel be deemed an original counterpart.
