KNOW ALL MEN BY THESE PRESENTS, that Clearwater Marine Aquarium, Inc., a Florida
non-profit corporation, whose address is, 249 Windward Passage, Clearwater, Florida 33767 in the
County of Pinellas and State of Florida, party of the first part, for and in consideration of the sum of ten
dollars lawful money of the United States, and other value received, to it paid by City of Clearwater, a
Florida municipal corporation, party of the second part, the receipt whereof is hereby acknowledged, has
granted, bargained, sold, transferred and delivered, and by these presents does grant, bargain, sell,
transfer all title to and deliver unto the said party of the second part, its executors, administrators and
assigns, the following goods and chattels:

TO HAVE AND TO HOLD the same unto the said party of the second part, its executors,
administrators and assigns forever.
AND said patty of the first part does, for itself and its heirs, executors and administrators, does
covenant to and with the said party of the second part, its executors, administrators and assigns, that
said party of the first part is the lawful owner of the said goods and chattels; that they are free from all
encumbrances; that said party of the first part has good right to sell the same aforesaid, or dispose of
same as it sees fit, in its sole discretion in accordance with its policies and procedures, and that said party
of the first part does warrant and will defend the sale of the said property, goods and chattels hereby
made, unto the said party of the second part, its executors, administrators and assigns against the lawful
claims and demands of all persons whomsoever. As further consideration for accepting and disposing of
said goods, within thirty (30)days of execution of this Bill of Sale, party of the first part shall pay to party
of the second part SIXTY-FIVE HUNDRED DOLLARS and xx/100 ($6,500.00) as compensation of costs
associated therewith.
