(the "Provider"), for the purpose of supporting growing businesses that meet the defirtitioi� of a "small
business," as defined by the U,S, Small Business Adn'tjnisliratior) (SBA), as well as individuals aspiring to
small business ownership.
The City and the Provider agree to the follovving sinall business and entrepreneurial services:
L SERVICES. The Provider,will provide consulting services and conduct, market and present
quarterly workshops and training branded in partnership with Clearwater Business SPARK in
market (in market examples include: A Clearwater Public Library, Chamber of Conirnerce, St,
Petersburg College campus, City of Clearwater facility, The Ring);

3Provider will conduct sixty (60) business consultations at Clearwater circuit ride locations or
client locations annually;
4Provider will promote SPARK partner services at ten (10) County-Wide i'vents events per year
Consulting services and business training will b(:, directed 1.,,o�
a) Start-up Assistance. Assisting individuals to start new businesses, including providing guidance
on business formation, structure, registration, regulation, and 'taxes. This may include providing
limited guidance in business plan development.
b) Business and Strategic Plan Assistance, Assisting new and existing small businesses with
strategic or business plan development and implementation including, but not limited to,
analyzing the business rnission, vision, strategies, and goals.
c) Marketing/Sales Growth Assistance. Assisting new and existing small businesses with,
marketing plan and strategy developt-nent to access., new revenue markets or expand existing
markets.
d) Government Contracting Assistance. Assisting new and existing small businesses interested in
obtaining contracts with the Department of Defense (DOD) and other federal agencies, state
and local government agencies, and government prime, contractors.
e) International Market/Export Assistance. Assisting new and existing small rnanufacturers with
strategies to develop and intplernent international export marketing plans for the new-to-eXj)ojr-t
and new-to-market segment,
f) Financial and Capital Access Assistance. Assjstjr,rg prosj.,wctive and existing small businesses to
access capital, including identifying potential debt arid equity funders and other financing
alternatives,
g) Cash Flow Management Assistance. Assisting noew and existing small businesses with literacy in
business cash flow and financial rrianageawrit piannirtg, including cost control management
techniques and conil-,)letion of feasibility studies,
h) Business Conti nuity/Diisaster Assistance. Assisting new and existinq Dk,isinesses to n"dirmi'lizc., loss
and increase survivability when affected by natural or retail-rnadta disasters.
2. MARKETING. Florida Small BLPSirleSs Deve]of,,ui,wra Center will promote and rnarket bush-ess
-seminars that support SPARK and its ;-,o-attners, and will prorriote the Clearwater Business SPARK networie,
on a qUarterly basis via e-newsletters/e-n-iail blasts.
3. COMPENSATION, As consideration for Provider's 1-wrfornnarice of services Under this Agreement,
the City will pay the Provider a fixed price, total not to exceed 1"hirty Thousand and xx/100 dollars
($30,000.00). Funds will be utilized to su[t,'qDorl the entr(,.preneurial and small business services, The

5. LIABILITY, Each party is responsible for all Claims ariShlg OUt Of its own j.-,)erforrnance under this

This Agreement for Services to Small Businesses ("Agreement") is hereby made this day of
2018 ("Effective Date"), by and between the City of Clearwater, a municipal corporation of
the State of Florida ("City") and Pinellas County, a political subdivision of the State of Florida, d/b/a
Florida Small Business Development Center at the Pinellas County Economic Development Department
(the "Provider"), for the purpose of supporting growing businesses that meet the definition of a "small
business," as defined by the U.S. Small Business Administration (SBA), as well as individuals aspiring to
small business ownership.
The City and the Provider agree to the following small business and entrepreneurial services:
1. SERVICES. The Provider will provide consulting services and conduct, market and present
quarterly workshops and training branded in partnership with Clearwater Business SPARK in
market (In market examples include: A Clearwater Public Library, Chamber of Commerce, St.
Petersburg College campus, City of Clearwater facility, The Ring);
2. Provider will send City quarterly schedule detailing workshop topics and locations;

seminars that support SPARK and its partners, and will promote the Clearwater Business SPARK network
on a quarterly basis via e-newsletters/e-mail blasts.
3. COMPENSATION. As consideration for Provider's performance of services under this Agreement,
the City will pay the Provider a fixed price, total not to exceed Thirty Thousand and xx/100 dollars
($30,000.00). Funds will be utilized to support the entrepreneurial and small business services. The
payment will be made in equal quarterly payments of Seven Thousand Five Hundred and xx/100 dollars
($7,500.00), to be made after the receipt of invoice following each quarter as follows: January 1, 2019,
April 1, 2019, July 1, 2019, and October 1, 2019. The Provider shall provide a quarterly report of service
with each applicable quarterly invoice. Said reporting shall be in substantially the form attached hereto
as Exhibit A (attached hereto and incorporate herein).
4. TERM OF AGREEMENT. The Provider must submit invoices in sufficient detail for a proper pre -and
post -audit (as reflected in Exhibit "A") in order to receive payment. Invoices may be submitted quarterly

officers, employees, agents, subcontractors, or other contractors of one are not by virtue of this
Agreement to be deemed the officers, agents, employees, subcontractors, or other contractors of the
other.
7. TERM AND TERMINATION. This Agreement is effective October 1, 2018 through September 30,
2019. The parties may terminate this Agreement at any time by mutual written consent. Either party
may terminate this Agreement, with or without cause, upon no less than 30 days' written notice to the
other party. The City may terminate this Agreement immediately upon written notice to the Provider if
the Provider commits an act or fails to take any action that in the good faith belief of the City
jeopardizes participant health or safety. Upon early termination the City will compensate the Provider
only for costs and non -cancellable commitments incurred prior to the date of termination.

be assigned or subcontracted by the Provider without the express written consent of the City.

upon receipt; however, if notice is delivered after regular business hours, it is effective the next business
day after it is received.
