ADDENDUM #1 TO THE AMENDED AND RESTATED MEMORANDUM OF UNDERSTANDING Addendum #1 to the Amended and Restated
Memorandum of understanding
Clearwater Business Spark
Whereas, the Clearwater Business Spark Consortium was formed in accordance with that certain
Memorandum of Understanding ("Memorandum")executed by all Partners of the Consortium on or
around October 23, 2017; and
Whereas, section 6(c) of the Memorandum provided for the addition of partners by majority vote
of the existing Partners by written, executed addendum to the Memorandum; and
Whereas, on October 3, 2017, the Partners held an Executive Committee and Advisory Board
meeting wherein the Partners voted to add St. Petersburg College Collaborative Labs as a Partner in the
Clearwater Business Spark Consortium;
NOW THEREFORE, in consideration of the mutual covenants set forth herein, and for other good
and valuable consideration, the receipt of which is hereby acknowledged, the Parties agree as follows:
1. By majority vote of the Partners of the Clearwater Business Spark Consortium, St, Petersburg
College Collaborative Labs is hereby added as a Partner in Clearwater Business Spark with
Andrea Henning acting as its representative to the Consortium until such time as the Consortium
is advised of another representative.
2. This Addendum is hereby made a part of the Memorandum of Understanding.
