INDEMNIFICATION AGREEMENT TO ENGAGE IN TRAINING EXERCISES AT 10222 MCI DRAGREEMENT
THIS AGREEMENT, is made and entered into this 16th day of December 2015, by Ciminelli
Real Estate Services of Florida, LLC, as agent for real property owner and the City of Clearwater.
WHEREAS, Clearwater Police desire to use for law enforcement training purposes certain real
property being more particularly described as:
Gateway Technology Center
10222 MCI Dr.
Pinellas Park, FL 33782
WHEREAS, Ciminelli Real Estate Services of Florida, LLC, as agent for real property owner,
Pinellas Plaza, LLC, desires to have the aforementioned property used for law enforcement training
purposes; and
WHEREAS, Ciminelli Real Estate Services of Florida, LLC, is authorized to enter into this
Agreement.
NOW, THEREFORE, the parties mutually covenant and agree as follows:
1. Clearwater Police Department shall have the right to conduct law enforcement training
exercises at, in and upon certain real property and structures located at the address stated
above.
2. Said training operations shall be permitted on the dates mutually agreed to by the parties
to this Agreement. To the extent permitted by law, Clearwater Police Department agrees
to release and hold harmless the real property owner of the above described property and
Ciminelli Real Estate Services of Florida, LLC, as agent for Pinellas Plaza, LLC, from
any claims, damages, action or causes of actions, whether to persons or property that may
arise of any claim from any error, omission, or negligent act by the City of Clearwater or
its employees, as a result of Clearwater Police Department's use of said property and
structures for said training exercises. Nothing contained herein shall be construed to
waive or modify the provisions of F.S. 768.28, or sovereign immunity, as same is
applicable to the parties.
4. This Agreement shall continue in full force and effect until June 30, 2016.
5. Clearwater Police Department hereby certifies that it is self - insured.
6. This Agreement represents the full and complete understanding of the parties and may be
modified, amended or altered only by a document in writing signed by the parties hereto.
