Information for Applicants
The applicant or applicant's representative is encouraged to attend City Council public hearings unless the annexation
pertains to a property developed or to be developed with one single family dwelling.
STANDARDS FOR ANNEXATION
In determining whether to annex a property, the City shall consider the extent to which:
❑ The proposed annexation will impact public services (e.g., water, sewer, police, parks, etc.).
0 The proposed annexation is consistent with the City of Clearwater Comprehensive Plan.
❑ The proposed annexation requires a change in the future land use and zoning classifications assigned to the
property as well as the jurisdiction for said change.
❑ Existing or proposed development is consistent with City regulations.
❑ Terms of a proposed Annexation Agreement, if any, promotes the City of Clearwater Comprehensive Plan.
PROPERTY OWNER AGREEMENT
Please be advised that, in consideration of the annexation, the property owners do hereby agree that:
❑ All structures and improvements which are erected upon said property subsequent to the date of this petition for
annexation shall comply with all applicable City of Clearwater regulations and ordinances as set forth in the City
Community Development Code;
❑ All residential rental units, including single-family residences must comply with the requirements in the city's
residential rental ordinance, which requires the property owner to obtain a Business Tax Receipt upon annexation
into the city;
❑ If development is to be initiated prior to submission of an annexation petition and/or prior to the effective date of
the annexation, requisite site plans, plat, and engineering plans shalt be submitted to ensure compliance with the
city's Community Development Code (see Submittal Package Instructions Checklist). It is recommended that the
applicant meet with Planning and Development Department staff to review plans and/or discuss the applicable city
regulations;
❑ All annexations of residential dwellings of eight dwelling units or more shall convey such recreation facilities fees
and recreation land dedication and/or fees in the amount and manner prescribed by Chapter 54, Article II of
Clearwater Code of Ordinances; and
❑ When any substandard abutting street or utilities are subsequently upgraded by the City to meet City Standards,
said improvement(s) will be done on an assessment basis, consistent with City procedures therefore.

The boaxd of directors and the shareholder or member, as applicable, of CMI, GM, and
the Merging Entities have adopted the $ttached Plan and Agzeement of Merger by unanimous
consent dated October 25, 2d10. The Merging Entities, GM, and CMI waive all notice and
mailing requirements required under Florida law.
5. The shareholders of the Merging Entities, who except far the applicability of Pla.
Stat. § 607.I104, �vould be entitled to vote and who dissent from the mergex pursuant to §
697.1321, may be entitled, if they comply with the provisions of this act regarding appraisal
rights, to be paid the fair value of their shares.
6. Conversion of Shares. The manner and basis of canverting,#he shares of stock of
each corporation into shares, obligations, ar other securities of the Surviving LLC shall be as
follows:
(a} The issued and autstanding shares of stock of the Mergsng Entities sha31 be
canceled in consideratian of the assumption by the Surviving LLC af a11 of the assets and
liabilities of the Merging Entities.
(b} All of the outstanding membership interest in GM as of the Effective Date
shall continue to represent the membership interest of the Surviving LLC and shall be
unaffected by the Merger.

This P4an and Agreexnent of Merger (this "Agreement"), dated as of October 25, 2010, is
made and entered into by and between Arlington Memorial Park Cernetery and Funeral Home,
Inc., Madcem of Florida, Inc., Memoria! Pazk Cemetery, Inc., Oaklawn Park Cemetery and
Funeral Harne, Ine., Royal.Palm Memorial Gardens, LLC, South Dade-Paims Mernorial Park,
Inc., Sylvan Abbey Memorial Park, Inc., Woodlawn Park Cemetery Company, (hereafter the
"Merging Entities"), and Garden of MemorieS�,rTnc. ("GM"), all of which are Flarida entities.
WHEREAS, the parties hereto wish to provide for the merger af the Merging Entities
with and into GM (the "Merger") pursuant to which GM will be the surviving LLC (the
"Surviving LLC"), all on the terms and conditions contained therein.
NOW, TI-�EREFORE, in consideration of the premises and the mutuat agreements
hereinafter expxessed, and subject to the satisfaction or waiver of the conditions hereof, the
parties hereto agree as follows:
1. Merger and Effeet of Mer�er;
(a) The constituent entities of the Merger are the Merging Entities and Garden
of Memories, LLC. ("GM"}, all of which are Florida entities.
{b) The shareholders af the Mergin� Entities are as follows:
a. Arlin�ton Memorial Park Cemetery and Funeral Home, Inc„ Sylvan
Abbey Memorial Park, Inc., Madcem of Florida, Inc., Memorial Park Cemetery,
inc., Royal Palm Memorial Gardens, Inc., Oaklav+m Park Cemetery and Funeral

Home, inc., Woadlawn Park Gemetery Comparry, and GM are all wholly owned
subsidiaries of Cemetery Management, Inc. ("CMI"}, a Florida corporatian.
b. Sauth Dade-Palms Memorial Park, Inc. is a wholly owned subsidiary of
Woodlawn Paxk Cemetery Company, a Florida corparation. Waodlawn Park
Cemetery Coznpany is a whoIly owned subsidiary of CMI.
The board of directors and shareholder or member, as applicabie, of CMI, GM,
and the Merging �ntities have adopted the attached Plan and Agreement of Merger by
unanimous cansent dated October 25, 2010. The Merging Enrities, GM, and CMI waive
all notice and mailing requirements required under Florida law.
(c} At the Effective Date (defined hereinbelaw), the Merging Entities shal! be
merged with and into GM and the sepazate corparate existence of the Merging Entities
shall thereupan cease. GM shall be the Surviving LI.0 in the Merger, and GM with all iis
purposes, abjects, rights, privileges, powers and franchises, shall cantinue unaffected and
unimpaired by thc Merger.

and deliver, in the name and on behaIf of the parties hereto or otherwise, atI such deeds,
bilis of sale, assignments and assurances and to take and do, in the name and on behalf of
the parties hezeto or otherwise, all such ather actions and things as may be necessary or
desirable to vest, perfect or confirm any and all right, title and interest in, to and under
such righ#s, properties or assets in the Surviving LLC or to otherwise carry out this
Agreement.
2. Amendment to Articles of Organization of Garden_ of Memories. LLC
(a) The Articles of Organization and Bylaws of the Surviving LLC as existin�
and constituted immediately prior to the Effective Date shall be and constitute the
Articles of Organizat�io and Bylaws of the Surviving LLC except that the entity's name,
Garden of Memories�"LLC, sha11 be changed to S.E. Cambined Services of Florida,

(b} The members and the of�cers of the Surviving LI.,C immediately prior to
the Effective Date shall be and constitute the members and officers of the Surviving I.LC.
