F. WRITTEN SUBMITTAL REQUIREMENTS: (Code Section 3- 1807.C)
Sigrage proposed as part of a Comprehensive Sign Program may deviate from the minimum sign standards in terms of numbers of signs per
business or parcel of land, maximum area of sign face per parcel of land and the total area of sign faces per business or parcel of land, subject
to compliance with the flexibility criteria outlined below. Monument signs, pursuant to Sections 3 -1806. B. 1.g and 3- 1806B.2 shall not be
eligible for this program. As part of the program, all sign types (freestanding, attached, windows, interior site directional, etc.) shall be
reviewed for the business and/or the development parcel to achieve compliance in so far as possible with these current regulations. A master
sigr program for shopping centers, including all out parcels, and office complexes shall include all types of signs for all tenantsluses within the
development parcel. These will be reviewed as a Comprehensive Sign Program application
All existing and proposed signs must be architecturally integrated into the design of the building andlor site using similar and coordinated
design and style features, materials and colors, etc. Attached signs sha/! be horizonta //y and vertical /y proportionate /y located on each
facade with no protrusions above roof lines, over windows, trim, cornices Or other building features.
❑ Provide complete responses to the COMPREHENSIVE SIGN PROGRAM CRITERIA including how the criteria are met:
1. Architectural Theme. The design, character, location and /or materials of all freestanding and attached signs proposed in
a comprehensive sign program shall be demonstrably more attractive than signs otherwise permitted on the parcel
proposed. for development under the minimum signs standards. All signs must be architecturally integrated into /with the
design of the building and /or site using similar and coordinated design features, materials and colors, etc.

of the sign and shall not exceed 14 feet in height.
3. Lighting. Any lighting proposed as a part of a Comprehensive Sign Program is automatically controlled so that the

Maximum permitted sign area shall be based on the following formula when evaluated against the above criteria:
i. Attached signs - The maximum area permitted for attached signage shall range from one percent up to a
maximum of six percent of the building facde to which the sign is to be attached.
ii. Freestanding signs - The maximum permitted area of all freestanding signs on a site shall not exceed the range
of sign area permitted by the street frontage or building facade calculation methods set forth in Section
1RnR B_1_c.i. and ii.
5. Community Character. The signage proposed in the Comprehensive Sign Program shall not have an adverse impact on
the community character of the City of Clearwater.

value of the property in the immediate vicinity of the parcel proposed for development.

elimination of existing unattractive signage or will result in an improvement to the appearance of the parcel proposed for
development in comparison to signs otherwise permitted under the minimum sign standards.
8. Special Area or Scenic Corridor Plan. The signage proposed in the Comprehensive Sign Program is consistent with any
special area or scenic corridor plan which the City of Clearwater has prepared and adopted for the area in which the parcel
proposed for development is located.

ASSIGNMENT AND ASSUMPTION AGREEMENT
THIS ASSIGNMENT AND ASSUMPTION AGREEMENT (this "Assignment') is executed
as of April , 2011 by and between NORTHWOOD PLAZA, LLC ( "Assi nor "), and NWP
CLEARWATER HOLDINGS LLC ( "Assignee ").
Background
Assignor has this day conveyed to the Assignee the property located at 2508 McMullen Booth
Road, Clearwater, Florida, and more particularly described in Exhibit A hereto (the "Premises ") and, in
connection with the conveyance of the Premises, Assignor and Assignee intend that Assignor's right, title,
interests, powers, and privileges in and under all leases and security deposits affecting the Premises and
other matters stated herein be assigned and transferred to Assignee.
Agreement
In consideration of the mutual covenants contained herein and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Leases. Assignor hereby transfers and assigns to Assignee all of Assignor's right, title and
interest as landlord or otherwise in the leases with tenants covering spaces in the Premises listed in
Exhibit B attached hereto and made a part hereof and the guaranties of such leases (collectively, the
"Leases"). By executing this Assignment, Assignee hereby accepts and agrees to perform all of the
terms, covenants and conditions of the Leases on the part of the landlord therein required to be performed,
from and after the date hereof, but not prior thereto. Assignor also hereby transfers and assigns to
Assignee all security deposits held by the Assignor relative to the Leases (the "Security Deposits").
2. Contracts. Assignor hereby transfers and assigns to Assignee any and all right, title and
interest which Assignor may have in the contracts listed in Exhibit C attached hereto and made a part
hereof (collectively, the "Contracts "). By executing this Assignment, Assignee hereby accepts and agrees
to perform all of the terms, covenants and conditions of the Contracts on the part of Assignor therein
required to be performed, from and after the date hereof, but not prior thereto.
3. Mutual Indemnification. Assignor shall indemnify and hold Assignee harmless from
and against any and all damages, claims, liabilities, costs (including reasonable attorney's fees), expenses
and causes of action which may arise and accrue from or under the Leases or Contracts and that are
attributable to periods of time prior to the date hereof, regardless of when same are discovered or asserted.
Assignee shall indemnify and hold Assignor harmless from and against any and all damages, claims,
liabilities, costs (including reasonable attorney's fees), expenses and causes of action which may arise and
accrue from or under the Leases or Contracts or any of them and that are attributable to periods of time on
or after the date hereof, regardless of when same are discovered or asserted.
4. Further Assurances. Assignor and Assignee agree to take all farther actions and
execute, acknowledge and deliver all further documents that are reasonably necessary or useful in
carrying out the purposes hereof.
5. Successors and Assigns. This Assignment shall inure to the benefit of, and be binding
upon, the successors, executors, administrators, legal representatives and assigns of the parties hereto.

Dear Mr. Ritchie:
The Planning and Development Department Staff reviewed your Comprehensive Sign Program
application for 2544 McMullen Booth Road pursuant to Community Development Code (CDC) Sections
3- 1806.13, 3- 1807.B.2 and 3- 1807.C. The proposed plan includes an increase in the area of one attached
sign as follows:
1. One Attached internally - illuminated channel letter sign 30.2 square feet in area (3.8 percent of the
building facade area) on the east building facade. The text of the sign will be channel letters
mounted flush to the building facade (no raceways). The sign letters will read "BESA" in green
letters with a mulberry channel letter in the shape of a rose in the bottom portion of the "S" and
"GRILL" in mulberry to the right of `BESA ". The channel letters will have black retainers and black
returns.
The Comprehensive Sign Program has been APPROVED and this letter constitutes a Development
Order pursuant to CDC Section 4- 202.E. The approval is based on, and must be consistent with, the site
plans, elevations and drawings dated received on June 15 and June 28, 2011 as described above and
subject to the following conditions:
Conditions of Ap royal:
1. That any requests which are inconsistent with this approved Comprehensive Sign Program require an
amendment to be filed and reviewed and approved by the Planning and Development Department
prior to issuance of a building (sign) permit;
2. That the internal sign lighting for the attached sign be controlled by a mechanical timer and be turned
off at midnight or whenever the business is closed, whichever is later; and
3. That all other Code requirements /restrictions of Division 18 (Signs) be met, including but not limited
to, grand opening banners, window, temporary, construction, sale leasing signs.
Pursuant to CDC Section 4 -303, an application for a building (sign). permit shall be made within one (1)
year of the date of this Development Order (June 29, 2012). All signs shall be installed and any
conditions met within six (6) months of the date of issuance of the initial building (sign) permit.
Permitted time frames do not change with successive owners.
The issuance of this Development Order does not relieve you of the necessity to obtain any building
permits or pay any fees that may be required. In order to facilitate the issuance of any permit or license
affected by this approval, please bring a copy of this letter with you when applying for any permits or
licenses that require this prior development approval.

the deficiencies of the application shall be specified by Staff. No further development review action shall
be taken until the deficiencies are corrected and the application is deemed complete. Please resubmit by
June 29, 2011 at NOON. Failure to do so will result in the application being withdrawn.
