NO LIEN AND GAP AFFIDAVIT

Before me, the undersigned authority, personally appeared (the
"Affiant ") who being by me first duly sworn, on oath, deposes and says:
1. That Affiant is the Chairperson of Community Redevelopment Agency of the City of
Clearwater, Florida, a public body corporate and politic of the State of Florida created pursuant to Part III,
Chapter 163, Florida Statutes (the "Agency ");
2. That the Agency is the owner of the following described property (the "Property"), to wit:
SEE EXHIBIT "A" ATTACHED HERETO AND MADE A PART HEREOF
3. That the Property is free and clear of all liens, taxes, encumbrances and claims of every
kind, nature and description whatsoever, except for real estate taxes and assessments for the year 2014 and
subsequent years and those certain matters set forth in Old Republic Title Insurance Company (the "Title
Insurer ") Title Insurance Commitment No.: 04- 2014 - 101548 dated June 16, 2014 at 11:00 P.M. (the
"Title Commitment ").
4. That within the past 90 days there have been no improvements, alterations, or repairs to the
Property for which the costs thereof remain unpaid, and that within the past 90 days there have been no
claims for labor or material furnished for repairing or improving the same, which remain unpaid. The
Agency agrees to indemnify and hold the Purchaser and Title Insurer harmless from and against all costs
and expenses, including reasonable attorneys' fees, resulting from individuals, firms or corporations who
claim to have not been paid for materials, labor or services furnished incident to the repairs.
5. That there are no mechanic's, materialmen's, or laborer's liens against the Property.
6. That the personal property contained in the buildings on said Property which is being
conveyed to Prospect Park Development, LLC, a Florida limited liability company (the "Purchaser "), if
any, is also free and clear of all liens, encumbrances, claims and demands whatsoever, except for taxes and
assessments for the current year.
7. That this affidavit is made for the purpose of inducing Purchaser to purchase said Property
from Agency and to induce Title Insurer and its agent, Fletcher & Fischer, P.L. (the "Title Agent "), to insure
title to said Property.
8. Affiant further states that there are no claims or proceedings which are currently pending
against the Agency or Affiant, which could create a lien on the above described Property prior to the
recording of the closing documents executed herewith including, but not limited to, the warranty deed
conveying title to Purchaser.
9. Affiant covenants and avers that neither he nor the Agency shall execute any conveyance,
mortgage or other instrument affecting title to the Property or perform any acts which could create a lien or
encumbrance against the Property prior to recording the deed in favor of Purchaser.
10. That there are no leases or parties in possession on the above described Property.
11. The Affiant and/or the Agency have made no additional improvements to the Property and
have not received any notice of (proposed) back assessments from the appraiser's office or bill for back
assessments from the tax collector.
12. The Agency shall pay all bills for utilities supplied to the Property through the date that the
Property is conveyed to Purchaser and indemnifies and holds harmless the Purchaser and Title Insurer from
and against same.
Under penalties of perjury, I declare that I have examined this affidavit and to the best of my
knowledge and belief it is true, correct and complete.
