AGREEMENT EXPIRATION CERTIFICATE

This Agreement Expiration Certificate ( "Certificate ") is made this % day of May, 2014, by
and between the COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF
CLEARWATER, FLORIDA, a public body corporate and politic of the State of Florida (the
"Agency "), whose address is 112 S. Osceola Avenue, Clearwater, FL 32321, and 628 EAST
CLEVELAND STREET – CLEARWATER LLC, a Delaware limited liability company, having
an address at c/o iStar Financial Inc., 1114 Avenue of the Americas, 39th Floor, New York, NY
10036 ( "Owner "), as successor in interest to Station Square Clearwater Condo, LLC, which is
the assignee of Station Square, LLC, a Florida limited liability company (the "Developer ").
This Certificate pertains to an Agreement for Development and Disposition of Property
(Station Square Development), by and between the Agency and the Developer, dated as of
February 17, 2004 (the "Development Agreement "), which provides, among other things, for the
sale of property within a project site as described in Exhibit "A" attached hereto and made a part
hereof for the development and construction of the Station Square Project, as same is defined in
the Development Agreement.
The Development Agreement has expired in accordance with its own terms as of March
8, 2009, and is no longer of any force or effect, and that the Station Square site is no longer
subject to any restriction, limitation, or encumbrance imposed by the Development Agreement.
This Certificate has been executed by the parties to the Development Agreement as provided in
Section 17.19 thereof and constitutes a conclusive determination of satisfactory completion of all
obligations under such Agreement and that the Development Agreement has expired, except for
those matters which survive as noted above.
A copy of the fully- executed Development Agreement is on file with the City Clerk, City
of Clearwater, Florida, located at City Hall, 112 S. Osceola Avenue, Clearwater, Florida, which
is available for review and copying by the public.
