MEMORANDUM OF LEASE
THIS MEMORANDUM OF LEASE is made on ~A.y 1-:1- , 1998
between ROBERT DANIEL and HAZEL DANIEL (collectively, "Landlord"), and CROWN
MOTORS OF CLEARWATER, INC., a Florida corporation ("Tenant").
1. Landlord has entered Into a Lease, dated May 22, 1998, as amended,
("Lease"), with Tenant for space located on the real property more particularly
described in Exhibit "A," attached hereto and made a part hereof, in accordance with
the terms, conditions and provisions set out in the Lease.
2. The term of the Lease for the space commences on July 15, 1998,
("Commencement Date") and extends for a period of fifteen (15) years from and after
the Commencement Date that Tenant accepts the space as provided in the Lease,
subject to earlier termination upon default and subject to extension by renewal for six
(6) successive periods of five (5) years each, all as provided in the Lease.
3 The rights granted to the parties as aforesaid are all subject to the terms
and conditions contained in the Lease and any and all Exhibits attached and referred to
in the Lease. In the event of a conflict between the terms of the Lease and its Exhibits
and this Memorandum, the terms of the Lease and its Exhibits shall be controlling.

Freestanding sign:
LOne 75.83 square foot, freestanding sign 19.5 feet in height located along the front
(west) property line along US Highway 19 North which reads "ACURA" to be

1. That all existing attached signs, as indicated above, be removed prior to the issuance
of any permits;
2. That all existing window signs be removed or brought into compliance with Code
prior to the issuance of any permits; and
3. That a sign inspection, to be requested by the applicant, be performed by Staff to
verify removal of all nonconforming signs prior to the issuance of any permits.

Dear Mr. Greene:
Pursuant to Section 4-303, an application for a building permit shall be made within one
(1) year of the date of this Development Order (February 1, 2003). All required building
approvals shall be obtained within one (1) year of the date of issuance of the initial
building permit. Permitted time frames do not change with successive owners.
On January 8, 2002, the Planning Staff reviewed your application for a Comprehensive
Sign Program (CSP) to replace all three existing, attached signs and the freestanding sign
at the Crown Acura dealership. All signs will be replaced generally in the same location
on the same (west) fa~ade. The total amount of existing, attached sign is 141.32 square
feet. The total amount of proposed attached signage will equal 140.83 square feet.
Please be aware that the issuance of this Development Order does not relieve you of the
necessity to obtain any building permits or pay any fees that may be required. In order to
facilitate the issuance of any permit or license affected by this approval, please bring a
copy of this letter with you when applying for any permits or licenses that require this
prior development approval.
The following list reflects the size and location of all signs to be replaced and the size of
the replacement signs:
Attached signage:
1. One 22.36 square foot sign located on the west fa~ade which reads "SERVICE" to
be replaced with a 12 square foot sign to read "SERVICE" in blue letters. The
sign will consist of channel letters;
2. One 17.65 square foot sign located on the west fa~ade which reads "CROWN" to
be replaced with an 10.5 square foot sign which will read "CROWN" in blue
letters. The sign will consist of channel letters; and
3. One 101.31 square foot sign located on the west fa~ade with the Acura calipers
logo to be replaced with an 118.33 square foot sign with the Acura calipers logo
in blue.
