Our San Antonio office was opened in 2000. To accomplish this assignment, we will use the full resources of the firm. I I 1 I I I I I Our ability to carry out the work required is heavily dependent on our past experience in providing similar services to others, and we expect to continue such work in the future. We will, however, preserve the confidential nature of any information received from you or developed during the work in accordance with our established professional standards and consistent with the Florida Sunshine Law. I I We assure you that we will devote our best efforts to carrying out the work required. The results obtained, our recommendations and any written material we provide will be our best judgment based on the information available to us and our liability, if any, shall not be greater than the amount paid to us for the services rendered. I I I I I I I I I I I I 2 I I I I I BACKGROUND I It is our understanding that: I ~ You are interested in identifying outstanding candidates and filling the position as soon as is practical. I ~ You wish to recruit in a thorough and deliberate manner, on a nationwide basis, that will insure that the best qualified individual is selected. I ~ The starting salary for the position is open and will be dependent on the qualifications and background of the person selected. I ~ The City of Clearwater is located midway down the West Coast of Florida between the Gulf of Mexico and Tampa Bay. Clearwater is a residential city with an estimated permanent population of 110,000. The City is also known for Clearwater Beach, one of the most beautiful beaches in the country and as the leading destination on the Gulf Coast for overnight visitors. Clearwater is part of the larger Tampa Bay metropolitan area that includes the cities of Tampa and St. Petersburg. I I ~ The City of Clearwater operates under a Council-Manager form of government as established in 1924. The City Commission is comprised of five members: a Mayor-Commissioner and four City Commissioners. Members occupy seats numbered one through five inclusive, and the voters of the City elect all members at large. All legislative power of the City is vested in the City Commission. I I I ~ Pursuant to the City Charter, the City Commission appoints a City Manager who serves as the Chief Administrative Officer and the Chief Executive Officer of the City. The Charter provides that "The City Manager shall be appointed on the basis of administrative qualifications, experience and training. The City Manager need not be a resident of the City or State at the time of appointment, but shall establish residency within the City within one year of appointment. The City Manager shall be responsible to the Commission for the administration of City affairs in his or her charge. . ." I I I I 3 I I I I I I ? The proposed total operating funds budget for the City for FY2000-2001 is almost $226 million. The Capital Improvement Budget totals about $87 million in the 2000-2001 Fiscal Year. The number of authorized positions that are reflected in the FY2000-2001 budget is 1,795 full-time equivalent positions. I I I I I I I I I I I I I I 6 I I I I I THE RECRUITMENT PROCESS I Our objective is always to find the best qualified candidates. We believe that, although notices in professional journals may be helpful, many of the best candidates must be sought out and their interest encouraged. Our familiarity with the City of Clearwater, knowledge of the field and our relationships with professional organizations make us well qualified to assist you. I I Our clients have found that we are able to: y Build consensus among those involved in the hiring process. I y Develop the appropriate specifications for a position. I Y Encourage the interest of top-level people who would otherwise be reluctant to respond to an advertisement. I y Save a considerable amount of time for client staff in developing and responding to candidates. I Y Independently and objectively assess the qualifications and suitability of candidates for the particular position for which we are recruiting. If our proposal is accepted, we will do the following: I Orf!anization and Position Analvsis We will interview the appropriate individuals to determine views of the position and concerns regarding desirable training, experience, and personal characteristics of candidates. We will also gather/review relevant updated information about the City, such as budgets, organization charts, etc. I I Once our findings have been summarized, we will submit a Recruitment Profile with the desired qualifications and characteristics for your approval. The Recruitment Profile that will be sent to potential candidates will include information about the City, the job and the criteria established by you. I I Recruitment Once you have approved the Recruitment Profile, we will actively seek out individuals with superior qualifications and invite and encourage their interest. Announcements can be placed in professional journals. However, we will rely heavily on our own experience, contacts and file data. I I 7 I I I I I I As a matter of corporate policy, we will not discriminate against any applicant for employment on the basis of race, religion, creed, age, color, marital status, sex, sexual preference, disabilities, medical condition, veteran status or national origin. A substantial percentage of the placements made by our firm have been minority or female candidates. I Preliminarv Screeninfl We will review, acknowledge and evaluate all resumes received. Preliminary screening will be based upon criteria contained in the Recruitment Profile, information contained in the resumes submitted to us, and our knowledge of the people and organizations in which they work. Telephone screening will be conducted with the most promising candidates to gain a better understanding of their backgrounds. I I Proflress RetJortinfl Upon completion of our preliminary screening, we will assemble and submit a progress report of the leading candidates to you. This report will include summary resumes, supplemental information, and the original resumes of those candidates we believe to be best qualified for the position. Supplemental information on a candidate typically includes: the size of the organization for which the person works, reporting relationships, budget responsibility, the number of people supervised, related experience and reasons for interest in the position. Any other specific information will be dictated by the criteria set forth in the Recruitment Profile. I I I I The purpose of our progress report is two-fold. It allows you an opportunity to review the candidates prior to the conclusion of the search and allows us to receive feedback on the caliber of the candidates recruited. In this way, you will not be surprised by the candidates, as you will have seen their qualifications prior to the final interviews. Of course, we are flexible and may consider other individuals as final candidates who are subsequently identified and were not included in the progress report. I I Candidate Evaluation I We will interview (either in person or via video-conference) those candidates whose qualifications most closely match the criteria established by you. We will examine their qualifications and achievements in view of the selection criteria. Additionally, we will verify degrees and certifications, conduct credit/criminall civil litigation/motor vehicle record checks through an outside service, and we will gather newspaper articles via the Internet. I I I 8 I I I I I As part of our process in evaluating candidates, we make telephone reference checks. In conducting these references, it is our practice to speak directly with individuals who are, or have been, in a position to evaluate the candidate's performance on the job. These references and our evaluations provide you with a frank, objective appraisal of the candidates. We suggest, however, that such detailed and extensive investigation is necessary only for those individuals seriously considered by you. I I Final RetJOrtimdClient Interviews We will assist you in scheduling final candidates for interview with your organization, and will send the candidates packets of information which we obtain from you (e.g., information about the organization and the geographic area, budgets, etc.). I I We will prepare a detailed report and evaluation for those seven or eight candidates most nearly meeting your specifications, and will provide you with interviewing! selection tips, suggested interview questions, and rating forms for your use. Candidates will not be ranked, for we believe it will then be a matter of chemistry between you and the candidates. We will conduct a "briefing session" immediately preceding your interviews to make sure that the process flows smoothly, and will assist you in a "debriefing" immediately following the interviews. I I I S/Jecial Assistance Our efforts do not conclude with presentation of the final report. We are committed to you until a successful placement is made. Services that are routinely provided include: I Y Arranging the schedule of interviews and the associated logistics for final candidates; I I Y Advising on starting salary, fringe benefits, relocation trends and employment packages; Y Acting as a liaison between client and candidate in discussing offers and counter offers; I Y Conducting a final round of reference checking with current employers (if not previously done for reasons of confidentiality); and I Y Notifying unsuccessful candidates, who were not recommended for interview, of our decision. I I 9 I I I I I OUR ULIENT'S ROLE I The client has a very important role in the recruitment process. While we may identify and recommend qualified candidates, it is the client who must make the decision about which candidate to hire. I In order to insure that the best candidates are available from which to choose, our clients should be willing to do the following: I I ~ Clearly inform us about matters relevant to the search that you wish to keep confidential (e.g., salary, personnel issues, and other privileged information) ; ~ Forward to us copies of the resumes you receive, to avoid duplication of effort; I ~ Provide feedback to DMG-MAXIMUS regarding the information and recommendations provided by us; I ~ Promptly decide upon and follow up in scheduling interviews with the most promising candidates; and I ~ Assist in providing information to candidates that will enable them to make their career decisions. I By doing the above, we will maximize the likelihood of mutual success. I Finally, please be reminded that the United States Immigration Reform and Control Act of 1986 requires that all employers verify an employee's eligibility to work in the United States. Since DMG-MAXIMUS cannot serve as your agent in this matter, your hiring process should include this verification procedure. I I I I I 10 I I I I I TIME FRAME I The following is a typical schedule to conduct a thorough recruitment. However, we would be pleased to modify this to meet your needs: I 1st week I 2nd to 4th week I 5th to 8th week I 9th week I 10th week I 11th to 13th week I I 14th week Following Interviews I I I I I I Meet with the appropriate individuals to gather background information. Develop and obtain approval for the Recruitment Profile. Develop a list of potential candidates to target. Prepare and place advertisements, if desired. Active recruitment-solicit, receive and acknowledge resumes. Evaluate resumes and gather supplemental information. Submit progress report and meet with you to review leading candidates. Verify degrees and certifications, conduct references and credit/criminal/civil litigation/motor vehicle record checks, and interview the best qualified candidates. Submit final report and initiate the interview process with you. Supplement references (if necessary) and assist with negotiations. 11 I I I I PROFESSIONAL FEES AND EXPENSES I I Our budget provides for up to three meetings with the client: one to develop the Recruitment Profile, one to present our Progress Report, and one to attend interviews of final candidates. We propose a fixed fee of $17,500 for the work outlined above. In addition, we are reimbursed for expenses such as for advertising, travel, interviewing, sourcing, support services, background checks and other related items, as well as allocated costs such as telephone, postage and photocopying. These expenses will not exceed $8,500 for a nationwide search without written authorization from you. Please note that this amount for expenses does not include reimbursement of candidates who travel to be interviewed by you. Unless you notify us to the contrary, we will assume that you will handle these reimbursements directly. We will submit three equal monthly invoices for fees, plus an amount for expenses, due and payable upon receipt. Our first billing is due upon your authorization to proceed. I 'I I I I Though we are committed to working with you until a placement is made, our fees and expenses are not contingent upon our success in placing a candidate with your organization. However, if the selected candidate (other than an internal candidate) should be terminated within one year from the date of hire, we will redo the search for no additional professional fee. Naturally, we would expect to be reimbursed for any expenses that might be incurred. Additionally, in the event that more than one executive is hired in connection with work performed by us (i.e., for another position within your organization), a full professional fee will be due for each executive hired. I I I You may discontinue this assignment at any time by written notification. In the unlikely event that this occurs, you will be billed for all expenses incurred to the date of the cancellation, and for professional fees based upon the time elapsed from the commencement of the assignment to the date of cancellation. If a cancellation occurs within the first 30 days of the assignment, following either verbal or written authorization to proceed, one-third of the professional fee will be due. If a cancellation occurs thereafter, the fee beyond the first one-third will be prorated based upon the number of calendar days which have elapsed. If a cancellation occurs after 90 days, all professional fees will be due in full. I In 1993, Ms. Thomas accepted an appointment in Washington, DC as Special Assistant to Henry Cisneros, Secretary of Housing and Urban Development (HUD). She continued her work at HUD as a Senior Advisor to the department that regulated the secondary mortgage market. In 1997, Ms. Thomas was appointed Director of External Affairs for the U.S. Small Business Administration (SBA) and managed the three external programs for the SBA. Prior to establishing Norman Roberts & Associates, Inc. in 1988, Mr. Roberts was a Senior Vice President of KornlFerry International (KFI). He joined KFI in 1976 and was founder and manager of the firm's national public sector, not-for-profit, education and health care executive search practices. ("Consultant"). I 1. Search Enl!al!ement. The City agrees to engage the Consultant to perform those services described below, for completion of the project described as follows: City Manager recruitment ("the Search"). I 2. Services. The Consultant agrees to perform certain services necessary for completion of the Search, which services shall include the following: I a) Position analysis b) Place advertisements in appropriate journals and publications c) Candidate identification d) Resume review and screening e) Preliminary interviews with leading candidates f) Progress report g) Detailed reference checks on leading candidates h) Final report i) Assist with interviews and negotiations ,I I I A complete description of the services to be provided are contained in a proposal from the Consultant to the City dated October 18, 2000, which is incorporated herein by reference. II 3. Relationship. The Consultant is an independent contractor and is not to be considered an agent or employee of the City. III 4. Compensation. As full compensation for the Consultant's professional services performed hereunder, the City shall pay the Consultant the fixed amount of $20,000 (twenty thousand dollars) . I 5. Expense Reimbursement. The Consultant shall be entitled to reimbursement for expenses from the City for such expenses as consultant travel, advertising, sourcing, background checks, printing/photocopying, postage and delivery, telephone and clerical charges. Expenses are not to exceed $8,500 (eight thousand five hundred dollars). The Consultant shall provide the City with a listing of expenses by category of expense as a part of monthly billings. I I I I I I I I 6. Compensation for Additional Services. In the event the City requires services in addition to those described in Paragraph 2, the Consultant shall be compensated at a negotiated rate for professional services, plus reimbursement of expenses. In the event that the City hires, within one year of completion of this recruitment project, any candidates identified as a result of Consultant's recruitment project for any position other than City Manager, the City agrees to pay Consultant a full fee as set forth herein for each candidate hired. For purposes of this paragraph, "Candidate" is defined to include any and all individuals about whom information of any sort was provided by Consultant in writing to the City in the course of this recruitment project. The parties hereto agree that the obligations set forth in this paragraph shall survive the termination of this Agreement. I I 7. Method of Payment. Progress payment of the Consultant's professional services fee and expenses shall be made on a monthly basis by the City upon receipt of billings from the Consultant, as outlined in our proposal. I I 8. Term. The term of this Agreement shall commence on , at which time the Consultant shall begin work on the Search and shall continue, subject to the termination provisions of Paragraph 9, until the date that the Consultant completes the Search. The time of completion of the Search is estimated to be 100 days from the date of the meeting to develop the Recruitment Profile. I I 9. Termination. This Agreement may be terminated: (a) by either party at any time for failure of the other party to comply with the terms and conditions of this Agreement; (b) by either party upon 10 days prior written notice to the other party; or (c) upon mutual written agreement of both parties. In the event of termination, the Consultant shall stop work immediately and shall be entitled to compensation for professional service fees and for expense reimbursement to the date of termination; and the Consultant shall provide to the City all work product completed or in progress at such date and communicate such recommendations and conclusions to the City as may have been formed by such date. I ,I I 10. Insurance. The Consultant shall maintain in force during the term of the Agreement, General Liability Insurance including Personal Injury; Excess Umbrella Liability; Automobile Liability Insurance (Non-Owned and Hired Liability); and Workers' Compensation and Employers' Liability Insurance. I 11. Miscellaneous. I a) The entire agreement between the parties with respect to the subject matter hereunder is contained in this Agreement. I b) Neither this Agreement nor any rights or obligations hereunder shall be assigned or delegated by the Consultant without the prior written consent of the City. I c) This Agreement shall be modified only by a written Agreement duly executed by the City and the Consultant. I e) This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
