We appreciate your request for a proposal from Municipal Advisors Incorporated to petform
an executive search for a City Manager for the City of Clearwater. We would be very pleased to assist
the City through this process.
Municipal Advisors Incorporated (MAl) is located in Virginia Beach, Virginia and specializes
in providing professional consulting services exclusively to cities, counties, towns and special purpose
authorities in the areas of general management, executive recruitment, personnel and fiscal advisory
services. Over 70% of MAl's revenues are derived from clients who have requested additional services
from the firm.
Founded in 1975, MAl has successfully conducted executive search processes for communities
as small as Atlantic Beach, North Carolina (population 2,267) and as large as Notfolk, Virginia
(population 270,000) for positions of City Manager, Chief of Police, Executive Officer, County
Administrator, Town Manager, School Superintendent and major department heads. MAl has just
completed successful searches for the City of Portsmouth, Virginia, the Town of Morehead City,
North Carolina and the City of Lincolnton, North Carolina. We also assisted the City of Galveston,
Texas with the recruitment of a Interim City Manager as an additional service during a management
study which MAl petformed for the City. We are in the final stages of a search for a City Manager for
the City of Morgan ton, North Carolina.
MAl has served over 270 local government clients in 17 states over the past 21 years. This
work and the cumulative local government experience of the project team prior to becoming
consultants has enabled us to establish professional contacts throughout the United States. In other
searches, these contacts have attracted some excellent candidates who would not have responded to
advertisements. It has been our experience that many of the successful candidates in these searches
enter the process as a result of these contacts.

This proposal includes the methodology which we would propose to use, a list of references, a
client list and resumes for the project team who would be assigned to this search. A brochure which
was used for an executive search for Lincolnton, North Carolina is also enclosed as an example of the
quality of our work. I will serve as project manager and would perform the on-site work.

SEARCH AND SELECTION PROCESS
1. POSITION ANALYSIS
The consultants will meet with the City Commission to establish working relationships, define
and refine the project's scope, procedures and timetable and to develop and review materials
and details required to complete the project successfully.
Individual interviews will be conducted with the City Commissioners and other persons
designated by the Commission, such as key department heads, to determine the specific duties
and responsibilities of the position and individual expectations concerning desirable training,
experience, professional and personal characteristics of candidates. Additionally, each
Commissioner will be asked to complete a Personnel Selection Profile questionnaire which will
provide specific information about their expectations ofthe successful candidate.
If desired, interviews will also be conducted with other community leaders. In past
engagements interviews were held with the President of the local chamber of commerce,
neighborhood association leaders, minority group representatives and other community leaders.
These interviews can be helpful in formulating the position profile.
After the results of the interviews and questionnaires are analyzed and summarized, the
consultants will meet with the City Commissioners to review, refine, reach general agreement
and finalize the specifications for the position.
A City profile, a position profile, job criteria and employment conditions and parameters will be
discussed and developed.
2. RECRUITMENT AND PRELIMINARY SCREENING
MAl will initiate a comprehensive nationwide search and recruitment process. Announcements
detailing the position will be placed in appropriate national, regional publications and local and
professional journals. Based on our own experience, contacts and files, MAl will identify and
actively seek out individuals who meet or exceed the desired qualifications and invite and
encourage them to apply. Although the position will be publicly advertised, many of the most
qualified applicants will not respond to a public announcement. Our knowledge of some of the
more qualified candidates will assist the recruitment process because the candidates will submit
applications if invited.

MAl has established a reputation among local governments for handling searches discreetly
and confidentially so as to not jeopardize current employment arrangements. This reputation
removes a possible barrier for prospective candidates with good employment situations. That
is important because Clearwater will want to attract the best qualified individuals to the
process.
The consultants will receive, acknowledge, review and screen each application received based
on the criteria developed. The information contained in the applications and resumes received
and our knowledge ofthe organizations for which the applicant works will also be evaluated.
MAl will provide timely acknowledgment and periodic status reports to all applicants on behalf
of the City by personal letter.
3.
IDENTIFICATION OF SEMI-FINALISTS
MAl will identify those candidates whose qualifications most closely match the established
criteria and analyze and assess the professional and personal qualifications and achievements of
each, carefully matching their credentials with the selection guidelines and the position
specifications.
The consultants will interview each of these candidates to verify and expand on the written data
submitted and to ensure the candidates' real and continuing interest in the position. Preliminary
and discreet reference checks will be made with individuals who are knowledgeable about the
candidate. Depending on the geographical location of the candidates, we may arrange to
videotape these candidates in order to save the travel expense of personal interviews for the
semi-finalists. Other clients have found reviewing these videos to be very helpful when
evaluating the final candidates.
The background checks will include personal and professional reference checks from
professional associates and others as appropriate. The semi-finalists will also be requested to
submit references. They will be contacted as well but MAl will conduct inquiries from
independent sources.
The consulting team will carefully check the background of each semi-finalist. To date, no
candidate recommended by MAl has been the subject of a criminal or ethics violation
investigation.
4.
SELECTION OF FINALISTS/CANDIDATE PRESENT A TION
A report covering all applicants will be prepared and MAl will recommend, with written
justification, the candidates most nearly meeting the City's specifications. A personal interview
will be conducted with each finalist and a detailed background and reference check will be
conducted. MAl will speak directly with individuals who are, or have been, in positions to
evaluate the candidate's performance on the job. The report submitted to the City will include
a professional profile of each candidate's qualifications, an assessment of his/her background,
candidate biographies and references. The consultants will meet with the City Commission to
present and discuss the recommendations, provide background information and to assist in
determining those candidates best qualified for consideration for appointment to the position of
City Manager.

5.
INTERVIEW COORDINATION/EMPLOYMENT NEGOTIATION
The consulting team will work closely with the City Commission to develop methods and
procedures to evaluate finalists' skills. Communications, interpersonal relations, financial
management skills, team building and leadership are among the skills that will be evaluated.
MAl will assist the City Commission in designing the interview and selection process.
Interview procedures will be recommended and sample interview questions developed. The
consultant will coordinate the scheduling of finalists for interviews and will attend and
participate in the interviews, if requested.
When the Commission has identified the most desirable candidate, MAl will assist, if requested,
in the negotiation offinal employment parameters, benefits and salary.
When a final offer has been made and accepted by the successful candidate, MAl will notifY all
other applicants of the City's action by personal letter.
6.
ONGOING SERVICES
MAl has a continuing interest in the success of this selection process. For that reason, we will
contact Clearwater ninety (90) days after the selected candidate begins work to determine if
any problems that have surfaced with the new City Manager. If any have surfaced, MAl will
visit Clearwater and attempt to assist with their resolution.
MAl also commits to performing another executive search if the new City Manager voluntarily
resigns or is dismissed for cause during the first year of employment.
Each of these services will be provided at no additional cost other than reimbursement for
direct expenses incurred by MAl.
7.
PROJECT TIME TABLE
MAl recognizes that this process is one that will impact the City of Clearwater for years to
come. For that reason, it is important to recognize that the schedule cannot take precedence
over the quality of the work. Completion of the search and presentation of the report with
recommended finalists should be completed within 90 days of the project initiation. This
schedule should result in a City Manager being on board around June 1, 1997. However,
publication dates, availability of the City Commission for interviews and meetings, and
videotaping and interview schedules can impact the schedule.
8.
PROFESSIONAL FEE
MAl will perform this executive search for a professional fee of $10,000. In addition to the
professional fee reflected above, the City will be billed for expenses incurred by MAl during the
course of the search. These expenses may include travel, lodging, meals, printing, postage,
long-distance calls, videotaping and background checks. These expenses will not exceed
$5,000. They do not include travel expenses for the final candidates to be interviewed by the
City Commission.

NO-SOLICITATION POLICY
MAl feels very strongly that once a candidate has accepted a position, that person has an
obligation to be on the job for a reasonable period of time. Therefore, MAl has a policy of not
recruiting anybody whom we have placed with a client during their employment with that
client.

Classification and pay studies
continue to be a primary :\1:\1
service. In the past year, about 20
studies have been performed along
the East Coast, including several in
Virginia. The firm also has devel-
oped expertise in the preparation of
pay and classification studies for
school systems in the state, as well as
combining city/school pay plans.
MAl uses a variety of approaches
to meet the diverse needs of its
clients. These approaches range
from structuring salary schedules
with fLxed incremental steps based on
years of service, to devising salarv
schedules without steps that tie all
pay increases to performance. In one
organization, the :\IA1 Automated
Job Evaluation System (SAFE) has
been adapted to broad-banding.
Often clients request :\L-\l to
perform organizational studies before
a classification and pay study. These
studies provide recommendations for
increased efficiency and cost savings.
The classification and pay studies
that follow are based on the revised
organizational structure.
In an effort to make the most of
limited resources, many l\;L\l clients
are closely linking pay to perfor-
mance these days. As a result, l\iL-\1
has provided clients with improved
performance evaluation systems and
training in how to use them.
Financial management services
provided by l\;L\l include compre-
hensive financial advisol"\' sel"\"ices.
financial status studies, utility rate
studies and cost eflectiveness/
reduction studies. The firm also has
the capability to conduct complete
administrative structure analysis and
reorganization studies, consolidation
studies and staffing studies relating to
adequacy, reduction, utilization,

executive search and selection, staff
