public facilities and services, to be deposited with the city to secure construction of any new public facilities and services
required to be constructed by the development ag�eement. The development agreement shall provide that such
construction shall be completed prior to the issuance of any certificate of occupancy.

� A description of all local development approvals approved or needed to be approved for the development.
� A finding that the development proposal is consistent with the Comprehensive Plan and the Community Development

� A statement indicating that the failure of the development agreement to address a particular permit, condition, term or
restriction sha11 not relieve the developer of the necessity of complying with the law governing said permitting
requirements, conditions, terms or restrictions.
� The development agreement may provide, in the discretion of the City Council, that the entire development or any phase
thereof be commenced or be completed within a specific period of time. The development agreement may provide for
liquidated damages, the denial of future development approvals, the termination of the development agreement, or the

NARRATIVE
Description of Request
Modification to the previously approved re-development plan (FLD?Q13-030I l) to increase the total
number of rooms on the Property from 171 to 181 rooms. This will result in the retention of the existing
91-room Quality Inn and the construction of a new, 90 room Hampton Inn.
It is noted that no rooms are proposed to be allocated to the Quality Inn from the Hotel Density Reserve,
and that this hotel will remain as it currently exists. All 90 rooms being allocated from the Hotel Density
Reserve will be for the new Hampton Inn, and: this allocation will account for each and every room
comprising the Hampton Inn.
The Amendment to the Development Agreement is necessary due to market conditions and changes to the
financing parameters originally contemplated by the applicant. When units were originally granted the
Hotel Density Reserve, the number of units available to the site were calculated without regard to the
termination of nonconforming status that was grar�ted. Since the 91 rooms at the existing Quality Inn are
vested, the number of available units should have been calculated exclusive of this number: The prior grant
of rooms was based upon the use of 10 rooms from the existing hotel being transferred to the new hotel by
combining rooms to provide for larger suites. After conversations with the franchisee and the applicant's
lenders for the contemplated construction, the larger suites are not well-suited for this location and brand.
Therefore, the applicant would continue to operate the Quality Inn as it currently exists. The proposed
Hampton Inn would be developed at its current, 90-room proposed size. Therefore, it would require an
additional 10 rooms from the Hotel Density Reserve to fulfill the previously contemplated plan.
Discussion
The site is located within an area designated by Beach by Design as the "Clearwater Pass District" Beach
by Design identifies this as a distinctive area, offering a diversity of uses including high rise condominiums,
resort hotels, hotels, motels, retail and restaurant uses. Beach by Design contemplates that the "Clearwater
Pass District" will be an area of strategic revitalization and renovation in the response to improving
conditions on the balance of Clearwater Beach.
Beach by Design identifies a disparity between hotels and condominiums, and strongly encourages mid-
priced hotel development. Beach by Design indicates Clearwater Beach can support an addition 1,385 hotel
rooms and further provides increased densities through the Hotel Density Reserve to aide in achieving the
additional mid-priced hotel units on Clearwater Beach. The new Hampton Inn and Suites with Parking
Garage is proposed within the area currently utilized as an expansive surface parking lot to the west of the
existing Quality Inn.
Proposed Use
The proposed Hampton Inn with 90-overnight accommodation units will offer reasonable room rates,
appropriate for mid-priced family vacations. The design provides a 9 story hotel over 5 levels of parking
which is designed to accommodate both hotels (the new proposed Hampton Inn and Suites as well as the
existing Quality Inn.) The 91-mid-priced overnight accommodation units offered currently by the Quality
Inn would remain providing a total of 181 mid-priced overnight accommodation units on site.
The proposal utilizes 90-units from the Hotel Density Reserve where a maximum of 100 units can be
requested and will provide an overall density of 126 units per acre where Beach by Design allows a
maximum of 150 units per acre.
Response to Criteria (Sec. 4-606(B))
l. A statement of the requested duration of the agreement, which shall not exceed ten
years for a hotel density reserve development agreement and 20 years for a general
development agreement.
The draft development agreement is effective for ten (10) years.
2. A description of all existing and proposed public facilities and services that serve or
will serve the development.
The agreement includes appropriate statements that the public utilities from City of
Clearwater and Clearwater Gas Systems will serve the project.
3. A description of the uses desired to be permitted on the land, including population
densities and building intensities and heights.
The proposed development includes two hotels consisting of overnight accommodation
units ("Hotel") on the site. Beach by Design allows for the grant of up to 150 units per
acre and with the grant of Hotel Density Reserve units; therefore, a m�imum of 215
units would be permitted on the Property (150 x 1.43755 acres = 215 units). The density
of the existing hotel (91 units) was previously terminated as to its nonconforming status.
The building height for the existing and proposed hotels are under 150 feet, and the
distances between buildings (both on and off site) meet all separation requirements for
the portions of the buildings over 100 feet in height, as allowed by Beach by Design. The
height of 150 feet is allowed per Beach by Design, due to both the transfer of
development rights and receipt of Hotel Density Reserve units at this location.
4. Identification of zoning district changes, code amendments and comprehensive plan
amendments that will be required if the proposed development proposal were to be
approved.
No code amendments or land use plan amendments are proposed.

First Amendment to Development Agreement
THIS FIRST AMENDMENT to DEVELOPMENT AGREEMENT ("First
Amendment") is dated the day of April, 2014 and entered into between Clearwater
Grande Holdings LLC, a Flarida limited liability company ("Developer"), its successors
and assigns, and the CITY OF CLEARWATER, FLORIDA, a municipality of the State
of Florida acting though its City Council, the governing body thereof ("City").
Recitals:
WHEREAS, Sections 163.3220 - 163.3243, Florida Statutes, which set forth the
Florida Local Government Development Agreement Act ("Act"), authorize the City to
enter into binding development agreements with persons having a legal or equitable
interest in real property located within the corporate limits of the City; and
WHEREAS, under Section 1633223 of the Act, the City has adopted Section 4- =.
606 of the City of Clearwater Community Development Code ("Code"), establishing
procedures and requirements to consider and enter into development agreements; and
WHEREAS, the City and Developer entered into a Development Agreement
dated 8$--t3 and recorded at Official Records Book �� i� B, Page �91 in the public records
of Pinellas County ("Development Agreement");
WHEREAS, Beach by Design proposed additional hotel units to equalize
development opportunities on the beach and ensure Clearwater Beach remains a quality,
family resort community by further providing for a limited pool of additional hotel units
("Hotel Density Reserve") to be made available for such mid-sized hotel projects; and
WHEREAS, the Development Agreement provided eighty (80) units from the
Hotel Density Reserve to the Developer to be utilized on 1.43755 acres of real property
(as described in the Development Agreement as "Property"); and,
WHEREAS, maximum density permitted on the Property, pursuant to Beach by
Design, is 150 units per acre; and,
WHEREAS, the Developer requests an additional ten (10) units from the Hotel
Density Reserve to maximize the density on the Property and provide for 181 total
overnight accommodations on the Property; and,
WHEREAS, upon completion of the project contemplated in the Development
Agreement and this First Amendment, the existing hotel will contain its existing 91 units
and the new planned hotel will contain 90 units for a total of 181 overnight
accommodations, which includes eighty (90) units from the available Beach by Design
Hotel Density Reserve; and
WHEREAS, the city has conducted such hearings as are required by and in
accordance with Chapter 1633220 Fla. Stat. (2011) and any other applicable law; and
WHEREAS, the City has determined that, as of the Effective Date of this First
Amendment, the proposed project is consistent with the City's Comprehensive Plan and
Land Development Regulations; and
WHEREAS, the City has conducted public hearings as required §§4-206 and 4-
606 of the Community Development Code; and
WHEREAS, at a duly called public meeting on , the City Council
approved this Agreement and authorized and directed its execution by the appropriate
officials of the Ciry; and
WHEREAS, the Community Development Board approved the design and site
plan as a Flexible Development as FLD 20�i 3- �; � O � �("Site Plan") on 5-�� —►3, and
the Community Development Coordinator has approved certain minor amendments to the
Site Plan ("Amended Site Plan"); and,
WHEREAS, Developer has approved this First Amendment and duly authorized
certain individuals to execute this Agreement on Developer's behalf.
STATEMENT OF AGREEMENT
NOW THEREFORE, in consideration of and in reliance upon the premises, the
mutual covenants contained herein; and other good and valuable consideration, the
receipt and su�ciency of which are hereby acknowledged, the parties hereto intending to
be legally bound and in accordance with the Act, agree as follows:
SECTION 1. Recitals. The above recitals are true and correct and are a part of this
Agreement.
SECTION 2. Incorporation of the Act. This Agreement is entered into in
compliance with and under the authoriry of the Code and the Act, the terms of which as
of the date of this Agreement are incorporated herein by this reference and made a part of
this Agreement. Words used in this Agreement without definition that are defined in the
Act shall have the same meaning in this Agreement as in the Act.
SECTION 3. Number of Hotel Density Reserve Units Allocated.
Notwithstanding anything contained in the Development Agreement to the contrary,
section 6.1.5 and all references to the number of units allocated by the City pursuant to
the Hotel Density Reserve in the Development Agreement and its attachments shall be
amended to ninety (90) units.
SECTION 4. Parking. Section 4.2 shall be deleted and replaced to read as
follows:
The Project shall include 218 parking spaces, as defined in the Community
Development code, of which 211 will be provided by a parking garage with 7
additional surface spaces being provided adjacent to the parking garage. The
parking garage, its accesses, and the surface spaces will be shared with the
existing adjacent Quality Hotel site and contains sufficient parking for both
hotels. (See 6.1.4)
SECTION 5. Ratification. Except as specifically modified herein, all terms,
conditions and obligations contained in the Development Agreement shall retain in full
force and effect and are reaffirmed by the parties hereto.

Pineilas County P`lanning Cous�cil Rules in arder to implement the pmvisions of "Beach
by Design,`" a p}an far the revitaiization of Ciearwater Beach. Ti�e designation vf
Clearwater Reach as Cnmrnunity Redeve}opment District �the "designation") p�ovides
far thc allocativn �af Hr�tel Density Resecve Units as an 'cneentiuc for the developm�nt of
mid-sized �ua]ity hatels. Pursu�a�t to the Designation, the aliocation of Hvtcl Density
Reserve Units is subject to campliance with a series of perfarrnance standards, includin�
� requireme�t that �csorts containin� a hotel develope�i with Hatel Density Reserve ilnits
sha!! be closed and al! C3uests evacuated irom such resor�s as soon as practicable afler the
hlational �-I�cane Center posts a h��rricc�nne watch that includes Clear�vater Beach. �'he
purposc of such evacuatic�n is to ensure that such a Resort Hatel is evacuateci in ad�ance
oi the pereod of time when a heuricane evacuation would l� expected in advance af the
apprc�ach of h�ricane Force winds.
'I�e City has granteri, by the City Council �esolt�tian , passed ar�d apptoved
on , 2013, Develo�er's applie�ation for Hotel Density Reserve Units
pursuant �o the Designatian, subject to Deveioper's cornpliance with the requir�ments af
the 17esignation. Developer desires fc�r itsctf, 81'EC� ttS S4iCC@SSdi'S 2ItCT BSSigI1S, as owner, to
operation of the Real Pro}�rty in accordanec with the terms and conditic�ns of the
aliacatio� ofthe Hotei I7ensity Res�rve FJnits io the City and tl� Designation, which
rights, duties, obli�ativns and responsibi�ities shall be binding on any and all suecessors
and assigns and will nin with the titie to ihe Reai Property.
THEItEFORE, in considerakean ot'tE�e �ovenants and restrictians herein set forth
as�c� trt� be observed and perfvrmed, and in fiu-ti�er corrsiderat�on nf the allacatinn af Hote�
Density Reserve Units io Developer, and other gocxi and valuabte eonsideration, the
su�ciency of which is hereby a��knowlerlged, DevelQper t�e�by declazes, covenants and
agrees as foilows.

2. Cavenar�t af D�velopat�enk Use and Ou�ratian. F3evelo�er hereby
coven�ants and agrees to the develapment, use and operaiion of the �eal Properiy in
aceQrdance wi� the provisions ofth�s Declaration.
2.l U�g. The use vf lhe resart an the Real Property is resirieted as
follows:
2.1.1 A min�mum af ninery (9U) units, which is the number of
hotel ut�its aliocated to Developer, shali be used solely for transient
occupancy of o� rnanth or thirty {3U} eonsecutive days or less,
n�ust +be licensed as a pubtic Iodgin� establishment as�d olrissified
as a hotel, and must be operated by a single licensed operator of
the hotel. No svch hotet unit shati be used as a primary or
�ermanent residence.
2.1.2 AI I other 81 units sha11 be li�ens�d as a public lodging
establishment. Na urtit shal! be used as a primary or per�r�anent
res�dence.
2.1.3 As useti hercin, the terms "#ransient occupancy," "public
iadging estabtishrnent,,' "hotel," and "operator" shali have the
meaning given to such ter�ns in Chapter 5(}9, Part I, Florida
Statutcs {2004)-

I. INTRODUCTION
The applicant is proposing to redevelop their property on Clearwater Beach into a
116 room Hampton Inn resort hotel. (See Figure 1) The proposal is for the new
hotel and parking structure to be located in what is current�y a surface parking lot
of the existing Quality Inn Hotel at #655 S. Gulfview Boulevard. The parking
garage and driveways will serve both hotels. The redevelopment of the property is
the subject of a Comprehensive Infill Redevelopment in the Tourist "T" zoning
district. This application requires an assessment of the traffic impacts of
development. Prior to completing this analysis a methodology was established
with the City of Clearwater staff.
II. EXISTING TRAFFIC CONDITIONS
The property has frontage on S. Gulfview Boulevard east of Hamden Drive. South
Gulfview Boulevard was reconstructed as a two-lane collector roadway with on-
street parking rurming along Clearwater Beach. Coronado Drive was
reconstructed as a three-lane collector roadway with on-street parking. Hamden
Drive intersects with S. Gulfview Boulevard at a signalized intersection. The
adjacent segment of S. Gulfview Boulevazd between Hamden Drive and the
Clearwater Pass Bridge is three lanes. Per the approved methodology traffic
counts that were conducted on June 21, 2012 at the following intersections during
the weekday PM peak period of 4-6 PM were used s a basis for this study:

Coronado Drive / Hamden Drive
These were supplemented by a tr�c count at the existing site driveway to S.
Gulfview Boulevard in October 2012.
All traffic counts were converted to annual average equivalents using FDOT
seasonal adjustment factors. Existing traffic voluxnes are shown in Figure 2.
Existing intersections were analyzed using the HCS+ and SYNCHRO soflware.
The count data, HCS+ and SYNCHRO printouts are included in Appendix A.
Pxesently the signalized intersection at S. Gulfview Boulevazd / Coronado Drive
operates at LOS A with average delay being 6.6 seconds per vehicle and an
intersection capacity utilization (ICt� of 42.5%.
Presently the signalized intersection at S. Gulfview Boulevard / Hamden Drive
operates at LOS A with average delay being 5.7 seconds per vehicle with ICU of
41.8%.

At the intersection of Hamden Drive / Coronado Drive the primary movements
are eastbound-to-southbound and northbound-to-westbound, whereas the
southbound approach (Hamden Drive) is stop controlled. The HCS+ analysis
shows the primary movements operate at LOS A with delay of 8.2 seconds per
vehicle and the southbound stop-controlled movements operate at LOS C with
delay of 16.b seconds per vehicle.
At the site driveways, the western driveway is gated closed, and the eastern
driveway serves a11 traffic to the Quality Inn. At this location the westbound left
turns entering the site operate at LOS A with average delay of 8.4 seconds per
vehicle, and the northbound approach e�ting the site operates at LOS C with
average delay being 16.4 seconds per vehicle.
South Gulfview Boulevard functions as collector roadway and according to
FDOT 2009 QLOS Handbook capacity tables has a LOS D capacity of 1,440
vehicles per hour on the un.divided segment. The segment of Gulfview Boulevard
east of Hamden Drive and Coronado Drive are both three-lane collector roads
with a LOS D capacity of 1,520 vehicles per hour. The existing PM peak hour
LOS for areas roadway segments is shown below:

III. FUTURE TRAFFIC CONDITIONS
Existing traffic was adjusted by a 2% annual growth rate to the expected build-out
yeax of 2017 to account for background traffic from other nearby redevelopment
projects. In addition traffic from the proposed Clearwater Resort hotel complex
was added.
The site will be developed as a 116 room resort hotel with associated parking and
amenities. Using Institute of Transportation Engineers (ITE) Trip Generation, 8`�
Edition rates, the amount of new trips was calculated and estimates are shovvn
below:

The vehicular access will be taken from S. Gulfview Boulevard at the e�cisting
eastern driveway. The western driveway will serve trash collection vehicles only,

Project traffic impacts will be primarily to Coronado Drive and S. Gulfview
Boulevard. All intersections, roadway segments and project driveways were
analyzed for future conditions. Future traffic volumes are shown in Figure 3, and
the SYNCHRO and HCS+ printouts are included in Appendix B.
The signalized intersection at S. Gulfview Boulevard / Coronado Drive would
continue to operate at LOS A with average delay of 7.0 seconds per vehicle and
an intersection capacity utilization (ICU) of 49.2%.

IV. CONCLUSION
This analysis was conducted in accordance with a specific methodology
established with City of Clearwater staff. The project will generate 948 daily trips
and 57 PM peak hour trips. This analysis demonstrates traffic operations at nearby
intersections and on adjacent roadways would continue at acceptable levels of
service with or without the project unpacts.

regarding the development of a 116 room Hampton Inn in the area next to the existing Quality Inn at #655

GCC will conduct a traffic study for the proposed 116 room Hampton Inn. Existing conditions for the
following intersections will be based on the PM peak period intersection counts conducted for the
Cfearwater Resort TIS in June 2012.

this study. The Clearwafer Resort TIS assumed a 2% growth rate and a 500 room resort hotel. The trip
generation of the proposed 116 room Hampton Inn will be estimated using ITE rates and added to the
accumula#ed background traffic to estimate future conditions with the proposed Hampton Inn. A TIS
Report will be submitted with the application.
