Re- Notice of Assignment of Your MHNet Agreement for Employee Assistance Program (EAP) Services Only
Dear Allen Del Prete;
We completed our acquisition of Coventry l lcalth Care, Inc. ( "Coventry ") on May 7, 2013. As a result of the
acquisition, Coventry and all of its affiliated companies, including MHNet Specialty Services, LLC ( "MHNet ")
have now become affiliate companies of Aetna. As a combined company, we're ready to meet the needs of you
and your employees.
Your MHNet Specialty Services, LLC ( "MHNet Agreement ") became effective on 01101/2011. The terms' of
your MHNet Agreement, expressly requires we notify you of the assignment of the contract rights and
obligations of your MHNet Agreement, more specifically as follows:
6.3 Assignment: This Agreement shall not be assigned without the mutual written consent of both
parties, except that Employer has the unlimited right to add Plans as anticipated by this Agreement
and Employer may assign this Agreement to an entity that is controlled by, controls or is under
common control with, or an affiliate of Employer, and MHNet may assign this Agreement to an entity
that is controlled by, controls or is under common control with, or an affiliate of MHNet.
The assignment of your MI INet Agreement, as it relates solely to the provision of EAP services, shall take effect
on July 1, 2014 ( "Effective Date"). You are hereby notified that as of the Effective Date, all the rights, title and
interest and obligations under your MHNet Agreement, for EAP services only, will be assigned to Aetna
Behavioral Health, LLC, on behalf of its affiliates ( "Assignee "). As of the Effective Date, Assignee shall
assume all of the obligations, rights and duties of MHNet, relating solely to the provision of EAP services and
thereinafter arise in connection with the MHNet Agreement. The MHNet Agreement shall be binding upon and
inure to the benefit of Assignee.
This assignment will have no effect on any other services, including Mental 11 ealth and Substance Abuse
Services, which will remain with MHNet until further notice.
