AMENDMENT AND TERMINATION OF LEASEAMENDMENT AND TERMINATION OF LEASE
THIS AMENDMENT and TERMINATION OF LEASE is made and entered into this 1st
day of July, 2013 by and between the CITY OF CLEARWATER, FLORIDA, a municipal
corporation (hereinafter referred to as the "LESSOR "), and Bobbie Za our, as representative of
the Dara L. Greene Estate, which was d/b/a Marina Gifts and Souvenirs, 25 Causeway Boulevard,
Clearwater, Florida 33767 (hereinafter referred to as the "LESSEE ").
WHEREAS, Lessor entered into a certain lease dated November 22, 2011 (the Lease) with
George H. Greene and Dara L. Greene, individually, and Dara L. Greene chose to use the fictitious
name "Marina Gifts and Souvenirs," which is owned by Carpenter Enterprises, Inc., and Dara L.
Greene was a director of such corporation; and
WHEREAS, George H. Greene and Dara L. Greene are deceased; and
WHEREAS, Bobbie Zaytoun has been appointed as the Personal Representative of the
Estate of Dara L. Greene, Case No. 12- 5295 -ES, on October 24, 2012, and in that capacity, has
assumed the fiduciary duties as the duly appointed agent of the tenant and has acted to wind up the
business of Marina Gifts and Souvenirs and is now ready to terminate such business and therefore
terminate the Lease; and
WHEREAS, Bobbie Zaytoun, as the personal representative for said Estate, is duly
authorized to enter into this Amendment and Termination Agreement; and
WHEREAS, Lessor is agreeable to such termination, effective as of June 30, 2013,
NOW THEREFORE, THE PARTIES HERETO HEREBY COVENANT AND
AGREE TO AMEND THE LEASE AS FOLLOWS:
1. The recitals above are true and correct and are incorporated herein by reference.
2. Section 1 of the Lease shall be amended to recognize Bobbie Zaytoun is the duly acting
agent of the Lessee in her capacity as the Personal Representative, and is further amended to
terminate the lease on July 1, 2013. Lessee agrees to surrender possession and completely vacate
the leasehold on said date to Lessor. Assuming no damage to the leasehold, the Estate of Dara
Greene will be refunded the Marina Gifts and Souvenirs deposit. Bobbie Zaytoun as designated
representative of the Estate of Dara L. Greene does hereby fully and forever compromise, settle,
release, acquit and discharge the City, its agents, officers, directors, employees and attorneys, and
their respective successors and assigns, from any and all past, present or future claims, causes of
action, suits, demands, losses, liabilities, costs or obligations of any nature whatsoever, whether
based on tort, contract, or other theories of recovery, which may exist between the estate of Dara L.
Greene, Dara L. Greene and George H. Greene, individually, or any interest Carpenter Enterprises,
Inc. and the City, or which may arise at any time subsequent to the execution of this Amendment.
