by and between COUNTRYSIDE VILLAGE, LTD., a Florida Limited Partner-
ship (hereinafter referred to as "Grantor") and THE CITY OF CLEARWATER,
a political subdivision of the State of Florida (hereinafter referred
to as "Grantee").

WIT N E SSE T H:
WHEREAS, Grantor is seized in fee simple and in possession of
certain lands in Pinellas County, Florida, as more particularly
described in Exhibit "A" attached hereto and made a part hereof; and
WHEREAS, Grantor desires to establish, create and grant unto
Grantee, their successors, and assigns, an exclusive perpetual ease-
rnent in, over and upon a portion of the property described in
Exhibit "A" for the purpose of maintenance and service of water
facilities thereon; and
WHEREAS, the Grantor and Grantee desire that the covenants
and the exclusive easement for service and maintenance of water
established by this Grant, shall be covenants running with the land
and shall extend to, inure to the benefit of, and be binding upon
the Grantor and Grantee, their successors and assigns.
NOW, THEREFORE, Grantor, its successors and assigns intending
to be legally bound, hereby declares as follows:
1. Grantor hereby establishes, grants unto Grantee, its
agents and employees and imposes upon the property described in
Exhibit "A" attached hereto, an exclusive, perpetual, right,
privilege and easement for the maintenance of water lines upon
said property described in Exhibit "A" hereto, said easement being
more particularly described as a strip of land five (5) feet in
width lying on either side of the centerline of the water lines
constructed or to be constructed on the property described in
Exhibit "A".
2.
Grantor further covenants that the Grantee, its successors,
agents, employees and assigns shall have an easement upon said

property for the maintenance of water lines constructed within
said property.
3. Grantor and Grantee agree that the description of the
property encumbered by the easement herein granted may be amended
from time to time, by the Grantor by the recordation among the
Public Records of Pinellas County, Florida an amendment to this
Grant of Utility Easement reciting the legal description of the
property which is the subject of this easement.
