WHEREAS, FLORIDA POWER CORPORATION a corporation organized and existing under
the laws of the State of Florida, as "DEDICATOR" herein, is the owner of the fee-
simple title to a 208-foot wide strip of land comprising (among other lands) the
West 208 feet of NW~ of Section 20, Township 28 South, Range 16 East, Pinellas County,
Florida, said strip of land being more particularly described in Trustee's Deed
dated October 3, 1962 and subsequently recorded October 12, 1962 in Official Records
Book 1528 at Page 222 as Clerk's Instrument No. 998388A of the Public Records of
Pinellas County, Florida; and
WHEREAS, DEDICATOR is presently utilizing said 208-foot wide strip of land as
a private North-South corridor accommodating DEDICATOR'S aerial wire lines for the
high-voltage transmission and distribution of electricity, an underground pipeline
for the high-pressure transmission of hot fuel oil and other substances, and certain
related fixtures and accessories appurtenant thereof; and
WHEREAS, DEDICATOR has been requested to dedicate to the general public a per-
petual roadway easement area transversal to DEDICATOR'S said 208-foot wide strip of
land to allow an East-West crossing thereof by the street, roadway and/or thorough-
fare known as "Northside Drive", and DEDICATOR is willing to so dedicate, subject,
however, to certain terms and conditions.
NOW, THEREFORE, WITNESSETH, that DEDICATOR, for and in consideration of the sum
of ONE DOLLAR ($1.00) and other good and valuable consideration, the receipt of which
is hereby acknowledged, has dedicated and by these presents does dedicate to the gen-
eral public a perpetual roadway easement area comprising that portion of DEDICATOR'S
fee-owned lands as described in EXHIBIT "A" attached hereto and by this reference
incorporated herein and made a part hereof only for use as the street, roadway and/or
thoroughfare known as "Northside Drive", PROVIDED that:
1) Both DEDICATOR'S Superintendent of Underground Transmission (Telephone:
813/866-5729, St. Petersburg) and DEDICATOR'S Superintendent of Transmission
Rights-of-Way (Telephone: 813/866-5240, St. Petersburg) shall be notified
at least 48 hours prior to each commencement of construction activities
within the 80-foot wide roadway easement area upon DEDICATOR'S premises
so that DEDICATOR may have an authorized representative present to observe
such activities.

All construction activities, operations and equipment used within the
80-foot wide roadway easement area upon DEDICATOR'S premises shall, at
all times, be in strict compliance with all applicable provisions of the
National Electrical Safety Code (NESC) and all applicable rules and reg-
ulations of the Occupational Safety and Health Act of 1971 (OSHA).

The location and extent of roadway construction, paving and drainage faci-
lities within the 80-foot wide roadway easement area upon DEDICATOR'S
premises shall be as shown on partial print of plan/profile drawing attached
hereto as EXHIBIT "B", and DEDICATOR'S underground pipeline shall be over-
laid with reinforced concrete slabs in conformance with specifications
attached hereto as EXHIBIT "C", all by this reference incorporated herein
and made a part hereof.
4) Such public use of DEDICATOR'S premises shall, at all times, be compatible
with DEDICATOR'S transmission and related uses and consistent with sound
engineering and safety practices.
5) DEDICATOR specifically reserves the continuing right to utilize the 80-foot
wide roadway easement area for DEDICATOR'S own purposes and shall not be
liable for damage to the roadway paving and drainage facilities therein
howsoever resulting from DEDICATOR'S utilization thereof. DEDICATOR, how-
ever, shall not willfully cause undue damage to said roadway paving and
drainage facilities.
6) DEDICATOR Shall not be assessed for any improvements within said 80-foot
wide roadway easement area~~

Other than DEDICATOR'S existing and future facilities and the roadway
construction, paving and drainage facilities as shown and specified
on aforesaid EXHIBIT 'TB" and EXHIBIT "C", no party shall build, con-
struct or create any buildings, structures, utilities, obstacles or
excavation within the 80-foot wide roadway easement area without prior
written permission from DEDICATOR.

8) Any costs, attorneys' fees or expenses incurred by DEDICATOR in con-
struing or enforcing this dedication shall be borne by the party
utilizing the roadway easement area.
9) Nothing contained in or contemplated by this dedication shall create
any liability on the part of DEDICATOR arising from the public use
hereinbefore mentioned.
All of the above-mentioned conditions are agreed to by the acceptance of this
dedication. DEDICATOR hereby requests that this dedication be recorded in the Public
Records of Pine11as County, Florida.

LEGAL DESCRIPTION
An Easement for Road Right-of-Way 80 Feet in Width.
A tract of land lying in the NW 1/4 of Section 20, Township 28 South,
Range 16 East, City of Clearwater, Pinellas County, Florida and being more
particularly described as follows:
COMMENCE at the NW corner of said Section 20; thence run S 00 05' 21" E, along
the west line of said Section 20 the same being the west line of a Florida
Power Corporation Right-of-Way that is 208.00 feet in width, for 645.75 feet
to the POINT OF BEGINNING; thence N 890 00' 00" E for 195.34 feet to a point
of curvature of a curve that is concave to the southeast, thence along the
arc of said curve having a radius of 1040.00 feet, a centrgl angle of 00 41 I 55"
a chord lenqth of 12.68 feet and a chord bearinq of N 890 20' 58" E for 12.68 feet
to a point on the east line of said Florida Power Corporation Right-of-Way;
thence S 00 05' 21" E along said line for 80.02 feet to a point on the arc of
a curve that is concave to the southeast; thence along the arc of said curve
having a radius of 960.00 feet, a central angle of 00 40' 51", a chord length
of 11.41 feet and a chord bearing of S 890 20' 2611 W for 11.41 feet to a point
of tangency; thence S 890 00' 0011 W for 196.62 feet to a point on the west line
